ROLL CALL AND ADOPTION OF AGENDA The agenda, as presented or modified, is in order for adoption by the Commission. II. APPROVAL OF MINUTES The miniites of the January 13, 2009 Airport Relations Commission meeting are enclosed on pages through (p . These minutes, as presented or modified, are in order for adoption by the Commission. III. VISITORS TO BE HEARD The Eagan City Council and its Commissions set aside up to ten minutes at the beginning of public meetings to permit visitors to address items of interest that are not addressed on the regular agenda. Items that will take more than ten minutes or that require specific action can be scheduled for a future agenda. IV. OLD BUSINESS A. Communications Update — It is the practice of the Airport Relations Commission to discuss their communication initiatives each month, which include articles in the Experience Eagan Newsletter, as well as stories aired on the City's local access cable channels. Currently, the City is running a cable story regarding the noise mitigation underway as a result of the settlement. Additionally, an article will be included in the next Experience Egan newsletter regarding the upcoming closure of the north parallel runway. The Commission is welcome at this time to make additional suggestions for communication initiatives regarding airport issues. B. MAC Monthly Reports — Eagan/Mendota Heights Corridor Analysis/Technical Advisory Report/17 -35 Departure Analysis Report — Enclosed on pages 7 through is the December 2008 Eagan/Mendota Heights Corridor Analysis. Enclosed on pages through 5e is the December 2008 Technical Advisory Report. Enclosed on pages through the December 2008 Runway 17 Departure Analysis Report. The December reports werd the most current reports available on the MAC website at the time of packet preparation. It is the practice of the Commission to review the reports and discuss any significant deviations that may have occurred or any other noteworthy occurrences as reported in the analyses. C. Implementation of Northwest Airlines' Runway 12L, 12R, and 17 RNAV Departure Procedures —At the January 21 Noise Oversight Committee (NOC) meeting, Mr. Chad Leqve, MAC Manager of the Aviation Noise and Satellite Programs, communicated that the trial for the Runway 17 RNAV procedure will begin on February 23. He also noted at that time that approximately 10 -15% of all aircraft will use the RNAV procedure, which is important because it truly will only apply to operations with southwest destinations, meaning the Eagan will likely not see a decrease in operations due to the procedure. Mr. Leqve also noted as the process moves forward through the FAA, the MAC will likely be calling on the cities for letters of support of the two RNAV procedures (river departure and Crossing in the Corridor). Such correspondence is not needed at this time, but the NOC will be informed when such communication would be appropriate. V. NEW BUSINESS A. Special Meeting of the MAC / NWA Draft Term Sheet —A meeting of the Metropolitan Airport Commission (MAC) was held on January 26, 2009 for the purpose of discussing the proposed agreement with Delta/NWA that covered modifications to the GO 15 documents and the MAC leases, caused by Delta's acquisition of Northwest irlines and the potential breach of the Northwest headquarters covenants. Enclosed on pages is the revised term sheet and corresponding documents that were provided in advance of the January 26 meeting. The MAC voted to approve the term sheet as presented at the January 26 meeting. C. Upcoming Reconstruction of the North Parallel Runway (12L /30R) — As the Commission discussed I January, the north parallel runway is expected to be out of operation from August 17, 2009 through October 30, 2009. The result of the closure will be increased use of the other runways, including the south parallel runway over northeast Eagan and the north/south runway (17/35). A similar project was completed in 2007 when the south parallel runway was closed for reconstruction. At the January 21 NOC meeting, Mr. Leqve communicated that during the runway closure, approximately 16 -18% of operations will depart off of Runway 17 and 31 -33% will depart off of 30L. Likewise, 30 -31% of arrivals will take place on Runway 35 and 20 -21% will arrive on 30L. The most noticeable impact on Eagan will be the projected increase in arrivals on Runway 17/35. If the projected 30% of arrivals do occur on Runway 35, this is twice as many arrivals that would use that runway on a typical month. VI. STAFF / COMMISSIONER REPORT A. MAC Noise Mitigation Program— Enclosed on pages? through ` I is an update and summary of the noise mitigation program currently underway as a result of settlement in the cities litigation versus the MAC. The enclosed materials were provided to media outlets at a meeting on January 21. Both the Eagan Thisweek and Eagan Sun Current wrote articles on the program to update residents living in northeast Eagan on the progress being made in the program. In summary, for those Eagan homeowners who have selected to receive the central air conditioning/$4,000 package, their homes will be mitigated in 2009. For those homeowners who have selected the approximate $14,000 package, their homes will begin to be mitigated in 2010. The reimbursement program for residents living between the 2005 and 2007 contours is also underway; however, actual monetary reimbursements from the MAC will not begin until March 2010. B. March ARC Meeting /Commissioner McKasy —Per the request of the ARC, MAC Commissioner Bert McKasy is planning to attend the March 10 ARC meeting. He is prepared to provide an update on happenings at MSP, and provide any insight he may have on the implications of the Delta/Northwest merger. If Commissioners have any questions of Commissioner McKasy that they would like to forward to him in advance of the meeting, please call or e-mail Administrative Intern Matt Kline at 651/675 -5014 or adminintern @cityofeagan.com. Commissioners are also welcomed to raise any issues or questions at the February meeting, which can then be forwarded to Commissioner McKasy. VII. ROUNDTABLE Per the request of the Commission, this agenda item has been added so that Commissioners have the opportunity to ask questions or make requests for future agenda items. VIII. G bos„, tria Assistant to the City Administrator 3 MINUTES OF THE EAGAN AIRPORT RELATIONS COMMISSION MEETING JANUARY 13, 2009 A regular meeting of the Eagan Airport Relations Commission was held on Tuesday, January 13, 2009 at 7:00 p.m. Those present were Curtis Aljets, Steve Beseke, James Casper, Beth Prouty, Carol Shattuck and Chad Stambaugh. Also present was Assistant to the City Administrator Miller. AGENDA Beseke made a motion to approve the agenda as presented. Shattuck seconded the motion. All members voted in favor. APPROVAL OF MINUTES Stambaugh made a motion to approve the minutes of the November 10, 2008 regular meeting of the Eagan Airport Relations Commission as presented. Shattuck seconded the motion. All members voted in favor. VISITORS TO BE HEARD There were no visitors to be heard. Aljets invited residents to voice their concerns regarding airport noise at an ARC meeting. COMMUNICATIONS UPDATE Aljets stated it is the practice of the Airport Relations Commission to discuss their communication initiatives each month which include articles in the Experience Eagan Newsletter as well as stories aired on the City's local access cable channels. Miller stated information regarding the closure of the North Parallel Runway (12L /30R) will be in the next Experience Eagan Newsletter. MAC MONTHLY REPORTS — EAGAN/MENDOTA HEIGHTS CORRIDOR ANALYSIS/TECHNICAL ADVISORY REPORT /17 -35 DEPARTURE ANALYSIS REPORT Aljets introduced the item noting that 95 percent of the Eagan/Mendota Heights Corridor operations remained in the corridor. Aljets also commented on noise complaints for the month of November stating 48 percent of them were from Eagan with 36 complainants. He stated the Nighttime Operations Runway Use Report showed Runway 17 at 9.2 percent. IMPLEMENTATION OF NORTHWEST AIRLINES' RUNWAY 12L, 12R AND 17 RNAV DEPARTURE PROCEDURES Aljets introduced the item. Miller gave background on the RNAV departure procedures. Miller stated the period for the RNAV procedure off Runway 17 (the River Departure Procedure) will begin in February and, because it is more technical, three trials will be completed. Miller also stated that given the Eagan Airport Relations Commission January 13, 2009 Page 2 of 3 uncomplicated nature, no trial is needed for the "Crossing in the Corridor" RNAV procedure for departures off Runways 12L and 12R and, paperwork will be submitted to the FAA for review and approval of the procedure for public use. Miller further stated she will inquire whether MAC has a presentation of the RNAV procedures that the City could use to be viewed by residents on the cable access channel. SPECIAL MEETING OF THE MAC / NWA DRAFT TERM SHEET Aljets introduced the item summarizing the eight "Delta Functions" from the draft term sheet in which Delta would agree to maintain in Minnesota. Miller noted a special meeting of the Metropolitan Airport Commission (MAC) was held on January 6, 2009 for the purpose of discussing the proposed agreement with Delta and Northwest Airlines that covered modifications to the GO 15 documents and the MAC leases, caused by Delta's acquisition of Northwest Airlines, and the potential breach of the Northwest headquarters covenants. Miller stated the Commission voted on the 6 to agree to the term sheet as a framework, but they asked that a revised term sheet be brought to the Commission at a meeting on January 26 for further discussion. Miller stated the greatest impact for the community would be lost jobs and that the City would like Eagan to maintain the technology positions related to the Data Center and NATCO. In addition, Miller stated they will also be looking at Delta's fleet mix. Aljets noted MAC Commissioner Bert McKasy's concern that he would prefer the provision that requires Delta's eight "functions" to remain in Minnesota for 3 years be extended to the length of the bond payments. 2007 -2008 MSP ANNUAL NIGHTTIME OPERATIONS ASSESSMENT Aljets introduced the item. Miller stated the 2007 -2008 Annual Nighttime Operations Assessment prepared by the MAC Noise Office is scheduled to be presented and reviewed at the January 21 Noise Oversight Committee (NOC) meeting. UPCOMING RECONSTRUCTION OF THE NORTH PARALLEL RUNWAY (12L /20R) Aljets stated the North Parallel Runway is expected to be out of operation due to reconstruction from August 17, 2009 through October 30, 2009. The Commission discussed suggestions for communication of the temporary closure to the Eagan community. It was suggested that notification be through the Experience Eagan Newsletter, public access channels and the City's website. Miller stated MAC will be holding community open houses. 5- Eagan Airport Relations Commission January 13, 2009 Page 3 of 3 NOC COMMUNITY REPRESENTATIVE MEETING WITH MAC EXECUTIVE DIRECTOR AND CHAIRMAN OF THE BOARD Miller introduced the item stating on December 2, 2008, she and City Administrator Hedges attended a meeting with other community members of the Noise Oversight Committee along with Jeff Hamiel, MAC Executive Director, and Jack Lanners, Chairman of the MAC, to discuss implications of the merger between Delta and Northwest Airlines, including fleet mix changes, impact on current jobs, the role of other airlines coming into the MSP market, and the participation of Delta on the NOC. 2009 ARC STAFFING Miller stated the City has hired Matt Kline, who is currently employed by the City of Lakeland, to serve as a part-time intern for the 3- months she will be on medical leave from the City. Miller further stated that Mr. Kline's primary responsibility will be to address airport issues for the community which will include staffing the Airport Relations Commission meetings. Miller noted she will resume her duties with the ARC at the May 12 Commission meeting. The Commission discussed having MAC Commissioner Bert McKasy appear at the February or March ARC meeting. Miller stated she will contact him and, further, stated she will compile questions for him to be discussed at the meeting. Commission members requested Matt Kline's email address. January 20, 2009 On January 20, 2009 MAC staff and Delta together with outside legal counsel agreed to a revised Term Sheet regarding the Delta/Northwest Acquisition. A copy of the revised Term Sheet is attached, showing changes from the December 17, 2008 version previously distributed. You will note that staff and Delta have agreed to several of the points raised at the January 7, 2009 Special Commission meeting, specifically: 1. Clearly define the limits of the force majeure exception to the Hub Covenant which permits Delta to operate below the required . levels in the event it is part of a "system- wide" reduction in flights. Clarify and better define the functions in the Delta Functions Covenant; Legal Department More clearly define the "limited exception" under which a function in the Delta Functions Covenant could be eliminated after three .years (i.e. by more clearly defining the terms "wholly outsourced, sold or no longer exist[ingl at Delta. ") 4. Add the Boeing 787 Simulator to the list of Minnesota simulators (if the 787 is ultimately acquired by Delta) and give MAC and Delta the ability to consider building additional . facilities to accommodate flight training at the existing NATCO facility. Delta's involvement in the Noise Oversight Corrimittee (NOC) is not included in the revised Term Sheet, although Delta has agreed to formalize its . involvement in NOC through appointment of Mary Loeffelholz as NOC co- Chair. The remaining points presented by the Commission were rejected by Delta as unacceptable. Specifically I would note the following: 1. The cure provision in the Delta Functions Covenant that would require Delta to substitute a comparable level of employees (in addition to an equivalent monthly payroll) was unchanged. Delta felt that it would be too restrictive to require both payroll and jobs tests. 2. Delta was not prepared to agree to allocate the Building C rent increase to Reliever Airports. Delta declined to specify the specific community benefits currently being provided by Northwest, due to a corporate policy against providing such summary information. 4. Delta declined to provide more specific commitments regarding increased regional air service, noting that the issue is addressed by the 400 -flight requirement in the Hub covenant. 6. Delta indicated that inclusion of a commitment to rehire laid off Northwest Airlines employees is a complex matter governed by federal labor law and tied up in ongoing National Mediation Board proceedings with Delta's and Northwest's labor unions. 7. Delta declined to increase the three year time commitment during which the Delta Functions Covenant must 'be maintained without regard to outsourcing, sale or termination of the function, although, as noted above, Delta agreed to more clearly define that limited exception. In the event the Term Sheet meets with the Commission's approval, staff contemplates that binding legal documents conforming to. the Term Sheet would be prepared and made available for Commissioner review by January 30, with the . expectation that the agreements could be formally approved by the Commission at a Special Meeting to be held on February 4, 2009 in conjunction with the regular February committee meetings. Where applicable or easily identifiable, we have tried to quantify both the direct and indirect .dollars. There has been no review of the G.O. 15 Bonds as an early repayment from Delta would not benefit MAC or the State. The dollars would be put into escrow until the bonds could be retired. As you know, the earliest call date is 1/1112 at a premium of 103. If an agreement. had. not been reached (pending Commission approval),' MAC • would realize- additional revenue. of $9 to $1 0 million annually. This would result. in $1.9 million in. restated Building C Rent from its current, reduced amount to the original lease. amount. In addition, an estimated- $7 million to $8 million would be realized through the elimination of the Northwest/Delta portion of the Concessions. Rebate. Using both. historical. and estimated 2008 passenger data, . total enplanements would be 16.5 • million. However, there are likely some indirect areas which would affect not only MAC but also the State . and Hennepin County,. These would generally include, but.not be limited to, a revenue loss from a reduction in leased space, state sales tax, Hennepin County property tax, reductions in other MAC revenues and a likely significant adjustment to the capital program from reduced PFC's. The impact on state sales tax from a reduction of hubbing passengers would be about $500,000, $1,250,000 with a 2 million passenger reduction and $2,500,000 with a 4 million passenger reduction. The impact on Hennepin County taxes cannot be determined. With a hubbing passenger reduction of 800,000 passengers, there would likely be 'a requested gate reduction by Delta of 3 = 5 gates. If there is no tenant to take their place, the MAC could lose approximately $400,000 per gate. In addition, there would be lost employee parking, catering and advertising at a minimum. Also, indirectly there would, be a less tangible economic impact not only on the airport but also the surrounding communities. As with any economic impact, there would be a multiplier effect. This would include, but not be Iimited`to, jobs, supplies, concessions, fuel and taxes. With regard to PFCs the Commission has currently committed Pay As You Go dollars into 2011. A significant reduction in PFCs would push this date further out, result in the issuance of new debt or restructure the Capital Improvement Plan. ( "Delta "), Northwest Airlines, Inc. ( "NAI ") and the Metropolitan Airports Commission (the "MAC ") have entered into discussions relating to the potential future breach by NAI, in connection with the integration of NAI's business into Delta, of NAI's obligation to maintain its corporate headquarters in the Minneapolis -St. Paul metropolitan area (the "Headquarters Covenant ") pursuant to and . in accordance with the provisions of (i) those certain Amended and Restated . Facilities and Equipment Lease Agreements dated as of January 29, 2002 (collectively, the "GO 15 Leases "), and all related collateral, security and other agreements (together with the GO 15 Leases, the "GO 15 Documents "), entered into by NAI and certain affiliates of NAI, on the one hand, and the MAC, on the other, in connection with the MAC's issuance of its Taxable General Obligation Revenue Refunding Bonds Series 15 (the "GO 15 Bonds "), (ii) the Airline Operating Agreement and • Terminal Building Lease dated as of January 1, 1999 . by and between the MAC and NWA (as amended, the "Terminal Lease "), and (iii) the North Central Airlines, Inc. Main Base Lease and Agreement dated as of December 19, 1966 (as amended, the "Building C Lease "). This Sunirnary of . Proposed Terms (this "Term Sheet ") confirms the . various discussions the parties have had relative to. the Headquarters Covenant, future employment in the State of Minnesota, future operations of NAI° and Delta at the Airport and related matters. The objective of the parties' discussions has been the execution and consummation of definitive documents (the "Definitive Documents ") between NAI ' and the MAC which would provide for the °zo ution of anyrevision of remedies applicable to such potential breach of the Headquarters Covenant and a strengthening of other covenants and provisions for the benefit of the MAC and would include the terms and conditions set forth in this Term Sheet and such other mutually agreeable terms and conditions. The Airport will continue to be an important part of NAI's and Delta's air transportation network and the combined company therefore has a vested interest in maintaining it as one of the premier airports in the world. Delta agrees to meet with representatives of the MAC from time to time to discuss ways to increase and improve Delta's service to /from the Airport, including potential additional future destinations and/or frequencies for service to international destinations, the upper Midwest trade regions and greater Minnesota, and issues related to the G Concourse at the Airport. 2. 2.. Section 21.2 of the GO 15 Leases shall be amended to change "17,883" to "10,000." The proviso to the sentence in Section 21.2(a) will be deleted so that all Affiliated Employees will . be included . for purposes of compliance with this covenant, including without limitation employees at the Chisholm reservations center. b. The definition of Affiliated Employees will be .. amended to include those employees of NAI and its Affiliates whose assigned work location or whose principal residence is located in the State of Minnesota. c. The existing force majeure provision at the end of Section 21.2 of the GO 15 Leases will remain unchanged. d. The covenant relating to the employment of Affiliated Employees in the State of Minnesota will be included only. in the GO 15 Leases and will . not be included in either the Terminal Lease or the Building C Lease (as is currently the case). 5. Headquarters Covenants in Terminal Lease and Building C Lease: Each of the GO 1 e D • , the Terminal Lease and the Building C Lease shall contain a provision pursuant to which the MAC will waive and agree not to enforce any provisions relating to the Headquarters Covenant contained in such agreement so long as no Event of Default shall have occurred and be continuing with respect to NAI, provided, however, in the event NAI breaches the Hub Covenant or the Employment Covenant (as applicable) contained in anyeither such agreement, MAC's remedy shall be limited to that set forth in such agreement with respect to a breach of such covenant. 54 6,---Delta Guarantee of GO 15 Obligations: As of the Effective Date, Delta shall guarantee the obligations of NAI and NATCO under the GO 15 Documents. Such guarantee shall be an unsecured obligation of Delta, and shall be in addition to all obligations of NAI and related entities under the GO 15 documents. 7. 7,---Modification to GO 15 Payment Structure: The GO 15 Leases will be modified to provide that the remedy for breach of the Headquarters Covenant is that on August 10, 2016, NAI shall prepay Basic Rent for the MAC Leases payable for periods after such date in accordance with Section 19.1(c) of each lease and the MAC shall redeem the outstanding GO Bonds in accordance with Section 19.1(c) of each lease with a Redemption Date of September 30, 2016. $, 8. Additional Amendments to GO 15 Documents: The parties will amend certain other provisions of the GO 15 Documents as follows: a. a. The Security Agreements dated as of April 23, 1992 between the MAC and Northwest Aerospace Training Corporation ( "NATCO ") will be amended to limit the security interest of the MAC in Simulators and all covenants with respect to . Simulators to the existing Simulators owned by NAI or NATCO as of the Effective Date (the "Existing Simulators "). In addition, Sections 1.4 and 1.5 of the Second Amended and. Restated Collateral Agreement dated as of January 29, - 2002 among the MAC, NAI and NATCO (as amended; the "Collateral Agreement ") will be amended: (i) to restrict Section 1.5(a) to the Existing Simulators, and (ii) with respect to all Simulators other than the Existing Simulators, to delete all restrictions regarding the location, use or possession of such Simulators. Notwithstanding the foregoing, in the event NAI or Delta acquires anor leases any additional SiratilatetSimulators of any . of the aircraft types listed below, NAI or Delta agrees to .locate such SimulaterSimulators at NATCO's facilities located in the Minneapolis -St. Paul metropolitan area provided that there is adequate space available at such facilities for such SimulaterSimulators: DC -9 Boeing 747 A320 A330 Boeing 787 In the event NAI or Delta determine that there is . inadequate space to Locate any such Simulators at NATCO's facilities located in the Minneapolis -St. Paul metropolitan area, it will so advise MAC, and Delta and NAI agree to discuss the possible expansion of NATCO's facilities located in the Minneapolis -St. Paul -R- b:--- -The GO 15 Documents will be amended as necessary to permit all Affiliates of NAI, including Delta, to use and occupy the Premises and use the Equipment and Other Personal Property, and to have all of the rights of NAI and NATCO under the GO 15 Documents at all times during the remainder of the term of the GO 15 Documents. c. The parties hereto agree to cooperate to revise other provisions of the GO 15 documents that may be out of date, are no longer applicable or otherwise require amendment. 9--- Terminal Lease Amendments: a. Notwithstanding the Headquarters Covenant contained in the Terminal Lease, MAC shall not be entitled to withhold from NAI any concession sharing payment that NAI is otherwise entitled to receive as a result of NAI's failure to comply with such covenant. b: -- -The Hub Covenant in the Terminal Lease will be modified to conform it to the Hub Covenant and .modified force majeure provision contained in the modified GO 15 ,Leases, as stated in paragraph 2 above. —The exclusive remedy under the Terminal Lease for breach of the modified Hub Covenant will remain same and extended to Delta under Delta's terminal lease with the MAC (i.e., loss of NAI's and _Delta's revenue sharing payments): metropolitan area to provide the space required to accommodate any such Simulators. 10:: Building C: . 4:--H any failure by NAI to comply with the Headquarters Covenant contained in . the Building C Lease, MAC shall not be entitled to increase the rent payable pursuant to the Building C Lease as a result of NAI's failure to comply with such covenant. As of the Effective Date, the rent amounts payable by NAI under the Building C Lease will be increased by $500,000 per year through 2014 and an additional $500,000 per year commencing on January 1, 2015 (such rent to be expressed on a per square foot basis based on the number of square feet leased under the Building C Lease). b. b. MAC will fund the cost of improvements to Building C in an amount not to exceed $10 million, in a similar manner as it has with other Airport facilities from time to time. Delta will manage the design and construction of such improvements. The cost of the improvements will be re -paid by NAI through 2028 at a commercially reasonable interest rate to be determined by the parties. During the remaining term or any extension of the Building C Lease, the repayment of these costs by NAI will be in the form of additional rent payable - 9 - 56 under the Building C Lease and thereafter any remaining amounts will be payable by NAI or Delta as additional rent in any future lease with MAC. The MAC will own these improvements at the end of the term of the Building C Lease. c. The Hub Covenant in the Building C Lease will be modified to conform it to the Hub Covenant contained in the modified GO 15 Leases, as stated in paragraph 2 above. d. d. The exclusive remedy for breach of the modified }lub Covenant will remain the same (i.e., loss of rent reduction provided under the 2007 amendment to the Building C Lease). 11. 1L Community Involvement: 12. Delta is committed to maintaining substantial participation by management and employees in civic and non -profit programs in Minnesota, consistent with NAI's long history of civic involvement in Minnesota, including support of, and participation by NAI officers and other employees on boards of, non - profit entities, and consistent with Delta's policy of active involvement in the communities it serves. 12. Reimbursement of MAC Expenses. Delta and NAI will reimburse MAC for reasonable attorneys' fees incurred by MAC in connection with the negotiation and documentation of the amendments to the GO 15 Documents. - 10 - -7e Home Mitigation Program New Noise Mitigation Program The Metropolitan Airports Commission (MAC) voted to approve a proposed settlement in a noise mitigation lawsuit brought by the cities of Minneapolis, Richfield and Eagan. The new noise mitigation program Under the new noise mitigation program, the MAC will provide mitigation to homes in the 60 to 64 DNL contours. Mitigation activities will vary based on noise contour, with homes in the most noise - impacted contours eligible for more extensive mitigation than those in Tess impacted areas. Multi- family dwellings (those with more than three living units) will receive less extensive mitigation than single - family homes. The total cost to MAC is uncertain until the program is complete, but it is estimated the proposal could cost as much as $130 million to implement. Four separate residential noise mitigation programs are included in the agreement. Costs depicted in each of the four programs are in 2007 dollars and will be adjusted annually for inflation according to the Consumer Price Index: Single - familv Homes in the Projected 2007 Mitigated 63 -64 DNL Noise Contours The approximately 432 homes in the most noise - impacted contours will be eligible to receive the same level of noise mitigation provided in the 65 DNL contour and greater. The program is designed to achieve five decibels of noise reduction on average. Depending on the improvements needed to reduce interior noise sufficiently, modifications could include: central air conditioning; exterior and storm window repair or replacement; prime door and storm door repair or replacement; wall and attic insulation; baffling of roof vents and chimney treatment. Construction will be scheduled for completion by December 31, 2009. Single- family Homes in the Projected 2007 Mitigated 60 -62 Noise Contours Owners of the approximately 5,344 homes in less noise - impacted areas will be eligible for one of two mitigation packages: 1.) The estimated 3,421 homes that did not have central air conditioning as of September 1, 2007 could receive it. In addition, homeowners will get up to $4,000 (including installation costs) in other noise mitigation products and services they could choose from a menu provided by the MAC. 2.) Owners of homes that already had central air conditioning installed as of September 1, 2007 or who choose not to receive central air conditioning will be eligible for up to $14,000 (including installation costs) of noise mitigation products and services they could choose from a menu provided by the MAC. Categories of products on the menu will include: exterior and storm window repair or replacement; prime door and storm door repair or replacement; wall and attic insulation; baffling of roof vents and chimney treatment. Construction is scheduled for completion by December 1, 2012. Multi - familv homes in the projected 2007 mitigated 60 -64 DNL Contours Any of the approximately 1,931 multi - family units in the projected 2007 mitigated 60 -64 DNL contours that do not have air conditioning will receive through- the -wall or equivalent permanently installed air conditioners. The MAC also will install an acoustical cover for each air conditioner in the multi- family units. Installation is scheduled to be complete by December 1, 2010. $7 Million Total for Opt -Out and 2005 Mitigated Single- familv Homes Single- family homes whose owners opted out of the already completed MAC noise - mitigation program but that now have new owners will be eligible to "opt in" and receive,noise mitigation. If the total cost to MAC of opt -in mitigation is less than $7 million, any remaining monies will be used to reimburse owners of approximately 2,352 single - family homes in the 2005 Mitigated 60 -64 DNL contours for purchase and installation of products included on a menu provided by the MAC. The amount each homeowner receives will be determined by subtracting dollars spent for the opt -in program from the total $7 million budget and dividing the remainder among the total . number of single - family homes within the 2005 60 -64 DNL contours. The MAC will begin to issue reimbursements by March 1, 2010 and will complete them by July 31, 2014.
