In order that there is a quorum present, please contact Mary O'Brien at 651- 675 -5005 if you are unable to attend this meeting. I. ROLL CALL AND ADOPTION OF AGENDA The agenda, as presented or modified, is in order for adoption by the Commission. II. APPROVAL OF MINUTES The minutes of the November 10, 2008 Airport Relations Commission meeting are enclosed on pages it through (p . These minutes, as presented or modified, are in order for adoption by the Commission. III. VISITORS TO BE HEARD The Eagan City Council and its Commissions set aside up to ten minutes at the beginning of public meetings to permit visitors to address items of interest that are not addressed on the regular agenda. Items that will take more than ten minutes or that require specific action can be scheduled for a future agenda. IV. OLD BUSINESS A. Communications Update — It is the practice of the Airport Relations Commission to discuss their communication initiatives each month, which include articles in the Experience Eagan Newsletter, as well as stories aired on the City's local access cable channels. The Commission is welcome at this time to make suggestions for communication initiatives regarding airport issues. B. MAC Monthly Reports — Eagan/Mendota Heights Corridor Analysis/Technical Advisory Report /17 -35 Departure Analysis Report — Enclosed on pages '7 through IZ.. is the November 2008 Eagan/Mendota Heights Corridor Analysis. Enclosed on pages 13 through 51 is the November 2008 Technical Advisory Report. Enclosed on pages e. through 6% is the November 2008 Runway 17 Departure Analysis Report. The November reports were the most current reports available on the MAC website at the time of packet preparation. It is the practice of the Commission to review the reports and discuss any significant deviations that may have occurred or any other noteworthy occurrences as reported in the analyses. C. Implementation of Northwest Airlines' Runway 12L, 12R, and 17 RNAV Departure Procedures — Enclosed on pages r j ` through Gib is a memo from Chad Leqve, Manager of the Aviation Noise and Satellite Programs at the MAC, regarding the upcoming trial period for the RNAV procedure off of Runway 17 (River departure procedure). Given the uncomplicated nature, it has been determined that no trial is need for the "Crossing in the Corridor" RNAV procedure for departures off of Runways 12L and 12R and thus paperwork will be submitted to the FAA for review and approval of the procedure for public use. No action is needed on this item; rather, it is meant as an informative update for the Commission. Additional updates will be forthcoming in February after the January 21 NOC meeting has been held. V. NEW BUSINESS A. Special Meeting of the MAC / NWA Draft Term Sheet —A special meeting of the Metropolitan Airport Commission (MAC) was held on January 6, 2009 for the purpose of discussing the proposed agreement with Delta/NWA that covered modifications to the GO 15 documents and the MAC leases, caused by Delta's acquisition of Northwest Airlines and th potential breach of the Northwest headquarters covenants. Enclosed on pages If through 1/ is the draft term sheet that was reviewed and discussed by the Commission, along with other supporting documentation prepared by MAC's legal counsel. The Commission voted on the 6 to agree to the term sheet as a framework, but asked that a revised term sheet be brought to the Commission at a meeting on January 26 in order that the Commission could further discuss their questions and concerns they raised about the document. Eagan's ,Commissioner on the MAC, Bert McKasy, raised a concern about the provision that requires the eight stated Delta "functions" to remain in Minnesota for only three years. He would prefer that the timeframe be extended to the length of the bond payments, which would be September of 2016. Assistant to the City Administrator Miller, who attended the hearing along with City Administrator Hedges, will provide a further update on the MAC meeting at the January 13 ARC meeting. B. 2007 -2008 MSP Annual Nighttime Operations Assessment — Enclosed on pages 7g through10 is the 2007 -2008 Annual Nighttime Operations Assessment prepared by the MAC Noise Office. The document is scheduled to be presented and reviewed at the January 21 Noise Oversight Committee (NOC). The ARC is asked to review the document and discuss any questions or concerns that they would like Assistant to the City Administrator Miller to raise at the January 21 NOC meeting. C. Upcoming Reconstruction of the North Parallel Runway (12L /30R) — Enclosed on pages .1 through 13 is a memo from Chad Leqve, Manager of the Aviation Noise and Satellite Programs at the MAC, regarding the upcoming reconstruction of the north parallel runway. As the memo indicates, the runway is expected to be out of operation from August 17, 2009 through October 30, 2009. The result of the closure will be increased use of the other runways, including the south parallel runway over northeast Eagan and the north/south runway (17/35). A similar project was completed in 2007 when the south parallel runway was closed for Z reconstruction. The Commission is welcome to make any suggestions for communication of the temporary closure to the Eagan community. VI. STAFF / COMMISSIONER REPORT A. NOC Community Representative Meeting with MAC Executive Director and Chairman of the Board — Assistant to the City Administrator Miller and City Administrator Hedges represented Eagan in a meeting with the other community members of the Noise Oversight Committee (NOC) and Jeff Hamiel, MAC Executive Director, and Jack Lanners, Chairman of the MAC, on December 2, 2008. The purpose of the meeting was to discuss implications of the merger between Delta and Northwest, including fleet mix changes, impact on current jobs, the role of other airlines coming into the MSP market, and the participation of Delta on the NOC. Assistant to the City Administrator Miller can provide a verbal update of the meeting at the January 13 ARC meeting. B. 2009 ARC Staffing —Given the upcoming leave of Assistant to the City Administrator Miller, the City has hired Matt Kline to serve as a part-time intern for three months. During his internship, Mr Kline's primary responsible will be to address airport issues for the community, which will include staffing the ARC. Ms. Miller plans to resume her duties with the ARC at the May 12 Commission meeting. In preparation for the months ahead, the ARC is welcome to make any suggestions for agenda items they would like to see included on the agendas for the months of February -April. Previously, the ARC expressed a desire to invite Eagan's representative on the MAC, Commissioner Bert McKasy, to an upcoming meeting. If it is the desire of the Commission, perhaps this invitation could be extended to him for the March or April ARC meeting. VII. ROUNDTABLE Per the request of the Commission, this agenda item has been added so that Commissioners have the opportunity to ask questions or make requests for future agenda items. VIII. ADJOURNMENT Per the request of the Commission, the Eagan ARC meetings will go no later than 8:30 p.m. unless agreed upon by the Commission. Assistant to the City Administrator MINUTES OF THE EAGAN AIRPORT RELATIONS COMMISSION MEETING NOVEMBER 10, 2008 A regular meeting of the Eagan Airport Relations Commission was held on Monday, November 10, 2008 at 7:00 p.m. Those present were Steve Beseke, James Casper, Beth Prouty, Carol Shattuck and Chad Stambaugh. Absent was Curtis Aljets. Also present was Assistant to the City Administrator Miller. There were no visitors to be heard. AGENDA Stambaugh made a motion to approve the agenda as presented. Casper seconded the motion. All members voted in favor. APPROVAL OF MINUTES Shattuck made a motion to approve the minutes of the October 14, 2008 regular meeting of the Eagan Airport Relations Commission as presented. Prouty seconded the motion. All members voted in favor. VISITORS TO BE HEARD COMMUNICATIONS UPDATE Miller stated it is the practice of the Airport Relations Commission to discuss their communication initiatives each month which include articles in the Experience Eagan Newsletter as well as stories aired on the City's local access cable channels. Miller stated currently the City's website is featuring a video from the October 21, 2008 Eagan City Council meeting, where the Council provided direction to send correspondence to the FAA Air Traffic Control Tower regarding concerns the City has with the current use of Runway 17 -35. MAC MONTHLY REPORTS — EAGAN/MENDOTA HEIGHTS CORRIDOR ANALYSIS/TECHNICAL ADVISORY REPORT /17 -35 DEPARTURE ANALYSIS REPORT Beseke introduced the item noting the MAC reports appear in the Commissioners' packets on a monthly basis and asked the Commission for comments regarding the September reports. Prouty noted that the number of complainants was down from the previous month; 81 to 48, but also noted the number of complaints did not decrease. Beseke stated that Miller has noticed there are some very dedicated individuals who voice their complaints. The Commission commented that operations remaining in the corridor were up from 95.2 percent in August to 95.4 percent in September, which is high for corridor compliance. The Commission also noted that total night -time operations on Runway 17 -35 are down from last month. The Commission discussed RMT site 30 located in Bloomington, directly off the Runway 17, and noted the site is at ground zero for noise events. The Commission further discussed the Runway 17 Departure Overflight Grid Analysis Report and the effects of fanning. Eagan Airport Relations Commission November 10, 2008 Page 2 of 3 CORRESPONDENCE TO THE FAA REGARDING USE OF RUNWAY 17 -35 Beseke introduced the item giving background regarding the City's concerns of the over usage of Runway 17. Miller stated a letter was sent to Carl Rydeen, MSP Air Traffic Control District Manager, per the direction of the Airport Relations Commission and approved by the City Council at their October 21 meeting, voicing the City of Eagan`s concerns with the use of Runway 17 -35. Miller stated the City received a response from Mr. Rydeen regarding the three main issues: 1.) the number of departures off Runway 17 compared to Runways 12L or 12R; 2.) Unequal distribution of flights over the various headings, particularly the 120 degree heading; and 3.) the increasing number of night time departures off Runway 17. The Commission further discussed these issues and stated they will continue to monitor departures and noise related concerns off Runway 17. UPDATE: CITY OF EAGAN NOISE ATTENUATION ORDINANCE Beseke gave background on the Noise Attenuation Ordinance. Miller stated the City Council discussed the formation of a noise attenuation ordinance at their October 28, 2008 Council workshop and, through research conducted by staff, it was discovered there are only 6 or fewer lots within the noise zones that would be impacted by such an ordinance. The Commission discussed the background information that was given for Council consideration. Miller stated the Council gave formal direction at the November 6, 2008 City Council meeting to prepare a noise attenuation ordinance that formalizes consideration of development applications in the noise zones and buffer area. Miller also stated last week Minneapolis approved their ordinance and Richfield is still considering a noise attenuation ordinance. REVIEW MAC COMPLAINT TRACKING SYSTEM Miller introduced the item stating, per the request of the ARC at the August meeting, an agenda item has been added to allow the Commission the opportunity to discuss the current reporting system MAC utilizes with regard to noise complaints received from the public. The Commission discussed specific issues which would prompt residents for make formal complaints. The Commission discussed MAC's Hot Line and the web, which are used to enter complaints and the information required and specific information needed to better track types of complaints. UPDATE ON NOC CITIES MEETING Beseke introduced the item stating city representatives of the NOC met on October 15, 2008 to review items proposed for inclusion in the 2009 MSP NOC Work Plan. He noted NOC committee members were comfortable with the City of Eagan's recommendation for continued review of the Runway 35 River Arrival Approach as part of future RNAV departure procedure discussions. Miller stated a meeting is being scheduled with MAC Executive Director Jeff Hamel, MAC Chairman Lanners, MAC Legal Counsel Anderson and Committee representatives of the NOC to discuss fleet mix implications and impacts of the merger in either late November or early December. 5 Eagan Airport Relations Commission November 10, 2008 Page 3 of 3 DECEMBER 2008 ARC MEETING Beseke introduced the item stating this item is on the agenda because typically the Commission waits until November to decide if the ARC will meet during the month of December. Miller stated, based on noise related issues that may arise, she will send out an email regarding the status of the December 9 ARC meeting. ROUNDTABLE Items suggested for future agendas: 1.) ANOMS coming on -line; 2.) Delta/Northwest merger. Miller announced the Mayor's holiday party will be held on, Thursday, December 11. Leqve, Manager — Aviation Noise and Satellite Programs SUBJECT: IMPLEMENTATION OF NORTHWEST AIRLINES RUNWAYS 12L, 12R AND 17 RNAV DEPARTURE PROCEDURES On December 9, 2008 an RNAV Procedures kick -off meeting was held at the Air Traffic Control Tower at Minneapolis /St. Paul International Airport (MSP). The meeting was conducted to discuss and finalize the procedures and expectations for the RNAV departure procedure trials off of Runways 17, 12L and 12R. Representatives from the MAC, FAA procedures, ATCT, TRACON, Northwest Airlines, Mesaba Airlines and Pinnacle Airlines were in attendance. Given the less complex nature of the Runways 12L and 12R RNAV procedures, it has been determined that trials are not needed for these procedures and that the paperwork is ready to be compiled and submitted to the FAA for the review and approval of the procedures for public use. However, given the complex nature of the Runway 17 RNAV procedure a trial is warranted, and is planned. The trial will be conducted in the following manner: • An initial 4 hour test period in good weather conditions to validate the procedure design and identify any ATC or flight crew procedure anomalies. After this test, the procedures will be reviewed by the participants and any required corrective actions or adjustments will be made. • A second trial period of 24 hours will then be conducted in all weather conditions. The procedures will be reviewed again and if all parties are satisfied, the 30 day trial will be scheduled. The initial trial is expected to begin on February 14, 2009 (dependant on weather conditions). Based on the results of this trial, the 24 hour and 30 day trials will be scheduled. The aircraft used in the trial will be Northwest A319/320 and B757 aircraft, Compass Airlines Embraer 175 and Pinnacle and Mesaba Regional Jets (CRJ 200 and 900). At the conclusion of the 30 day trial, the procedures will be evaluated by all parties and if deemed successful the procedure will be submitted for use by all properly equipped aircraft operating off runway 17. At this point all interested parties concur on the procedures for the trial. The expectation is that all aircraft will be able to track along the specified RNAV track within +/- 0.2 of a nautical mile. During the month of January, the participants will meet to review the trial process and coordinate the final activities including drafting and signing a Letter of Agreement and conducting simulator test flights of the procedures by Mesaba and Pinnacle. MAC Policy Statement Supporting RNAV Procedure Implementation at MSP Since the beginning of NOC discussions related to RNAV procedures at MSP, and the related discussions in the context of the MAC's Stewards of Tomorrow's Airport Resources (STAR) program, the MAC Full Commission has been monitoring developments in the area of RNAV procedure development and implementation at MSP. Realizing the prospective environmental benefits associated with RNAV procedures, and the work conducted to -date by the NOC and MAC STAR program, on December 15, 2009 the MAC Full Commission took the following action: "Endorse the ongoing evaluation and implementation of Area Navigation (RNAV) departure and arrival procedures at MSP to decrease noise /environmental impacts and increase operational efficiency and to send a letter to the Federal Aviation Administration (FAA) in this regard, requesting the expedited review and implementation of the procedures that have been developed by Northwest Airlines and the Noise Oversight Committee at MSP, which will be submitted to the FAA for review and approval in mid - 2009." The MAC is in the process of drafting a letter to the FAA consistent with the above Commission action. Anderson, General Counsel (612- 726 -8178) SUBJECT: Northwest -Delta Air Lines Proposed Term Sheet DATE: December 17, 2008 As discussed at Monday's Commission meeting, staff has reached a proposed agreement with Delta/Northwest on a Term Sheet covering modifications to the GO 15 documents and MAC leases, caused by Delta's acquisition of Northwest Airlines and the potential breach of the Northwest headquarters covenants. In staffs view the proposed Term Sheet is consistent with MAC's statutory objectives, which are to: promote the public welfare and national security; serve public interest, convenience, and necessity; promote air navigation- and transportation, international, national, state, and local, in and through this state; promote the efficient, safe, and economical handling of air commerce; assure the inclusion of this state in national and international programs of air transportation; and to those ends to develop the full potentialities of the metropolitan area in this state as an aviation center, and to correlate that area with all aviation facilities in the entire state so as to provide for the most economical and effective use of aeronautic facilities and services in that area. If the proposed Term Sheet is approved by the Commission, binding legal documents consistent with the Term Sheet would be prepared and brought back for Commission review and approval. The proposed Term Sheet addresses the following points: Legal Department Mutual Cooperation —Delta and Northwest would agree to cooperate with MAC and the State of Minnesota on a broad range of issues, including maintenance of a strong hub system at MSP and improved air service to international destinations, as well as the upper Midwest trade region and greater Minnesota, and issues related to the G Concourse. 2. Hub Covenant —The Hub Covenants in the GO 15 Leases, the Northwest Terminal Lease, and the Northwest Building C Lease would be significantly increased, from current levels' to 400 Flights of any sized aircraft and 250 flights of jet aircraft greater than 70 seats. ' There are currently two different "Hub Covenants." The GO 15 Lease, negotiated in 1991, requires, on an annualized basis, 187 Flights per day of jet aircraft greater than 70 seats. The Terminal Lease and Building C Lease, negotiated in 2007, each require 227 Flights per day of jet aircraft greater than 70 seats. to L 3 4 Memorandum to Commissioners December 17, 2008 Page 2 of 4 3. Delta Functions to be Located in Minnesota ( "Delta Functions" Covenant): Delta would agree to maintain several significant functions in the State of Minnesota -- (i) the "Delta North" headquarters, comprised of various corporate functions as determined by Delta; (ii) Delta's headquarters for its Delta Connection management (regional airline management) function; (iii) Mesaba and Compass Airlines headquarters; (iv) Pilot and flight attendant bases; (v) Reservations centers in Chisholm and the Twin Cities; (vi) Delta's primary or secondary technology /data center (vii) Pilot training center (viii) MSP airport operations This provision would be subject to an exception if a sufficient number of employees with the skills required for that job or function are not available in the area; or if, after three years, the function, entity or operation is "wholly" outsourced, sold or no longer exists at Delta. In the event of a breach of the Delta Functions Covenant, Delta may cure the breach by replacing the function with another function in the State of Minnesota with an equivalent or greater average monthly payroll. Employment Covenants: The Employment Covenants, which are in the GO 15 Leases but not the Terminal Lease or Building C Lease, would be reduced from 17,883 Full -time Equivalent Employees to 10,000, including at the Chisholm reservations center. The definition of Employees would be amended to include employees whose assigned work location or whose principal residence is located in the State of Minnesota. The existing force majeure provision in the GO 15 Leases would remain unchanged. The Employment covenant would continue to be included only in the GO 15 Leases and not in either the Terminal Lease or the Building C Lease. 5. Headquarters Covenants: As long as Delta and Northwest remain in compliance with the provisions of these provisions, MAC 'would not enforce any provisions relating to the Headquarters Covenant contained in the GO 15 Documents, the Terminal Lease and the Building C Lease. (p3 Memorandum to Commissioners December 17, 2008 Page 3 of 4 6. Delta Guarantee of GO 15 Obligations: Delta would immediately guarantee the obligations of Northwest under the GO 15 Documents. Such guarantee would be in addition to all obligations of Northwest and . related entities under the GO 15 documents. 7. Modification to 0015 Payment Structure: The GO 15 Leases would be modified to accelerate Northwest payments (which are made Quarterly, in the form of rent) so that all payments will be made by August 10, 2016, instead of by August 10, 2020, which is currently the case. All bonds would be redeemed by September 30, 2016. 8. Additional Amendments to GO 15 Documents: The parties would agree to amend certain other provisions of the GO 15 Documents which are out of date or no longer applicable, including certain provisions related to the simulators. 9. Terminal Lease Amendments: Northwest and Delta would continue to receive the concession sharing payments provided to all other signatory airlines operating at MSP. The Hub Covenant in the Terminal Lease would be modified to conform it to the Hub Covenant and modified "force majeure" provision as stated in section 2 above. The exclusive remedy under the Terminal Lease for breach of the modified Hub Covenant would be loss of Delta's revenue sharing payments. 10. Building C: As of the Effective Date, the rent amounts payable by Northwest under the Building C Lease would be increased by $500;000 per year through 2014 and an additional $500,000 per year beginning in 2015. MAC would agree to fund the cost of improvements to Building C (needed in order to house the Delta North campus, and the Delta Connection and Compass Airlines headquarters), in an amount not to exceed $10 million. The cost of the improvements will be amortized through 2028 at a commercially reasonable interest rate. MAC would own these improvements at the end of the lease term. The Hub Covenant in the Building C Lease would be modified to conform it to the Hub Covenant contained in the modified GO 15 Leases, as stated in section 2 above. 6 Memorandum to Commissioners December 17, 2008 Page 4 of 4 The exclusive remedy for breach of the modified. Hub Covenant and Delta Functions Covenant would remain the same — loss of rent reduction provided under the 2007 amendment to the Building C Lease. 11. Community Involvement: Delta would agree that it is committed to maintaining substantial participation by management and employees in civic and non - profit programs in Minnesota, consistent with Northwest's long history of civic involvement in Minnesota, including support of, and participation by Northwest officers and other employees on boards of non - profit entities, and consistent with Delta's policy of active involvement in the communities it serves. 12. Reimbursement of MAC Expenses: Delta and Northwest would reimburse MAC for its out -of- pocket expenses, including attorneys fees, in connection with the transaction described in the proposed Term Sheet. (6 Air Service Benefits Benefits of Proposed Agreement with Delta Airlines Delta Airlines would agree to provide a yearly average of at least 400 flights per day from MSP. That is more than double the 187 minimum average daily flights required in the G.O. 15 agreement and substantially above the 227 minimum daily average flights negotiated in the 2007 Northwest bankruptcy negotiations. Of those 400 total daily flights, at least 250 would occur on aircraft with 70 or more seats. Should situations outside Delta's control (i.e. force majeure circumstances) require a reduction below those specified levels, Delta commits that reductions at MSP would not be greater than cuts at its other domestic hubs. The "new" force majeure provision replaces a weaker provision in the current agreements, which only require "best efforts." If MAC enforces the current lease agreements, the air service commitments in place today would be eliminated. MSP would have no hub guarantee nor any other air service guarantee and would need to compete for service with Delta's other hubs. While a complete loss of all hubbing activity at MSP is highly unlikely even in current market conditions, the financial impact of a reduction in hubbing to MAC and the state of Minnesota would reduce or even eliminate any financial gains made by enforcing the covenants "as written." Job Benefits Under the proposed agreement, Delta would commit to providing at least 10,000 jobs in Minnesota until its G.O. 15 obligation is paid in full. Those jobs would be spread among several functions Delta also commits to maintain in Minnesota: • Various corporate functions to be determined by Delta, constituting a "Delta North" headquarters • Delta's regional airline ( "Delta Connection ") headquarters • Headquarters for Mesaba and Compass Airlines (the latter of which would be relocated to Minnesota from Virginia) • Pilot and flight attendant bases • Reservations centers in Chisholm and the Twin Cities • Delta's primary or secondary technology center • The pilot training center (NATCO) • And MSP airport operations staff All these functions must remain in Minnesota until the G.O. 15 bond debt is fully paid. If after three years Delta no longer needs an entire function or it is outsourced, that function can be eliminated system -wide, but the airline must continue to employ 10,000 workers in Minnesota. If a breach of the agreement should occur and a particular function not be maintained, Delta must replace that function with one offering similar pay levels. COP 7 8 Should Delta acquire an additional pilot training simulator for DC -9; Boeing 747, A320 or A330 aircraft, Delta would agree to install the simulator at the Twin Cities pilot training facility ( NATCO), provided there is sufficient room. This commitment helps ensure NATCO remains an active, viable facility, with potential opportunities for growth in employment and economic activities in Minnesota. In addition, MAC would finance $10 million in improvements to Building C, to be paid by Delta through rent payments, similar to past airport development projects undertaken on airlines' behalf. Delta's interest in improving the facility and housing its headquarters for "Delta North" and regional airline operations at MSP demonstrates Delta's continued commitment to Minnesota and to the Minneapolis -St. Paul International Airport. The project would provide space for increased employment at the facility, and at the end of the lease, MAC would own all the improvements. The proposed 10,000 minimum employment level is substantially below the level required in the G.O. 15 agreement (17,883 Minnesota employees). However, Northwest Airlines has not met that employment level since late 2001 or early 2002. The airline has cited the force majeure clause in the agreement, which allows the airline to reduce employment levels due to circumstances outside its control -- such as economic recession, the 9 -11 terrorist attacks and the SARS outbreak -- provided reductions are proportionate with reductions elsewhere in the Northwest system. Loss of the headquarters and an industry-wide contraction of operations due to diminished air travel demand are likely to reduce Northwest employment levels in Minnesota still further in the coming months, even with the job growth and protection measures outlined in the proposed agreement. The airline would still presumably retain positions it deems necessary for MSP operations, but other positions could be located elsewhere wholly at the airline's discretion. Financial Benefits to MAC The proposed agreement would accelerate the G.O. 15 repayment so that the debt is retired in 2016 rather than in 2022, reducing risk to MAC and the taxpayers by paying off the obligation earlier. Delta would forfeit a portion of the $1.9 million per year rent reduction on Building C that MAC agreed to last year. Rent would increase $500,000 per year through 2014 and an additional $500,000 per year from 2015 until the lease expires in 2020. The airline would reimburse MAC for reasonable attorneys' fees incurred by MAC for the purposes of renegotiating and amending the G.O. 15 agreement. For its part, Delta would continue to be eligible for its share of airport concession revenues, estimated at $7 million in 2009, as long as it maintains a "Hub" at MSP as defined in the proposed agreement. If the MAC enforced the G.O. 15 agreement and airport leases as currently written, Delta would have to repay the debt in 12 -15 months once a breach occurs. All payments would go toward the bond debt and could not be used by MAC for discretionary purposes. MAC could, however, retain the estimated $7 million per year Northwest currently receives from MAC concession Gil -2- revenues and $1.9 million per year in increased Building C rent, once it is determined that Delta has breached the agreement. Under federal regulations, those dollars can only be used for aviation purposes. However, this revenue increase could be offset or even eliminated entirely if Delta were to significantly reduce hubbing activity at MSP. Community Benefits Delta would commit to maintaining substantial civic involvement in the community through involvement in and support of non - profit entities. Once the headquarters is no longer in MN, Delta will be in breach of NWA agreements, but Delta will remain in compliance with hub covenant. G.O. 15 debt is retired in 2022. As part of 2007 lease negotiations, NWA receives $1.9 million annual rent reduction on Building C, provided it meets hub and headquarters requirements. All airlines, including NWA, receive share of MAC concession revenues. NWA's share, estimated at $7 million in 2009, contingent on meeting hub and headquarters requirements. f Delta no longer has a legal commitment to either a hub or a headquarters in MN. Once Delta defaults on headquarters covenant, Delta forfeits entire $1.9 million rent reduction on Building C. Delta forfeits its share of MAC concession revenues, estimated at $7 million in 2009. ( "NAI ") and the Metropolitan Airports Commission (the "MAC ") have entered into discussions relating to the potential future breach by NAI, in connection with the integration of NAI's business into Delta, of NAI's obligation to maintain its corporate headquarters in the Minneapolis -St. Paul metropolitan area (the "Headquarters Covenant ") pursuant to and in accordance with the provisions of (i) those certain Amended and Restated Facilities and Equipment Lease Agreements dated as of January 29, 2002 (collectively, the "GO 15 Leases "), and all related collateral, security and other agreements (together with the GO 15 Leases, the "GO 15 Documents "), entered into by NAI and certain affiliates of NAI, on the one hand, and the MAC, on the other, in connection with the MAC's issuance of its Taxable General Obligation Revenue Refunding Bonds Series 15 (the "GO 15 Bonds "), (ii) the Airline Operating Agreement and Terminal Building Lease dated as of January 1, 1999 by and between the MAC and NWA (as amended, the "Terminal Lease "), and (iii) the North Central Airlines, Inc. Main Base Lease and Agreement dated as of December 19, 1966 (as amended, the "Building C Lease "). This Summary of Proposed Terms (this "Term Sheet ") confirms the various discussions the parties have had relative to the Headquarters Covenant, future employment in the State of Minnesota, future operations of NAI and Delta at the Airport and related matters. The objective of the parties' discussions has been the execution and consummation of definitive documents (the "Definitive Documents ") between NAI and the MAC which would provide for the resolution of any potential breach of the Headquarters Covenant and would include the terms and conditions set forth in this Term Sheet and such other mutually agreeable . terms and conditions. Both parties understand and agree that this Term Sheet is intended to be, and shall be construed only as, a summary of the parties' discussions to the date hereof, and not as a binding and enforceable agreement. The execution of the Definitive Documents and the consummation of the transactions contemplated thereby remain subject to the approval of the Board of Commissioners of the MAC and the required corporate approvals of NAI and Delta, as applicable. The "Effective Date" shall be the date on which the Definitive Documents are executed by all parties thereto, which the parties expect to occur on or before January 30, 2009. All terms not otherwise defined in this Term Sheet shall have the meanings given such terms in the GO 15 Documents, the Terminal Lease or the Building C Lease, as applicable. 1'. Mutual Cooperation: Draft: 12/17/08 NORTHWEST AIRLINES/ METROPOLITAN AIRPORTS COMMISSION SUMMARY OF PROPOSED TERMS NON - BINDING DISCUSSION DRAFT NAI and Delta are committed to cooperating with the MAC and the State of Minnesota to maintain a continued strong presence in Minnesota, which will include not only good jobs in the aviation industry but also continued cooperation to increase and improve air - 1 - 13 14 service to Minnesota_ The Airport will continue to be an important part of NAI's and Delta's air transportation network and the combined company therefore has a vested interest in maintaining it as one of the premier airports in the world. Delta agrees to meet with representatives of the ,MAC from time to time to discuss ways to increase and improve Delta's service td /from the Airport, including potential additional future destinations and/or frequencies for service to international destinations, the upper Midwest trade regions and greater Minnesota, and issues related to the G Concourse at the Airport. 2. Hub Covenant: As of the Effective Date, the applicable provisions contained in the GO 15 Leases relating to the obligation of NAI to maintain a Hub in Minnesota shall continue in effect except as expressly modified below: a. Section 21.3(b) of the GO 15 Leases shall be amended to change "187" to "400." b. An additional requirement shall be added to Section 21.3(b) of the GO 15 Leases to provide that, of the total average number of departing NAI and NAI Code -Share Airlines Flights per day, not less than 250 will be operated by aircraft with not less than 70 passenger seats, calculated annually. c. The Hub Covenant, as modified herein, will be subject to a force majeure provision that would permit reductions in the minimum number of departing Flights at the Airport required by paragraphs 2.a. and 2.b. above as part . of a system -wide reduction in flying, provided that any such reduction will not be substantially disproportionate to (i.e., more than 10% higher than) the average reduction at Delta's or NAI's other domestic hubs (which currently are ATL, DTW, MEM, SLC and CVG). d. The definition of "NAI Code -Share Airlines" shall be deleted and replaced with the following: "NAI Code -Share Airlines" means airlines that operate flights marketed under a designator code of NAI or Delta. e. The definition of "Flight" shall be deleted and replaced with the following: "Flight means any and all scheduled flights regardless of aircraft type." f. The Hub Covenants contained in the Terminal Lease and the Building C Lease shall be conformed in all respects to the Hub Covenant set forth in the GO 15 Leases, as modified in this paragraph 2. 3. Delta Functions to be Located in Minnesota ( "Delta Functions" Covenant): The GO 15 Leases will contain the following provision: a. During the period commencing on the Effective Date and continuing until NAI has paid all amounts owing under the G015 Documents, Delta will agree to locate -2- (as noted below) and maintain (subject to paragraphs 3.b and 3.c below) the following functions in the State of Minnesota: (i) the "Delta North" headquarters, comprised of various corporate functions as determined by Delta; (ii) Delta's headquarters for its Delta Connection management function (which shall mean the principal office from which such function is conducted and the principal office of a majority of the management personnel responsible for such function), such function to be relocated to Minnesota no later than the end of 2009; (iii) Mesaba and Compass Airlines headquarters (which shall mean the principal office from which such entity's business is conducted and the principal office of the President and a majority of the management personnel responsible for the business), and, as to Compass, which relocation. to Minnesota will occur no later than June 2010); (iv) Pilot and flight attendant bases; (v) Reservations centers in Chisholm and the Twin Cities; (vi) Delta's primary or secondary technology /data center (vii) Pilot training center (viii) MSP airport b. Notwithstanding paragraph 3.a above, Delta shall not be obligated to maintain a particular function, entity or operation in the State of Minnesota in the event that: (i) a sufficient number of employees with the skills required for that job or function are not available in the area; or (ii) commencing three (3) years after the Effective Date, such function, entity or operation is wholly 'outsourced, sold or no longer exists at Delta for whatever reason. c. In the event of a breach of the Delta Functions Covenant contained in the GO 15 Leases, Delta shall be entitled to cure such breach by replacing the applicable function with another function in the State of Minnesota that has an aggregate monthly payroll not less than the average monthly payroll of the function being replaced over the prior twelve (12) month period. 4. - Employment Covenant: As of the Effective Date, the applicable provisions contained in the GO 15 Leases relating to the obligations of NAI to employ a certain number of Affiliated Employees in the State of Minnesota shall continue in effect except as expressly modified below: a. Section 21.2 of the GO 15 Leases shall be amended to change "17,883" to "10,000." The proviso to the sentence in Section 21.2(a) will be deleted so that all Affiliated Employees will be included for purposes of compliance with this 79 - 3 - 15 16 covenant, including without limitation employees at the Chisholm reservations center. b. The definition of Affiliated Employees will be amended to include those employees of NAI and its Affiliates whose assigned work location or whose principal residence is located in the State of Minnesota. c. The existing force majeure provision at the end of Section 21.2 of the GO 15 Leases will remain unchanged. d. The covenant relating to the employment of Affiliated Employees in the State of Minnesota will be included only in the GO 15 Leases and will not be included in either the Terminal Lease or the Building C Lease (as is currently the case). 5. Headquarters Covenants: Each of the GO 15 Documents, the Terminal Lease and the Building C Lease shall contain a provision pursuant to which the MAC will waive and agree not to enforce any provisions relating to the Headquarters Covenant contained in such agreement so long as no Event of Default shall have occurred and be continuing with respect to NAI, provided, however, in the event NAI breaches the Hub Covenant or the Employment Covenant (as applicable) contained in any such agreement, MAC's remedy shall be limited to that set forth in such agreement with respect to a breach of such covenant. 6. Delta Guarantee of GO 15 Obligations: As of the Effective Date, Delta shall guarantee the obligations of NAI and NATCO under the GO 15 Documents. Such guarantee shall be an unsecured obligation of Delta, and shall be in addition to all obligations of NAI and related entities under the GO 15 documents. 7. Modification to G015 Payment Structure: The GO 15 Leases will be modified to provide that, on August 10, 2016, NAI shall prepay Basic Rent for the MAC Leases payable for periods after such date in accordance with Section 19.1(c) of each lease and the MAC shall redeem the outstanding GO Bonds in accordance with Section 19.1(c) of each lease with a Redemption Date of September 30, 2016. 8. Additional Amendments to GO 15 Documents: The parties will amend certain other provisions of the GO 15 Documents as follows: a. The Security Agreements dated as of April 23, 1992 between the MAC and Northwest Aerospace Training Corporation ( "NATCO ") will be amended to limit the security interest of the MAC in Simulators and all covenants with respect to �5 Simulators to the existing Simulators owned by NAI or NATCO as of the Effective Date (the "Existing Simulators "). In addition, Sections 1.4 and 1.5 of the Second Amended and Restated Collateral Agreement dated as of January 29, 2002 among the MAC, NAI and NATCO (as amended, the "Collateral Agreement ") will be amended: (i) to restrict Section 1.5(a) to the Existing Simulators, and (ii) with respect to all Simulators other than the Existing Simulators, to delete all restrictions regarding the location, use or possession of such Simulators. Notwithstanding the foregoing, in the event NAI or Delta acquires an additional Simulator of any of the aircraft types listed below, NAI or Delta agrees to locate such Simulator at NATCO's facilities located in the Minneapolis -St. Paul metropolitan area provided that there is adequate space available at such facilities for such Simulator: DC -9 Boeing 747 A320 A330 b. The GO 15 Documents will be amended as necessary to permit all Affiliates of NAI, including Delta, to use and occupy the Premises and use the Equipment and Other Personal Property, and to have all of the rights of NAI and NATCO under the GO 15 Documents at all times during the remainder of the term of the GO 15 Documents. c. The parties hereto agree to cooperate to revise other provisions of the GO 15 documents that may be out of date, are no longer applicable or otherwise require amendment. 9. Terminal Lease Amendments: a. Notwithstanding the Headquarters Covenant contained in the Terminal Lease, MAC shall not be entitled to withhold from NAI any concession sharing payment that NAI is otherwise entitled to receive as a result of NAI's failure to comply with such covenant. b. The Hub Covenant in the Terminal Lease will be modified to conform it to the Hub Covenant and modified force majeure provision contained in the modified GO 15 Leases, as stated in paragraph 2 above. c. The exclusive remedy under the Terminal Lease for breach of the modified Hub Covenant will remain the same and extended to Delta under Delta's terminal lease with the MAC (i.e., loss of NAI's and Delta's revenue sharing payments). '7 b - 5 - 17. 18 10. Building C: a. Notwithstanding any failure by NAI to comply with the Headquarters Covenant contained in the Building C Lease, MAC shall not be entitled to increase the rent payable pursuant to the Building C Lease as a result of NAI's failure to comply with such covenant. As of the Effective Date, the rent amounts payable by NAI under the Building C Lease will be increased by $500,000 per year through 2014 and an additional $500,000 per year commencing on January 1, 2015 (such rent to be expressed on a per square foot basis based on the number of square feet leased under the Building C Lease). b. MAC will fund the cost of improvements to Building C in an amount not to exceed $10 million, in a similar manner as it has with other Airport facilities from time to time. Delta will manage the design and construction of such improvements. The cost of the improvements will be re-paid by NAI through 2028 at a commercially reasonable interest rate to be determined by the parties. During the remaining term or any extension of the Building C Lease, the repayment of these costs by NAI will be in the form of additional rent payable under the Building C Lease and thereafter any remaining amounts will be payable by NAI or Delta as additional rent in any future lease with MAC. The MAC will own these improvements at the end of the term of the Building C Lease. c. The Hub Covenant in the Building C Lease will be modified to conform it to the Hub Covenant contained in the modified GO 15 Leases, as stated in paragraph 2 above. d. The exclusive remedy for breach of the modified Hub Covenant will remain the same (i.e., loss of rent reduction provided : under the 2007 amendment to the Building C Lease). 11. Community Involvement: Delta is committed to maintaining substantial participation by management and employees in civic and non - profit programs in Minnesota, consistent with NAI's long history of civic involvement in Minnesota, including support of, and participation by NAI officers and other employees on boards of, non - profit entities, and consistent with Delta's — policy of active involvement in the communities it serves. 12. Reimbursement of MAC Expenses. Leqve, Manager — Aviation Noise and Satellite Programs SUBJECT: RUNWAY 12L/30R RECONSTRUCTION COMMUNICATION PLAN DATE: January 7, 2009 ITEM 3 Given the continual use and demands placed on infrastructure at Minneapolis /St. Paul International Airport (MSP), maintenance activities are an important part of ensuring the continued smooth and orderly flow of operations. Repairing concrete surfaces, such as runways and taxiways, is an important component of these activities. Due to the length of the runways at MSP, reconstruction and repair of runway pavements is a process performed in stages. In 2007, the center 3,100 foot long section of the south parallel, Runway 12R/30L, was reconstructed. The center section was the last section of that runway that needed reconstruction. In 2009, a similar reconstruction project will be performed on the north parallel, Runway 12L/30R, on the final section of the runway needing reconstruction. The project entails the complete reconstruction of the center section of Runway 12U30R at MSP. The center section of Runway 12U30R, known as Segment 2, is approximately 3,800 feet long and extends from just east of Runway 4/22 to Taxiway P3. Existing Segment 2 pavement is a mixture of concrete and bituminous materials. The base of Runway 12U30R was constructed in 1967 and has since been overlaid and repaired several times. Every two to three years a mill and overlay is required to maintain portions of the bituminous section. During the reconstruction project, the Metropolitan Airports Commission (MAC) will remove all existing pavement and any unsuitable sub -grade material below the pavement. The MAC will then reconstruct the runway with suitable granular material, 12 inches of crushed aggregate, and 20 inches of Portland cement concrete. The MAC will also replace the runway's bituminous pavement shoulders. The MAC estimates that the entire construction project will take five months. Reconstruction of the center section of Runway 12L/30R will require the runway to be closed from August 17, 2009 to approximately October 30, 2009, depending upon weather and other construction factors. Fifty-five working days have been planned for completion of the project, with construction activities to take place six days per week and 20 hours per day. To encourage on -time completion of the project in the shortest time possible, the MAC construction contracts for the project will provide that the Runway 12L/30R reconstruction contractor may incur liquidated damages of $50,000 per day, subject to limited exceptions only, if the contractor does not begin work on the project by August 17, 2009. In addition, the MAC construction contracts for the project will provide that the contractor may incur liquidated damages of $100,000 per day, subject to limited exceptions only, if the contractor has not completed the project within 55 calendar days from August 17, 2009. The FAA is modifying MSP air traffic control procedures to accommodate MSP's existing aircraft activity with the least amount of operational disruption during the Runway 12U30R reconstruction project. The MAC worked with the FAA to develop SIMMOD (airport simulation) modeling scenarios to assist the FAA in identifying air traffic control changes that will be necessary to accommodate aircraft operations on the remaining runways. Runway use during the Runway 12L/30R reconstruction project will be very similar to the runway use that the FAA employed during the Runway 12R/30L reconstruction project in 2007. The modified air traffic control procedures that the FAA will employ during the Runway 12L/30R runway reconstruction project are designed to minimize the impacts of the changed operating conditions. When the reconstruction project is complete and Runway 12L/30R is reopened, the FAA will return MSP to its pre- reconstruction operational patterns. The MAC has no governmental approval authority over the FAA's decision to modify MSP air traffic control procedures. In summary, the existing aircraft overflight areas in proximity to Runways 12R, 30L, 4, 22, 17, and 35 will be experiencing increased overflights during the construction period. Of specific note, the cities of Minneapolis, St. Paul, Eagan and Bloomington will be the primarily- impacted communities. Residents living north of Runway 17/35 in Minneapolis will observe a noticeable change from existing conditions due to arrival operations on Runway 17 and departure operations on Runway 35. Similarly, residents living in the cities of St. Paul and Bloomington will observe a noticeable change from existing conditions due to arrival and departure operations on Runway 4/22. Communication Plan A plan to communicate the temporary operational changes at MSP to the public has been developed, consistent with the communication efforts that were related to the 2007 Runway 12R/30L reconstruction project. Specifically, there are four components to the recommended communication effort that have been developed. This includes use of the MSP Noise News newsletter, a web page, a post card mailing and community open houses. The following provides description of each of the elements. • MSP Noise News Newsletter — The first and second quarter 2009 editions of the newsletter will provide details regarding the modified operations at MSP during the construction. The newsletter is mailed to approximately 4,400 households around MSP. • Web Page — A web page will be developed on the MAC Noise Program website detailing how the airport will be operated during construction, areas that should anticipate increased operations, and contact information for further information. MAC staff will coordinate with the impacted cities to ensure a link connects city websites to the runway construction web page. • Postcard — A total of two postcards will be mailed to residents in impacted areas (including elected officials). One postcard will be mailed in mid -May 2009 and one will be mailed to arrive two weeks prior to the first planned community open house. The postcard will include a general announcement of the operational changes, notification of the community open houses, an Internet address for the construction web page and MAC staff contact information to receive more detailed information. MAC staff will coordinate with the impacted cities to establish appropriate postcard distribution areas. • Community Open Houses — A total of four community open houses will be conducted prior to the commencement of construction. Two community open houses will be held two weeks prior to the beginning of construction and two will be held one week prior to construction. The open house locations will include sites in the cities of Minneapolis, St. Paul, Eagan and Bloomington. In addition to the above points, cities will be asked to post information regarding the construction project at their respective city offices. MAC staff will also ensure that the Minneapolis Chamber of Commerce is notified and informed about the operations that will be occurring over downtown Minneapolis during the construction period. At the January 21, 2009 NOC meeting staff will present further information on anticipated construction operations at MSP and the associated communication plan.
