(The City and Landlord are hereinafter collectively referred to as the "Parties.") WHEREAS, Landowner is the fee owner of certain property located in the City of Eagan, County of Dakota and legally described as Lot 1, Block 1, Eagan Preserve (the "Property"); and WHEREAS, the Property is subject to that certain Well Field Development Agreement dated February 7, 1989, and recorded in the office of the Dakota County Recorder on February 21, 1989 as Document No. 878526 (the "Well Field Development Agreement") and as amended by a First Amendment to the Well Field Development Agreement also dated February 7, 1989 and recorded therewith and also amended by a Second Amendment to Well Field Development Agreement dated October 15, 1991 and recorded in the office of the Dakota County Recorder as Document No. 1014326 on November 26,1991; and WHEREAS, the Well Field Development Agreement was entered into by previous landowners whereby the landowners agreed to grant easements in the future for the City's proposed wells and the watermains that were anticipated to connect the future wells and existing wells within the property described in the Well Field Development Agreement; and WHEREAS, Landowner has requested that the City exclude the Property from the terms and conditions of the Well Field Development Agreement; and WHEREAS, the City has reviewed the Landowner's request and is willing to exclude the Property from the terms of the Well Field Development Agreement, all upon the terms, and conditions contained herein. NOW, THEREFORE, for good and valuable consideration, the receipt of which is hereby acknowledged, the Parties hereby as follows: 1. The City hereby releases the Property from the terms and conditions of the Well Field Development Agreement; and 2. Except as expressly amended hereby, the terms and conditions of the Well Field Development shall be and remain in full force and effect. Unisys and Harris Trust agreed to grant future easements for the City's proposed wells designated I, K, L, M and N and water mains to connect future wells with existing welis within Unisys Park. We find no consent to the Development Agreernent by Argosy Education Group, Inc. or its predecessor, Duke Construction Limited Partnership, and no record easement granted to the City for Well Sites and Water Mains affecting the Argosy Property, other than Easements for Public Water Wells and Water Mains from Sperry Corporation to the City dated June 27, 1983 as Document 629430, which pre-dates the Development Agreement.
