Koethe, Registrar of Titles ENCROACHMENT AGREEMENT Outlots B and C, West Publishing Company 8` Addition This Encroachment Agreement ("Agreement") is made and entered into this _r day of _October. , 2025, by and between the City of Eagan, a Minnesota municipal corporation (the "City"), and Amazon.com Services LLC, Delaware limited liability company (the "Owner"). The City and Owner are hereinafter referred to as the "Parties." WHEREAS, the Owner is the fee owner of certain property located in the City of Eagan and legally described as Outlots B and C, West Publishing Company 8th Addition, Dakota County, Minnesota (hereinafter the "Property"); and WHEREAS, the Owner desires to allow Minnesota Energy Resources Corporation ("MERC") to enter upon the Property for the purpose of installing and maintaining a 6 -inch diameter polyethylene gas main (the "Improvement") within the City's existing conservation easement document no. 889669 (the "Easement"), as depicted on Exhibit "A" attached hereto; and WHEREAS, in connection with placement of the Improvement, it is necessary for the Owner to encroach within the Easement; and WHEREAS, the City is willing to allow Owner by MERC to encroach within the Easement all upon the terms and conditions contained herein: NOW, THEREFORE, the City and Owner agree as follows: ENCROACHMENT. The City hereby authorizes MERC to construct, maintain and repair the Improvement within the Easement. The Parties acknowledge that the Improvement will be constructed, operated, and maintained by MERC, with the consent of the Owner, and at no cost to the City. 2. NO WAIVER. Nothing in the Agreement shall be deemed a waiver or abandonment of the City's rights in the Easement. COSTS. The Owner and MERC shall be responsible for all costs relating to the construction, maintenance and repair of the Improvements. 4. ASSUMPTION OF RISK. Owner acknowledges that any future maintenance or repair activities by the City or its agents within the Easement may damage the Improvement. Owner assumes all risk of such damage and waives any claim against the City and/or its agents arising therefrom. 5. NOTICES. The Parties mutually recognize and agree that all terms and conditions of this recordable agreement shall run with the land herein described and shall be binding upon the successors and assigns of the parties hereto. 8. GOVERNING LAw. This Agreement shall be governed by and interpreted- under nterpretedunder the laws of the State of Minnesota.
