I was requested on behalf of the City of Eagan to review our position with respect to denial of payment to the Duseks. it is my understandinq also that your City council is considering what options they may have with respect to the claim made by the Duseks. To the extent that this correspondence can assist you or your City Council 'and Mayor come to a determination of what.their role should be, please accept it as precisely that. Please remember that your City does have coverage for the claims made by the Duseks, with respect to the Duseks we are not denying coverage, we are taking the position that the City is not responsible for their damages. Also important, i believe, is language from the Comprehensive Municipal Liability Coverage document which states, in part, that "LNCIT will pay those scums that the covered party becomes -lagaily obligated to pay as damages..." Therefore, our position is that in effect, the City is not "legally obligated* to pay damages to the Duseks arising out of their alleged negligent building inspection. Under separate cover you :may have received correspondence from us outlining both to yourselves and to the Duseks why we did not believe, on behalf of the City of Eagan, that the City is responsible for this particular occurrence. it would be many to simply pay all claims or this claim in particular, just to resolve the Case. However, the Liability coverage document and the previously quoted words from that document place a fiduciary responsibility on those of us at L14CIT not to pay claims for which we believe we are not legally obligated to ay. Based upon Court decisions and the immunities granted to municipalities by the legislature, we do not believe the City is responsible. Furthermore, from a practical standpoint, we believe that if anyone is resppoonsible for the problems that the Duseks had, it is themselves and their selection of a builder. We believe that the damages sustained by the Duseks were unavoidable under the circumstance, however, the original builder who did this work for them stated that he would make the repairs at no cost to the Duseks. Furthermore, we believe that the Duseks have a significant responsibility to themselves to search out and select a contractor in the original addition, who did or would do quality workmanship. Mat I'm really trying to say here is that if anyone is responsible, it is the. Duseks and the builders. I do' not believe that their responsibility should somehow'be shifted back to the City. To do so, in effect, in my opinion, would make the city a general insurer of all construction projects throughout the comunity. In effect, the city ends up creating, at a significant burden to the taxpayers, a huge building inspection department. Not only do you add a significant number of staff and other resources at a cost to the City but you somehow take on some type of a system whereby you guarantee to the individual homeowner or builder in whatever type of project, that the City can ultimately be blamed for anything that goes wrong in that project. in my opinion, this is not of benefit to the public at large which,is represented by your City officials. Just to get back to the LMCIT's role with respect to the City, I do want to point out to you the a portion of the liability coverage conditions. What this really affects is the impact that a City Council decision may have with respect to coverage. Section. IV - Liability Coverage Conditions, states in part, "covered party's duties in the event of oocurrenoe, claim or suit. in the event of an ooourrence, claim, or suit, notice containing particulars sufficient to identify the covered party and also reasonably obtainable information with respect to the ties, place and circumstances thereof, and the names and addresses of the injured and of available witnesses, shall be given by or for the covered party to LMCIT or any. of its authorized agents as soon as possible. The City shall promptly take at its own ezpense all reasonable steps tg, preyent addi-tipl bodily injury, pproperty damage, personal injury, and errors or omissions injury from arising out of the same or similar circumstances . . I have enclosed a copy of our building permit which, as you can see, has been signed and indicates the project was given a final inspection prior to our making payment to the contractor. On December 30, 1991 we awoke in the morning to find water pouring into the west side of our 3- season porch damaging the interior walls and some of the furniture. We immediately made a call to a person that we knew does snow removal from roofs he came over and began the job of removing the snow from the roof of the house and porch. When he did this he discovered a huge ice dam on the roof. He commented that the valleys on the roof were done incorrectly causing the ice to build up, ultimately resulting in the ice dam that caused our current problem. One of the valleys ran up against the existing structure instead of to the end of the roof. As we were surveying the problem, he also noted that the foundation of the porch which was a 6 course cement block foundation was caving inward. He inspected this and found that in some spots the wall had moved inward almost 4 inches. We called the city building inspector and requested that that he come out and make an inspection of the property. Dale Schoeppner of your office made the inspection (a copy of his record of complaint is attached). At this point we contacted the person who had been the contractor for the project and asked him to come over to discuss the situation. He looked it over and stated that he would make repairs. We asked for a written report of the method he would use to make the repairs. Upon receiving that write- up we discovered that the repairs he proposed to make would not meet building code or permanently_ solve the r lem). He also had stated that he would be usin eena_ge son to do some of the work. Since he is no longer in the home remodeling business we inquired about licensing, insurance, bonding, etc. W-) discovered that he had none of these. Since our homeowners insurance would not cover a r, contractor (and especially a minor) working on our property, we said he could not do anything without proper licensing and insurance. He agreed to reinstate his insurance but this would only haves covered injury to himself or damage to our property. He was no longer a licensed contractor./Due to the fact that &he statute of limitations would not afford us further recourse should we allow him to make repairs and then have further problems, we decided we could not afford to take that chance. We decided to request bids on the repairs from other sources. We received bids from three different contractors. During this process we were advised by more than one of the bidders that our foundation and structure contained code violations. We again called the city building inspectors and asked if they would please look this over again and send us a latter stating what specific code violations they found so that we would be sure that all of these were addres-ed in our repairs. A copy of that inspection report is attached. As an aside to this process, I must tell you that your inspectors were very reluctant to do this. When I asked them to do this explaining that I did not want to take chances that the repairs might not meet code--because the statute of limitations does not extend past the initial time limit in the case of repairs to additions-4 was told that they "do not r . design repairs" and that I should get an estimate and description of the repairs from a contractor, then submit these with the building permit application. Because we were not confident that the building permit process would afford us any assurance of meet' d our ermit office and sed / some ica questions about the process. As 1 explained when I spoke with you, I was astounded to find that the person answering my questions was quite frank about the fact that they "do not look very closely at plans submitted with applications for small droiects. The person I spoke with said is was-1 ladk 6rTesourcet-prM6m; the simply did not have time to look over every set of plans this- submitted. I then asked what assurances I had given the fact that t e genera expec a ion o the public is at issuance of a permit assures that code requirements are met at least in the design phase and was told that the inspection process would give me protection. Upon further pressing for information, though, I was told in no uncertain terms, that the inspectors could not see everything. I questioned the gentlemen I spoke with about what would happen if an inspection turned up a violation or deficiency. Would they stop the project and notify the homeowner? He said no, they would simply tell the contractor to fix it and withhold their signature until he complied. As you can see from my copy of the building permit, your inspectors did indeed sign off at certain intervals and gave the structure a final inspection. Not once was any note made that any violation of code requirements existed. My homeowners rA insurance has agreed to pay for a portion of the interior damage, but I am still left with approximately $9,600 in repair bills that could have been avoided had the code violations been noted during K 1 ~rJ?~' construction., At the time that this problem was discovered, we were in the process of putting our house for sale and/, working with a builder to build a new house. We had already chosen a lot, were working with architect 1 (in the final stages of designing our new house), and were working with a realtor to sell our house. Wei" had chosen to wait until after the holidays to list the house, otherwise that step would also have already been taken. Upon discovering this problem, we were advised by our realtor not to try to list )Jt the property. Since the repairs could not began until the spring, and we could not sell our house until this happened, we had to cancel our plans to build the new house. We then began investigating ff ` refinancing of our existing house in order to take equity out of the house and also to take advantage of the low interest rates at that time (8 % on a 15 year conventional was the quote we were given). We ran into another snag in trying to do this, since the bank was not willing to approve a loan until the repairs were completed. As this drug on, the interest rates began climbing back up. We finally convinced the bank to consider the refinancing by suggesting that they reduce the appraised value of the house by the value of the porch thereby lowering the amount of the loan we could take out, but at ~1~ < r v , least giving us some means of getting equity out to make the repairs. From the point at which we first asked about a loan to refinance our house until we finally got the bank to agree to the reduced amount the interest rates had climbed back up to 8.675%. ~i~'CTJ We have now made all of the repairs necessary to make the structure usable and to make it meet building code requirements. In addition to the costs noted above, we incurred expense for yard repair and replacement of carpet necessitated by the construction work. The toal cost of all of work was approximately equivalent to the amount we spent to construct the porch in the first place. We have now invested twice as much in this porch as it adds in value to our property; and we have lost money on the interest rates that we could get for a refinancing loan. This is not to mention the frustration of having gone through all of the steps to design a house, select a lot and began the steps to put our current house on the market. We had felt that by doing the right things in terms of the permits and inspections when we built the porch that the structure would meet code. I asked the city building inspectors about their responsibility in a situation like this and was told that "they cannot be J responsible for this and cannot be expected to see everything when they make their inspections." have argued that fact with them, telling them that the homeowner assumes that the inspectors will note violations (as they are required by statute to do). But, the en resu t is that I am out nearly $10,000 dollars an 16 to s ow for it! Tom, as I said when I spoke with you, this entire experience has been very frustrating in addition to being very expensive. We have been long-time residents of Eagan and feel that the answers we were given by the city building inspection office are not adequate. I have reviewed this matter in detail with our staff. In short, the absence of foundation ties or bolts or backfilling constituted a building code violation which was not identified at the time of construction. This was due to the inspection schedule which was in place at the time and the absence of crawl space access. The other concerns appear to be the result of poor design, but did not constitute building code violations. A summary of my research in this regard is outlined below. - The foundation collapse and roof failure appear to be coincidental but unrelated. Since it does not appear that the structure of the porch itself shifted, the water damage appears to have come from the significant snowfall causing an ice dam which backed water up over the valley flashing. - Had the contractor taken out the building permit, he would have had to be licensed. Because you as the homeowner took out the permit, there was no way for the City to know that someone else was doing the work. Therefore, we could not enforce our licensing requirement on the basis of the permit application information. - Our plan review process is thorough, but general. The roof valley configuration was not good design, but it was not a violation of code. Under ordinary circumstances, the valley flashing appears to have protected the home. Under unusual circumstances, it did not. - The lack of foundation ties and/or inside back-filling were violations of code. The City's inspection schedule at that time included inspections for footings and framing and a final inspection. The foundation was typically inspected at the time of framing. In situations where there is a basement or accessible crawl space, both the foundation and the framing can be inspected at the same time. Unfortunately, in a situation with a confined and inaccessible crawl space, that inspection would have to have been done from the outside. There is no way to determine whether any representations were made by the contractor to the inspector about the foundation details. Since approximately,,1987, the City has done a separate foundation inspection Which permits review of situations such as yours. City staff can only review plans to see whether something is designed to meet code. They cannot redesign a plan or check engineering or structural details. When plans are approved by the City, it is only an indication that it complies with the building code. It does not indicate that the design or engineering details have been approved. It is impossible for the City to respond to the cost of the repairs as presented. We understand that you chose not to permit the original contractor to perform the repairs despite his offer to warranty his original work. You indicated the reasons for this choice. We also understand that you received three bids for the repairs and it is hoped that this process afforded you competitive bids. It is extremely regrettable that this choice cost as much as it did. Nonetheless, had you chosen to permit your original contractor to complete the repairs within the scope he defined, it would have eliminated the code violations for the structure. - Your impressions of our inspections staff are extremely regrettable as well. In truth our staff go to considerable lengths to attempt to meet and exceed the expectations of the public. That is why we are very concerned when that does not occur. As to the original inspection, the failure to identify the code violations associated with the foundation was a mistake. As to any reluctance on the part of our staff to respond to your concerns, it appears, upon discussion with the parties involved, that significant effort was put into the research of your permit history as well as three site inspections, five telephone conversations, coordination of a response from your original contractor and the correspondence which you requested. While the staff was careful to qualify their response to clarify the limits of the City's ability to review the engineering and structural details of improvement plans, it appears that your problem was given significant personal attention by a number of individuals. I realize that our staff may not have been able to meet all of your needs, I hope that you were treated courteously and appropriately. In summary, it appears that building code violations related to the foundation resulted in its shifting. It further appears that the roof valley was poorly designed, but that it was not in violation of any code. In addition, while the failure of the roofing system and foundation were discovered,.,s, nultaneously, they do not appear to be related in that the ice-.-dame,and the heavy, wet snow caused the leakage rather than any shifting of the room addition itself. I apologize for any perception that our inspections staff did not meet all of your expectations satisfactorily. I know that they put significant effort into responding to your concerns. Persons whose annual gross receipts from such activities are less than $15,000 or who work on individual projects, involving one or more contracts for which the aggregate contract price is less than $2,500.00, do not need a state license. The contractor/remodeler license issued by the State will enable a contractor/remodeler to work in any area of the state (with the exception of Minneapolis and St. Paul) without having to obtain a license from the local jurisdiction. Determine who must be licensed. The licensing system established by Chapter 326 requires all companies not exempt pursuant to the criteria noted in the previous paragraph to obtain a license. Each company, regardless of whether it is an individual proprietorship, partnership, or corporation, must have at least one individual (identified on the application) who will serve as a "Qualifying Person." The Qualifying Person is the individual who must take the required examination and fulfill the statute's continuing education requirements. In the case of a sole proprietorship, the owner must be the Qualifying Person. In the case of a partnership, one of the partners must be the Qualifying Person. In the case of a corporation, the chief executive officer, or an employee who is regularly employed by the corporation and is actively engaged in the classification of work for which the corporate license is obtained, may be the Qualifying Person. It is important to remember that the licensing law does not require each employee to be licensed. The statute requires the licensing of "companies." How do I know which license to apply for? The law defines a "Residential Contractor" as a person (or company) who is in the business of building i residential real estate (a new or existing structure constructed for habitation by one to four families) or a person in the business of offering to contract to improve residential real estate. The law defines a "remodeler" as a person in the business of contracting or offering to contract to improve existing residential real estate. In addition, the law states that a remodeler must have at least two special skills. Probably the most important difference between the two types of license is that a remodeler can only work on existing structures where as a contractor can work on both new and existing structures. How to determine if you need a remodeler's license. If, in the course of your business, you offer or contract to perform more than one specialty, you must obtain a remodeler's license. A remodeler's license would be required if you offered or contracted to perform: Example 1: Finished carpentry work AND painting. Example 2: Installation of kitchen cabinets AND installation of linoleum. Example 3: Rough carpentry work AND hang sheetrock. Example 4: Apply new shingles to roof AND repair structure or replace rotten boards on roof. A remodeler's license would not be required if you only offered or contracted to perform: Example 1: Strip and finish hardwood floor. Example 2: Only replace or reshingle old roof. Example 3: Only painting. Example 4: Only laying floor covering. ~Y 2 l ' Where do I obtain an application and bond form? You can pick up the required license application and bond forms at: your local building inspectors office, builders supply company, or the Minnesota Department of Commerce which is located at 133 East 7th Street, St. Paul, Minnesota 55112, telephone: (612) 296-6319. How do I complete the application? You must answer all questions and provide all information required on the application form. Failure to answer any question will result in the application being returned to the applicant. The first page of the application will ask you to: (1) identify the form of license you are seeking (transitional, renewal, or temporary) (All applicant's should check "transitional" when applying for a license for the period between January 1, 1992, and March 31. 1993). Licenses issued during this period will be effective until March 31, 1993, or March 31, 1994, depending upon the birth date of the Qualifying Person (see page 5); (2) identify the applicant's organizational structure (is the applicant a corporation, partnership, or individual proprietorship?) (Remember, if the applicant is a partnership or a corporation you must attach to your application a list which identifies the name and address of each partner, officer, director, or shareholder owning more then 5% of the applicant's outstanding stock; (3) identify the type of license (is the applicant applying for a residential contractor or remodeler license?). The second page of the application will ask you to: (1) Identify the applicant's full (company) name, address, telephone number and tax identification number. If you intend to conduct business under a name that is different than the "applicant's name," you must provide this information in the appropriate space; (see page 6 for information on filing your "assumed name"); (2) information identifying who will be the "Qualifying Person" for the licensee (company). As mentioned 3 i j I f earlier, the Qualifying Person for an individual proprietorship must be the owner. For a corporation the Qualifying Person can be either the chief executive officer, or an employee who is regularly employed by the corporation and is actively engaged in the classification of work for which the corporate license is obtained. For a partnership, the Qualifying Person must be one of the partners. The Qualifying Person will be responsible for success- fully passing the applicable examination and completing the requirements to become effective in 1993 and 1994. Because the State is only issuing Transitional licenses through March, 1993, the licensee's Qualifying Person will not have to take or pass an examination or complete any continuing education in order for the applicant to be eligible for licensure. Once the examination and educational components of the licensing program are established, licensee's will be notified of when and where they can take the exam and where accredited continuing education course work can be found. The Department expects that this information will be disseminated sometime during April or May of 1992. Page 2 also requires the applicant to answer certain questions regarding the applicant, its partners, officers, directors, shareholders, and Qualifying Person. If you answer "yes" to any of the questions, you must attach a detailed written explanation of the circumstances relating to the question when submitting your application for consideration. The third page of your application requires you to: (1) disclose the Qualifying Person's experience and educational background relating to the type of licensure you are seeking; (2) requires you to identify the Qualifying Person's employment history for the past five years. Page 3 of your application also provides you with the information you will need in determining the amount of bond you must obtain to qualify for licensure. (3) requires that you disclose certain information regarding workers' compensation, unemployment, liability, and property damage insurance. All applicants must have liability insurance which provides coverage of at least 4 s $100,000 per occurrence. In addition, they must have property damage insurance which provides at least $10,000 in coverage. In addition, applicants must also identify: the insurance company providing their Minnesota workers' compensation insurance, their policy number, and their Minnesota Unemployment Insurance Account Number. If the applicant feels they are exempt from the workers' compensation and unemployment insurance requirements they should check "yes" in the appropriate line and attach a detailed explanation of why you are exempt. If applicant is uncertain regarding their need for workers' compensation insurance, they should contact the Minnesota Department of Labor and Industry 612-296-6107. If applicant is uncertain regarding their need for unemployment insurance, they should contact the Minnesota Department of Jobs and Training at 612-296-6141. How long is my license good for and how much will it cost? Some licensee's will initially receive a two year license and some will receive a one year license. This will occur because the Department needs to "stagger" the number of licenses it must process in any one year, in order to keep administrative costs at a minimum. To determine whether you will receive a one or two year license, you must refer to the Qualifying Person's birth date. If the Qualifying Person's birth date falls within an odd numbered year, a one year license will be issued which will expire on March 31, 1993. The fee for a one year license is $60.00. Thus, if your Qualifying Person's birth date falls within an odd number year, you must remit $60.00 along with your application and bond in order to be eligible for licensure. If your Qualifying Person's birth date falls within an even numbered year, a two year license will be issued which will expire on March 31, 1994. The fee for a two year license will be $135.00 ($60.00 for the first year plus $75.00 for the second year.) Thus, if your birth date falls within an even numbered year, you must remit $135.00 with your application and bond in order to be eligible for licensure. After March 31, 1993, all renewal licenses issued will be for a period of two years at a cost of $75 per year. Any individual, corporation, partnership or limited partnership who is doing business in the State of Minnesota under a name other than the full name of each person involved in the business (or the legal corporate or limited partnership name) must file an assumed name. "Doing business" means engaged in business transactions in the State of Minnesota, in a more or less continuous course of business. Example: "John Smith Construction" would not be required to file, if John Smith is the owner of the business. The law does not provide the filer with protection against other persons filing the same assumed name, although the persons filing the name first will be informed of every later filing of that name or similar names. It is up to the individual to take legal action to prevent the use of that name. A common law doctrine does allow you to establish certain rights to a name through mere use, and that doctrine could well prevail in such a case. The filing of an assumed name will result in that name being unavailable for use by corporations, whether formed under Minnesota law or in another state and registered in Minnesota, or by limited partnerships or trademarks. The Office of the Secretary of State will reject any assumed names which are not distinguishable from names already on file. To make sure that the name is available for use, call the Secretary of State's Office at (612) 296-2803 and ask whether the proposed name is "available." The name check is preliminary and the office is not able to guarantee that the name can be filed when submitted. How do I file? Complete and sign a Certificate of Assumed Name form obtained from the Office of the Secretary of State, 180 State Office Building, St. Paul, Minnesota 55155, telephone (612) 296-2803. Return the completed and signed form to the Secretary of State along with a $25 filing fee. After the Secretary of State notifies you that your filing has been accepted, have the form published for two consecutive issues in a legal newspaper in the county where you have a registered office or principal place of business. Failure to publish renders your assumed name invalid. Are there any penalties for failing to file? If you do not file your assumed name with the Office of the Secretary of State, you will be assessed $250 in costs at the time of any subsequent lawsuit by or against your business. If you have been in business and have not filed an assumed name, you should file the assumed name as soon as possible so that you will be in compliance with the law. 7 How long is my filing valid? If there are no changes in the information you have submitted, your filing is valid for ten years from the date of filing.
