"Landowner" and the CITY OF EAGAN, a municipal corporation,
organized under the laws of the State of Minnesota, hereinafter
referred to as the "City".
W I T N E S S E T H:
That the Landowner, in consideration of the sum of One Dollar
($1.00) and other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, does hereby grant and
convey unto the City, its successors and assigns, a permanent
easement for drainage and utility purposes, over, across and under
the premises, situated within Dakota County, Minnesota, and as
described in Exhibit "A" attached hereto and incorporated herein.
The grant of the foregoing permanent easement for drainage
and utility purposes includes the right of the City, its
contractors, agents and servants to enter upon the premises at all
reasonable times to construct, reconstruct, inspect, repair and
maintain pipes, conduits and mains; and the further right to remove
trees, brush, undergrowth and other obstructions. After completion
of such construction, maintenance, repair or removal, the City
shall restore the premises to the condition in which it was found
prior to the commencement of such actions, save only for trie
necessary removal of trees, brush, undergrowth and other
obstructions.
And the Landowner, its heirs and assigns, does covenant with
the City, its successors and assigns, that it is the Landowner of
the premises aforesaid and has good right to grant and convey the
easement herein to the City. _

I have received your letter of August 4th indicating that the
City's previous proposal of July 25th for a negotiated acquisition
of a utility easement for an existing storm sewer on the above-
referenced property is not acceptable. In turn, you countered with
the demand of $1 per square foot requestinq approximately $2,410.00
for this easement dedication.
I feel the counter demand is quite excessive and unacceptable.
Taking into consideration that the property owner will still enjoy
the open space usefulness of this facility in accordance with its
original intended use for the single family residential lot, the
City is willing to increase this offer to 504 per square foot, or
approximately $1,205.00. The City will assume and proceed with all
requirements necessary to document and record this easement.
This offer is made solely for negotiating purposes. If it is not
acceptable, the City will proceed with the necessary condemnation
action and will make no further offers for acquisition.
In anticipation of your acceptance of this offer, I am enclosing
the easement documents as prepared by our City Attorney's office
for execution by your client.

Hopefully, you can persuade your client to accept this reasonable
offer from the City of Eagan without having to incur further time
and efforts. Please be reminded that this is not a storm sewer
facility that was installed by the City of Eagan but rather by the
original property owner in 1969 to prevent this property from being
adversely impacted from surface water runoff of upstream
properties.
I hope to receive a positive response in the near future so that
this issue can be satisfactorily remedied.
