LICENSE AGREEMENT
THIS LICENSE AGREEMENT ("License Agreement") is made by and between the City of
Eagan, a Minnesota municipal corporation, (the "City") and Charles Rogers and Krista Rogers,
husband and wife (collecflvely the "Licensee").
WHEREAS, the City is the fee title holder of real property legally descri6ed as follows:
Outlot A, Lexington Meadows, according to the recorded plat thereof, Dakota
County, Minnesota
(fhe "Property"); and
WHEREAS, the Licensee has constructed a fance over, under and across certain portions of
the Property as depicted on the photograph attached hereto as Exhibit "A" and incorporated herein
(the "Fence"); and
WHEREAS, the Licensee desires to acquire a license pertnitting the Licensee to maintain the
Fence in its current location on the Property (the "License Area");
NOW, THEREFORE, the parties hereto agree as follows:
The City hereby grants the Licensee a license to maintain the Fence within the License Area.
This License Agreeinent does not convey to flie Licensee any title, interest or rights except
for the foregoing license. The Licensee may not expand its encroachment onto other azeas of
the Property,
2. Nothing contained in this License Agreement shall be deemed to affect the right ofthe City,
its contractors, agents and servants to use the Property and remove the Fence if necessary or
convenient. After completion of such use or removal, the Licensee may, during the term of
flie license, restore the Fence to its condition prior to the commencement of such actions, at
the Licensee's sole cost and expense.
3. The Licensee shaIl not cause any damage to Property and shall be resgonsible for any such ?
damage caused by the Licensee or by the Licensee's guests or invitees.
4. The Licensee shall provide to the City proof of properiy insurance providing a miiumum of
$500.00 coverage ou the Fence naming the City as an additional insured in connectiou with
this License Agreeinent and stating that the insurance company shall not cancel or fail to
renew such insurance without giving 30 days' prior written notice to the City.
5. The Licensee shall be responsible for all costs associated with this License Agreeinent,
including al] costs and expenses incurred by the City, including but not limited to attorneys'
fees.
6. Immediately upon the Licensee's execution of this License Agreement, the Licensee shall
remit $400.00 (the "Cash Payment") to the City as payment forthe City's costs in connection
with this License Agreement. This License Agreeinent is not effecGve until the Licensee
remits the Cash Payment to the City.
If the City determines, in the Ciry's sole discretion, that the Fence has not been properly
maintained, upon request ofthe City, the Licensee shall immediately remove the Fence from
the Property and restore the Property to the condition as it existed prior to the construction of
the Fence, at the Licensae's sole cost and expense. If the Licensee faits to umely remove the
Fence and restore the Property as required herein, the City may remove the Fence and restore
the Froperty to the condition as it existed prior to the construction of the Fence, without any
obligation or liability to the Licensee, and at the Licensee's sole cost and expense, including
but not lunited to material, labor, and costs of collection, including but not limited to
attomeys' fees.
8. The City may terminafe this License Agreement at any time 6y giving written notice of
termination to the Licensee at least sixty (60) days prior to the effective date of the
termination. Upon termination of this License Agreement, the Licensee shall immediately
remove the Fence from the Property and restore the Property to the condition as it existed
prior to the construction of the Fence. If the Licensee fails to remove the Fence and restore
the Properry as required herein within sixty (60) days a8er termination of this License
Agreement, weather pernutting, the City may remove the Fence and restore the Property to
the condition as it existed prior to the constnxction of the Fence, without any obligation or
liahility to the Licensee, and at the Licensee's sola cost and expense, including but not
limited to material, labor, and costs of collection, including but not limited to attorneys' fees.
9. Within thirty (30) days after presentation of a detailed invoice therefore, the Licensee shall
pay or reimburse the City for all costs and expenses that the Licensee is obligated to pay
under this License Agreement. Such charges shall become part of the City assessments. If
the Licensee fails to pay the invoice, the City shall include such assessments as part of the
real estate taxes due and payable wifli respect fo the Property. The Licensee waives any
rights to hearings or notice of hearings relating to the levying of such assessments or the
right to contest the assessments under Minnesota Statutes Section 429.081.
10. The Licensee's obligations and liabilities pursuant to this License Agreement shall survive
the revocation or termination of this License Agreement.
In acknowledgement of the above agreement, the parties hereto aff"ix their signatures on the

NOW, THEREFORE, the parties hereto agree as follows:

This License Agreement does not convey to the Licensee any title, interest or rights except

WHEREAS, the Licensee desires to acquire a license peimitting the Licensee to maiiitain the
Fence in its current location on U1e Property (the "License Area");
NOVJ, THEREFORE, the parties hereto agree as follows:
The City hereby grants the Licensee a license to maintain the Fence within the License Area
This License Agreement does not convey to the Licensee any title, interest or rights except
for the foregoing license. The Licensee inay not expand its encroachment onto other azeas of
tlie Property.
2. Nothing contained in this License Agreement shall be deemed to affect the right ofthe City,
its contractors, agents and servants to use the Property and remove the Fence if necessary or
convenient. Afrer completion of such use or removal, the Licensee may, during the term of
the license, restore the Fence to its condition prior to the coimnencement of such actions, at
die Licensee's sole cost and expense.
3. The Licensee shall not cause any damage to Property and shall be responsible for any such
damage caused by the Licensee or by the Licensee's guests or invitees.
4. The Licensee shall provide to the City proof of property insurance providing a miiumum of
$500.00 coverage on the Fence naming the City as an additional insured in connection with
tlus License Agreement and stating that the insurazice company shall not cancel or fail to
renew such insurazice without giving 30 days' prior written notice to the City.
5. The Licensee shall be responsible for all costs associated with this License Agreement,
including all costs and expenses incurred by the City, including but not limited to attorneys'
fees.
Iimnediately upon the Licensee's execution of tteis License Agreement, the Licensee shall
remit $400.00 (ihe "Cash Payment") to the City as payment for the City's costs in connection
with this License Agreement. This License Agreement is not effective until the Licensee
remits the Cash Payment to the City.
7. If the City determines, in the City's sole discretion, that the Fence has not been properly
maintained, upon request ofthe Ciry, the Licensee shall immediately remove the Fence from
the Property and restore the Property to the condition as it existed prior to the construction of
the Fence, at the Licensee's sole cost azid expense. If the Licensee fails to timely reinove the
Fence and restore the Property as required herein, the City may remove the Fence and restore
the Property to the condition as it existed prior to the constrvction of the Fence, without any
obliga6on or liability fo the Licensee, and at the Licensee's sole cost and expense, including
but not lunited to niaterial, labor, and costs of collection, including but not Iimited to
attomeys' fees.
8. The City may terminate this License Agreeinent at any time by giving written notice of
termination to the Licensee at least sixty (60) days prior to the effeclive date of the
termination. Upon termination of this License Agreement, the Licensee shall immediately
remove the Fence from the Property and restore the Property to the condition as it existed
prior to the construction of the Fence. If the Licensee fails to remove the Fence and restore
the Property as required herein within sixty (60) days after termination of this License
Agreement, weather permitting, the City may remove the Fence and restore the Properiy to
the condition as it existed prior to the construction of the Fence, without any obligation or
liahility to the Licensee, and at the Licensee's sole cosf and expense, including but not
limited to material, labor, azid cosis of collection, including but not limited to attorneys' fees.
9. Within thirry (30) days after presentation of a detailed invoice therefore, the Licensee shall
pay or reimburse the City for all costs and expenses that the Licensee is obligated to pay
under this License Agreement. Such charges shall become part of the City assessments. If
the Licensee fails to pay the invoice, the CiYy shall iuclude such assessments as part of the
real estate taxes due and payable with respect to the Property. The Licensee waives any
rights to hearings or nofice of hearings relating to the levyiiig of such assessmeiits or die
right to contest the assessments under Minnesota Statutes Section 429.081.
10. The Licensee's obligations and liabilities pursuant to this License Agreeinent shall survive
the revocation or termination of this License Agreement.
In ackuowledgeinent of the above agreement, the parties hereto affix their signatures on the
dates stated below.
