INDEPENDENT CONTRACTOR SERVICES AGREEMENT
This Services Agreement (the "Agreement") is entered into as of May 9, 2022, between All
Energy Solar Inc. ("Company") and Charles O"Connell ("Customer"). Company and Customer
are collectively referred to as the "Parties" or individually as a "Party".
RECITALS
A. Company is in the business of designing, engineering, assembling, installing and
providing repair, replacement and operation and maintenance services to solar photovoltaic
systems, solar thermal energy systems, energy storage systems and electric vehicle charging
stations and performing other electrical work and energy monitoring for businesses and
individuals.
B. Customer wishes to retain Company to provide certain services (the "Services") as more
particularly described in the Scope of Services attached to this Agreement as Exhibit A.

NOW, THEREFORE, for good and valuable consideration, the receipt of which is hereby
acknowledged, Company and Customer:
1. Scope of Services. Customer hereby retains Company to provide the Services
described in Exhibit A attached to this Agreement and incorporated herein by this reference.
Company shall perform the Services with the standard of care of companies providing similar
services in the community in which the Services are performed.
2. Compensation. As compensation for the Services, Customer shall pay Company as set
forth on Exhibit B to this Agreement.
3. Schedule. Company will commence the Services upon execution of this Agreement.
Company will use its good faith reasonable efforts to complete the Services on or before the
later to occur of the following dates: (a) to be scheduled with the customer, (b) if the Services
include assembly and installation of equipment provided by third parties, the date 30 days after
the date the last of such equipment has been delivered to Company. Company shall not be
responsible for any delays in shipping such equipment or damages that may occur to such
equipment during shipping.
4. Access. Customer shall provide Company with access to the premises where the
Services will be performed, as reasonably necessary to allow Company to perform the Services,

including ingress and egress rights for Company and its employees, contractors and
subcontractors. Customer, its employees and agents shall not interfere with Company's
performance of the Services.
5. Other Customer Responsibilities. Customer hereby agrees to pay Company for the
Services according to the terms and conditions of this Agreement. If the Customer's premises
are subject to any easements, covenants or other legal encumbrances or utilities, fixtures, or
any other condition that could affect performance of the Services, Customer agrees to let
Company know about them prior to commencement of the Services. Customer agrees to ensure
that work areas are free of preexisting hazards, including, but not limited to unsafe physical
conditions or environmental hazards and building/zoning code violations. Customer agrees to
provide power to, and as applicable, climate control in work areas. Customer agrees not to allow
unattended minors at service address while the Contractor is present. Customer agrees to
control pets and keep them away from work areas. Customer agrees to keep posted permits on
display at all times. Customer agrees that if anyone under the Customer's control interferes with
or delays performance of the Services, Customer may be subject to transportation/storage
charges or other resulting charges.
6. Cooperation. Customer agrees to cooperate fully with Company in the provision of the
Services, including, without limitation, timely payment and timely provision of requested
information and assistance in obtaining any necessary permits or other approvals to permit
Company to perform the Services.
7. Impact of Services on Third Party Warranties. Unless expressly addressed in this
Agreement, Company shall have no obligation to perform the Services in a manner designed to
preserve any third party warranties, except for any equipment that Company is providing as part
of the Services. If Customer wishes Company to perform the Services in a manner that
preserves any other third party warranties, Customer shall make Company aware of all
applicable requirements and the scope of the Services and Compensation shall reflect such
requirements and reasonable compensation to Company for such compliance. Company shall
not be liable for breach of any third party warranty unless the terms of such warranty were made
known to Company and the scope of Services adjusted to incorporate any compliance
obligations and reasonable compensation for compliance before commencement of the
Services.
8. Independent Contractor. Customer and Company agree that the Customer is engaging
Company as an independent contractor and Company shall determine the means and the
methods of performance of the Services. Company shall not be considered the agent, servant
or employee of Customer at any time or under any circumstances or for any purpose
whatsoever.
No Subcontracting or Assignment. Customer may not assign this Agreement or

Company's obligation to provide the Services without the prior written approval of Company,
which shall not be unreasonably withheld. It shall not be unreasonable for Company to withhold
its consent to any such assignment that would require the Services to be performed upon a
different property.
10. Termination. If this Agreement is terminated by Customer for any reason, other than
Company's intentional failure to perform the Services, Customer shall remain responsible to pay
for any Services provided and reimbursable expenses, including costs for equipment, materials
and subcontractor services, incurred by Company prior to the effective date of such termination.
Upon such payment, Company shall deliver to Customer any equipment paid for by Customer.
If Customer materially breaches any term of this Agreement, Company shall have the right to
terminate this Agreement without prior notice to Customer.
11. Warranty. If Company is providing a warranty on any portion of the Services, such
warranty, if applicable, is set forth in the Services Warranty attached as Exhibit C to this
Agreement. COMPANY DISCLAIMS ALL OTHER EXPRESS AND IMPLIED WARRANTIES,
INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, AND FITNESS
FOR A PARTICULAR PURPOSE.
12. Limitation of Liability. In no event shall either Party be responsible to the other for
special, punitive, indirect, incidental or consequential damages, including without limitation, loss
of use, loss of profits, cost of capital or increased operating costs, arising out of this Agreement
or the Services whether by reason of contract, indemnity, strict liability, negligence, intentional
conduct, breach of warranty or from breach of this Agreement. In the event Company shall be
found in breach of this Agreement or in the event of any other alleged claim with respect to the
Services, Company's total liability to Customer shall not exceed the compensation paid to
Company under this Agreement. Company shall have no liability to Customer for any claims or
damages resulting from Customer's failure to use any equipment provided as part of the
Services in accordance with the manufacturer's recommendations or in accordance with written
instructions provided by Company as part of the Services.
13. Insurance. Company agrees to keep in force at its own expense, during the entire
period of the Services, such liability insurance as will protect it from claims for bodily injury and
property damage, under Workers' Compensation laws and bodily injury and property damage
liability, that may arise out of the Services. Company shall maintain a Commercial General
Liability policy with a minimum limit of $1,000,000 per occurrence.
14. Successors and Assigns. All provisions of this Agreement shall be binding upon and
inure to the benefit of the parties hereto and their respective heirs, if any, successors, and
assigns.
15. Choice of Law; Choice of Venue. The Agreement shall be governed by and construed in

accordance with the laws of the State of Minnesota. Unless a different venue is agreed to by
the parties, any dispute regarding this Agreement or the Services shall be brought in a court of
competent jurisdiction located in Minneapolis/St. Paul, Minnesota. If any court action is
necessary to enforce this Agreement, the prevailing Party shall be entitled to reasonable
attorneys' fees, costs and expenses.
16. Waiver. Waiver by one Party hereto of breach of any provision of this Agreement by the
other shall not operate or be construed as a continuing waiver.
17. Notices. Any notices, demands, or other communications required or desired to be
given by any Party shall be in writing and personally served, or deposited in the United States
mail, certified or registered, postage prepaid, return receipt requested. If served personally,
notice shall be deemed constructively made at the time of such personal service. If given by
mail, such notice shall be conclusively deemed given three days after deposit thereof in the
United States mail addressed to the Party to whom such notice, demand or other
communication is to be given as follows:

Any Party hereto may change its address for purposes of this paragraph by written notice given
in the manner provided above.
18. Modification or Amendment. No amendment, change or modification of this Agreement
shall be valid unless in writing signed by the parties hereto.
19. No Third Party Beneficiaries. This Agreement is solely for the benefit of the Parties and
no right or cause of action shall accrue by reason of this Agreement for the benefit of any third
party.
20. Entire Understanding. This document and any exhibits attached constitute the entire
understanding and agreement of the parties, and supersede any and all prior agreements,
understandings, and representations.
21. Unenforceability of Provisions. If any provision of this Agreement, or any portion thereof,

is held to be invalid and unenforceable, then the remainder of this Agreement shall nevertheless
remain in full force and effect.
22. Acceptance and Authorization. By signing this Agreement, Customer: (a) authorizes
Company to perform the Services; (b) acknowledges that Customer has read and understands
this Agreement or that Customer has had a competent legal representative review the
Agreement, and hereby accepts this Agreement in its entirety; and (c) acknowledges receiving a
complete copy of the Agreement, including all exhibits.

Exhibit A
Scope of Services
1.Description of Services. Company provides the Services below:
A. All Energy Solar has been asked to finalize an existing solar installation. This includes
finalizing permits, and working with the utility to commission the installation.
B. The minimum amount due will be $850. This price includes one trip by a technician to
meet with the utility to commission the system, along with the All Energy Solar administrative
costs. If additional work is required, and if other entities require additional payments, those will
be billed to the customer. The deposit will be $400 with the remaining balance due once the
solar array is turned on.
C. All Energy Solar takes no responsibility for work performed by another company. A►I
Energy Solar offers no ongoing warranty.
2. Changes to the Scope. All changes to the Scope of Services shall be confirmed in writing by
a change order or other writing signed by Customer and Company.
Exhibit B
Compensation
Customer shall compensate Company for the Services described on Exhibit A as follows. -
Labor: Trip charge $150
Hourly Rate: $ 95 x number of technicians
$150 x number of electricians
Cost of Materials:
To be determined
Remainder due upon completion of work (materials and additional hours)
1. Sales & Use Tax. The final cost of the Services shall include the sum of all amounts set
forth above, plus any applicable sales or use tax in the State of Minnesota and community in
which the Services are provided.
2. Payment Due Date: 15 days after completion.
3. Past Due Payment. Any amounts not paid on or before their due date shall bear interest
at the rate of ten percent (10%) per annum until paid in full.
