properties, proper screening wi11 be required. If screening is required, details
would need to be reviewed and approved by the City. Any questions of screening

1. The premises identification numbers are specified as 10" high metal numbers. They will be
mounted above the vestibule window on the south elevation facing the main enhy drive.
2. We have modeled the mechanical units in 3D to evaluate their visibility. The mansard
parapet is approximately 30" high and along with cazeful placement, the units were not
visiUle atthe street.

MAINTENANCE AGREEMENT
This Maintenance Agreement (hereinafter "Agreement") is made this I6'day of
t , 2007 by and between Rater Holdings, LLC, a Minnesota limited liability
company hereinafter referred to as "Owner") and the City of Eagan, a Minnesota municipal
corporation, organized under the laws of the State of Minnesota (hereinafter referred to as
"City"). Owner and City are jointly referred to as "Parties".
RECITALS
WHEREAS, Owner is the owner of the real property located at Lot One (1), Block Three
(3), Oakview Center Addition ("Property");
WHEREAS, Owner accesses the Property by way of Courthouse Lane, approximately
130 feet east of the temporary cul-de-sac bubble, beyond the limits of the City's winter
maintenance, as set forth on Exhibit "A" attached hereto and incorporated herein ("Un-
maintained Courthouse Lane");
WHERAS, the City does not plow or sand the Un-maintained Courthouse Lane and does
not intend to plow or sand the Un-maintained Courthouse Lane in the winter months until
Courthouse Lane is extended eastward as part of future development; and
WHEREAS, Owner has agreed to be responsible for all winter maintenance associated
with the Un-maintained Courthouse Lane, until such time that Courthouse Lane is adequately
extended east onto the adjacent property.
NOW THEREFORE, in consideration of the foregoing premises the mutual premises
contained herein and for One Dollar ($1.00) and other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, the Parties hereby agree as follows:
1. Winter Maintenance. Owner hereby agrees that Owner shall be responsible for
all winter maintenance associated the section of Courthouse Lane from the temporary cul-de-sac
bubble to the easterly driveway to Cerasis until such time that Courthouse Lane is adequately
extended east onto the adjacent property. Such winter maintenance includes, but is not limited to,
all plowing, salting and sanding of Un-maintained Courthouse Lane. Owner further
acknowledges and agrees that City shall have no responsibility to Owner to provide any winter
maintenance for the Un-maintained Courthouse Lane.
2. Pavement Maintenance. City hereby agrees that it shall be responsible for
providing pavement maintenance (patching, seal coating, etc.) during the summer months
associated with the Un-maintained Courthouse Lane. Notwithstanding the foregoing, nothing
contained herein shall be construed to require the City to provide any patching, seal coating or
other maintenance to the Un-maintained Courthouse Lane during the winter months.
3. Indemni6cation. Owner hereby agrees to indemnify and hold the City harmless
from any claim, expense, damages, or any other fees, including reasonable attorneys' fees,
arising out of or related to this Agreement as well as the Owner's obligation to maintain the Un-
maintained Courthouse Lane during the winter months.
4. lnsurance. Owner shall maintain at all times comprehensive liability insurance
naming the City as an additional insured.
5. Covenant Runnine With the Land. This Agreement shall constitute a covenant
running with the land and shall be binding on and inure to the benefit of the Parties, their
successors and assigns.
6. Governine Law. This Agreement shall be governed by the laws and rules of the
State of Minnesota.
