ARTICLE III
MEMRERSfiIP AND VOTING RIGHTS
IN T11E ASSOCIATION
Section l. Membership. Every Dwner oE a T,ot whicli

Association, shall be a member of the Association. Membership
shall be appurtenant to and may not be separated Erom ownership
of any Lot which is subject to assessment. Transfer of ownersliip

Section 2. Votinq Ri qhts• The Association shall have
two classes of voting membership:
Class A. Class A members shall be all Owners of Lots,
with the exc6ption of the Declarant prior to the termination
oE Class 8 membership, and shall be entitled to one vote
Eor each Lot owned. When more than one person hvlds an
interest in any Lot, all such persons sliall be members.
The vote for such Lot shall be exercised as they determine,
but in no event snall more than one vote he cast with respect

and shall be entitled to three (3) votes for each Lot owned.
'i'he Class B membership shall cease and be converted to Class

A membership equal the total votes outstanding
in the Class B membership, or
(b) on June 1, 1985.
ARTICLE IV
PROPERTY RIGII'PS IN 'f'kIC COMMON PROPLR'PIES
Section 1. Every Owner shall have a right and easeinent
oE enjoyment in and to the Cominon Area, which shall include,
without limiting the yenerality thereoE, the right of access
to and from the Owner's Lot Eor the Owner and the Owner's
invitees, the riyht to park within areas designated thereCor
by the Associa.tion, the riyht of lateral support, the right
to use party walls, if any, adjoining his Lot, and the right
to use utility, water and sewer easements, and whicli shall be
appucteiiant to and shall pass with the title to every Lot,
subject to the Eollowiny provisions:
(a) The right oE the Association, in accordance with its
Rrticles and Ily-Laws, to borrow money for the purpose

mortgage said properties and the rights of such
mortgayees in said properties shall be subordinate
to the rights of the Owners hereunder; and
(b) The right of the Association to take sucii steps as
are reasonably necessary to protect the Common Area

(c) The right of tlie Association to suspend the voting
rights and right to use of the recreational Eacilities
by an Owner tor any period during which any assessment
against liis Lot remains unpaid; and for a period not
to exceed 60 days Eor each infraction of its publislied
rules; and
(d) The right of the Association, subject to the assents
required by Article XI hereoE, to dedicate or trans[er
all or any part of the Common Area to any public agency,
authority, or utility for such purposes and subject to

Section 2. Delegation of Use. Any owner may deleqate,

Common Area and facilities to the members of his family, his
tenants, or contract purchasers who reside on the property,
and may also delegate the rights of access to invieees.
Section 3. Parking Rights. Each Lot contains parking
areas (including garages) for the use oE its owner. In addiL-ion,
each owner may use the driveway immediately in Eront oE his
garage for parking space to the exclusion of other owners.
The Association may maintain additional parking spaces on the
Common nrea Eor the use oE owners' guests and invitees, subject
to reasonable reyulation by rule of the Association.
Section 9. hiinor Encroachrnents. In the event that

ANTICLE V
COVEIdANT COR MATNTL'NANCE_ASSLSSMENTS
Section 1. Creation of the Lien and Personal Obliqation
of nssessments. 'Phe Declarant, Eor each Lot owned within tlie
Properties, hereby covenants, and each Owner of any Lot by
acceptance of a deed therefor, whether or not it shall be so
expressed in such deed, is deemed to convenant and agree to
pay to the Association: (1) annual assessments or charges, and
(2) special assessments Eor capital improvements or capital
equipment to be owned by the Association, such assessments to
be established and collected as hereinaLter provided. The annual
and special assessments, together with interest, costs, and
reasonable attorney's fees, shall be a charye on the land and
shall be a continuing lien upon the property ayainst which each
such assessment is made. All assessments, both annual and

special, shall become a lien upon the Lot on the date they becnme
due and payable. Such annual assessments shall be due and
payable in twelve equal monthly installments on the lst day
of each and every month commencing on the lst day of January.
Special assessments shall be due and payable as determined by

interest, costs, and reasonable attorney's fees, shall also

Dear Mr. Hedges:
On behalf of the Horizon Hills Home Owners Association, I am
writing about our opposition to the possible construction of a
townhome adjacent to 1538 Clemson Drive between our townhome
Association and the Thomas Lake Home Owners Association on
Clemson Drive.
The property, currently owned by Dunn Realty, would require
replatting, approval by the City of Eagan and the townhome
association(s) involved to squeeze in another townhome. It is
our understanding that New Horizon Homes is attempting to obtain
a variance of about eight feet from the City of Eagan in order to
build the new townhome.
The Horizon Aills Home Owners Association is in disagreement with
the erection of a townhome by 1538 Clemson for the following
reasons:
• Aesthetically, the buildings will be too close
together, taking away from the uniform appearance
of Clemson Drive pre-established by the City of
Eagan.
• Maintenance issues will presumably arise as to
which Association is responsible for maintaining
the grounds. HHHOA has set very high standards
for the upkeep of the grounds and does not want
to see this jeopardized in the future.

• With buildings so close together, a parking
problem arises. As has happened at 1545
Clemson, the driveways are so tight, residents
have become accustomed to parking on the street.
This may become especially hazardous near
1538 Clemson as there is a curve in the road.
Pedestrians walking on the street, around parked
cars, could be in danger of being hit because
there are no sidewalks. Since the only school
bus stop for Clemson is at Clemson and Thomas
Lake, this affects school children. Also, dusk
or near dark lighting must be considered.
We hope, by bringing this to your attention early, that you will
consider our issues of safety and aesthetics, and deny any
replatting of the area by 1538 Clemson Drive between the Thomas
Lake and Horizon Hills Home Owners Associations. If you have any
