TEMPORARY CONSTRUCTION EASEMENT
This easement, made this day of 2006, between HAU LE and
PHiJONG THI LE, husband and wif ,(hereinafter referred to as "Landowners"), and the City of
Eagan, a Minnesota municipal corporation, organized under the laws of the State of Minnesota
(hereinafter referred to as the "City").
WITNESSETH:
That the Landowners, in consideration of the sum of One Dollar ($1.00) and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, do hereby
grant and convey unto the City, its successors and assigns, a temporary construction easement for
site grading purposes over, under, across and through the following described premises, situated
within County, Minnesota, to-wit:
Lot 1, Block 1, CLIFF WOODS OF EAGAN, according to the recorded plat thereof.
Said temporary easement being the West 25.0 feet of the South 50.0 feet of said Lot 1.
Together with:
A temporary easement for construction purposes over, under, across and through the
West 10.0 feet of the North 80A feet of the South 130.0 feet of said Lot 1.
Together with:
A temporary easement for construction purposes over, under across and through that
part of the West 15.0 feet of said Lot 1 lying northerly of the South 130.0 feet
thereof.
Said temporary easements to expire on December 31, 2007.
See also Exhibit "A" attached hereto and incorporated herein.
The grant of the foregoing temporary construction easements for site grading purposes
include the right of the City, its contractors, agents and servants to enter upon the premises at all
reasonable times to construct, reconstruct and inspect site grading and the further right to remove
trees, brush, undergrowth and other obstructions. After completion of such construction,
maintenance, repair or removal, the City shall restore the premises to the condition in which it was
found prior to the commencement of such actions, save only for the necessary removal of trees,
brush, undergrowth and other obstructions, subject only to permanent easement alterations.
The Landowners, their hens and assigns, do covenant with the City, its successors and
assigns, that they are the owners of the premises aforesaid and have good right to grant and convey .

At your request, we performed a structural analysis of the existing
foundations under the new loading conditions for Girder Truss "S"
(refer to truss description and layout plan prepared by Automated
Building Components dated 1/10/02) of the referenced residence. We
understand that the truss condition changed from the original design
(girder truss will now span between the two exterior walls of the garage)
and that the local Building Official wanted a structural engineer to
review the foundations at the bearing locations. Information regarding
the framing of the house was taken from Sheets 1-6 prepared by
Meyer Design Service and was received on 1/17/02. The following
are the results of our analysis:
Girder Truss "S" bearing down the page between the garage doors
2. CMU foundation wall condition below column bearing: Fill 6"
CMU top course and 12" CMU foundation wall below with grout
over 16" length of the wall to the top of the 20" wide x 8" thick

I'm sending you a copy of a letter W put in the file for Lot 1 Blk 1 Cliff Woods of Eagan. Joel Rausch was
present on 12-12-01 along with Greg Hove (city fores[er) when at the above lots decisions and agreements
were made to resolve the issues rWd'mg the placement of the proposed house an I# 1 Blk 1
Cliff Woods of Eagan, and thaz the builder/owner of this lot (Rick Ixsch) would grant us a 2/1/2 & x 150 &
easement In exchange for us paying for and removing a large white oak on his property (which we did).
After the tree was removed and the city approved his house plans he has since changed his mind regmxling
the easement. However , on 12-12-01 while Greg Hove and Jcet Rausch were thae and we were
discussing specifics about the removal of the tree, I asked the builder /owner Rick Lesch, to sign a letter
stating what we agreed upon with the easement in exchange for the removal of the tree and he did 'Ihouglt
it may not be a recordable document it is enforcable
I do want to make stwe that the city is aware of this and the problems we are currently having. With this
Letter agreement for the easement not being of record it is certainly going to be problems for the fitwe
home owners and for us.
We have put a lot of good faith, time, money and effort into working with the development in our back
yard We have continually received the short aid of the deal by bWh the first owner and now the second
owner. I don't know what we could have done diffeently. But, as homeowners & citizens of Eagm and not
to mention my husband provides the city with his services as a firefighter, we give a lot back to the city.
And we waut to make siue dhat conce[ns and rights as existmg homeowners are taken mto considerazion
during developments such as this
This has been a long and painful experience for us and it is not over.
We are going to work on getting this builder to live up to his written agreement and give us a recorduA
easement document (2!12 ft x 150 ft) which we have already compensated him for.
Please be aware that his cement contractors have damaged the South corner of of grass and sprinkler
s em. This being the smne area the last builder damaged. Please let me know the correct puxdm to
have ' fixed so we may be reimbiused this time.

Based on your binding agreement to grant us an easarieat of 2%s ft x 150 ft for our existing trees, as
evidenced by the original letter agreement (the "Agreement") discussed and signed by you on 12112101, we
had an Easement Agremart prepared by ow aUomey for your review. In consideration for the Agreement,
we removed the large white oak an your property at a cost of S400, thus making the AgreEmait legally
binding. Both Greg Hove and Jcet Rausch from the City of Eagan were present at the time this easement
was being discussed and the letter Agreemem signed.
While the Easement Agreement that was prepared was consistent with the existing easement of record, you
indicated t6at the new easement agreement be fa the additional only and have limited provisims. To
address your concerns, on Friday, 12/21/01, we faxed to your office a revised and greatly simplified
Easement Agreement. It has been over two weeks and we have not heard anything from you.
One way or another you are obliged to provide us with specific comments regarding this so we may
address them and then arrive at a recordable document. We would appreciate receiving the comments in the
next week at the latest.
As it stands now the letter Agreement you signed gives us a 2.5 Foot by 150 foot easement that runs with
our existing easement. This is also evidenced by the Surveyor's Certificate of record at the city dated
12/1210 l. The Wstrnce of this easement, without specific provisions governing, will need to be disclosed
to any potential new home owners. However, until a well drafted easement with specific terms and
provisions is put of record, The Agreement will likely cause troubles for any potential new home owners.
As a professional Realtor/Builder we believe you have a duty to clearly disclose this easement to any
parential buyers (think of the trouble you were caused when you didn't know of the content of the existing
easement --the only reason it didn't become an even bigger issue was probably due to the fact that there
was a specific document of record which you had the ability-and the responsibility to discover); however,
in any event, we will be taking the propu steps to make sure our interests are protected. We truly believe it
will be better for everyone concerned to get the Eauanent Agreement of record.
We are sorry that this is how things are aiding up, but with no furtha cammumicatiaa from you, we are left
with no options.
Please communicate with all your sub-contractors that they do need to be careful around these trees. The
excavator has already knocked down a portion of the safety fence we had put up, and it does need to be
restored back to its position. Also, the cement contractors (All in One) have twice nm their hvcks over the
front comer of our yard and have made deep nrts by our sprinkler heads (114 and 1/7). We have resodded
this area and ran new sprinkla lines two times since August 2001, due to damage done from contractors
waking for Mendota Homes. We will le[ you know what the approximate costs of repairs will be and
expect that you will be taking care of this.

Basically we are asking for an explanation as to why you have failed to respond to our letters and what
your intentions are at this point Your reluctance to address this situation is aeatin8 more of a problem not
to mention hard feelings.
We feel this still could be resolved rather simply, however, if you don't respond to this letter we will be
taking action to involve RHS Realty, file a complaint with the Board of Realtors Ethics Committee, along
with commencing legal action for non performance.. If we are forced to go in that direction we will be
asking for all legal oosts to be paid by you plus any other damages. We would also past signs throughout
our backyard and on our top deck notifying any new owner of this easement problem and any pending
litigation.
It is clear that an easement has already been granted by the agreement signed on 12112/0 1, though it is not
clear what is governed in this easement As a Realtor you and RHS Realty may have an ethics violation if
this is not handled propaly. All we want is to be able to record the easement you have already granted us.
We would like to have a response no later than Feb. 5d', 2002.
This is to also put you on notice that no damage should come co the trees on these easements.

Enclosed you will find a copy of our newly recorded (and much anticipated) Easement Contract for
The full 12'/z ft x 150 ft. This easement gives us very specific rights and control over the plantings, and
trees in this area to ad as a buffer and minimize the impact this new development has made on our home.
We have worked very hard to get this finalized over the last two years, to make things even more difficult,
we have had to work out deals and pay two different builders, and neither one ended up being fair or honest
with us. This has been a long and emotional process and we have now paid a total of $15,000 for the
control over this easement (with the last $2,000 being handed over to Rick Lesch on Feb. 22, 2002 just to
get this issue resolved). Everyone has a right to build and develop their property and we never had a
problem with that, all we wanted was to be able to provide ourselves with a nice buffer for privacy and
keep or restore as much natural landscaping as possible and to protect the value of our home.
We are amazed that even with all our involvement and willingness to work with the development, that it
tumed to be such a mess and now it sticks out like a sore thumb. Our view from our home is destroyed
forever, the city initially approved a narrow rambler and the second developer crammed a huge 2 story
home there instead. So the importance and safety of the 7( seven ) 15' to 20' utes that we planted is
everything to us, it makes living with this somewhat bearable. We know there is nothing now that can be
done about what has happened , so our focus now is to prevent any fia[her threat to the value of our home
by this development and make the best out of this situation.
The builder,(Rick I.esch) still has to drain the south side of the house, and with his unannounced egress
windows on the south side he is going to have to use extreme care to do so and it might take a little extra
time to do this. We are asking the City's assistance in making sure he does so responsibly and without
threatening our large trees ability to grow and flourish. Trees of this size can never be replaced in this
narrow area, and they are the only thing that is making that new house bearable to have in our back yard
and to view daily from our kitchen and family room.
It does appear they will be grading soon and we aren't sure what he is going to need to do with the grading
issue. If you could keep us informed on what they are going to be required to do for draining we would
appreciate it We still have a lot of re- landscaping to do to clean up the backyard which has been a mess
now for over two years and knowing how the drainage is going to go would be a big help.
Thank you for all help and support throughout this time, we understand some things are out of your control,
And your position is not always an easy one.

I contacted Mr. Le this morning and explained that we require a minimum of 7 ft.
of horizontal clearance on each side of a water main so he would not be able to
plant any trees in that location. He is now proposing to install a fence. I
explained to him that this could be an option, however, he must realize that if we
need to remove his fence for water main maintenance any damage to the fence
and replacement of the fence will be his responsibility. I also told him to put it on
the Galaxie Pt. side as opposed to the trail side since Galaxie Pt is a private street
and we have no jurisdiction over it.

As you know, your neighbors, Rick McLay and Pam Larkin, have a legal "Easement" for the
benefit of their property over a portion of your property. The Easement is over and across the South
twelve and one-half feet (12.5') feet of the West one hundred and fifty feet (150') of your property (the
"Easement Area"). The Easement is for the purpose of planting and maintaining trees and shrubs and
other foliage (the "Plantings") between the two yards to act as a buffer providing privacy and other
aesthetic advantages.
I am an attorney for Rick and Pam and am writing on their behalf in an effort to avoid having to
bring a court action against you to: (i) enforce their rights, (ii) have a judge determine the amount of any
monetary damages you may owe my clients because of your actions, and (iii) seek reimbursement for all
legal fees and costs incurred by my clients in enforcing the legally binding agreement which governs who
is and who is not allowed to make any changes to the Easement Area.
The terms of the Easement Agreement are clear, legally enforceable and a matter of public record
with the County Recorder's office.
Among other things, the Easement Agreement gives Rick and Pam "the sole decision makinp
Easement Area both initially and in the future, including the right to choose the types, style and
density of Plantings, the right to plant either mature trees or plants or to plant seedlings, bulbs or any other
type of Plantings."
It has come to their attention that you have apparently taken it upon yourselves to make alterations
to a 22 foot tree in the Easement Area that were so extreme, that it may have caused irreparable damage to
the tree and it is unknown at this time whether the tree will survive. While if is not clear whether such
damage was done intentionally to destroy the tree or whether it was done without care or consideration of
the grave consequences, in either case your actions are very troubling and completely unacceptable; more
importantly, from a legal perspective such actions are in clear contravention of my clients' rights under
the Easement Agreement to have sole decision making rights and responsibility for all trees, shrubs and
other foliage in the Easement Area. You are to have NO contact with any of the trees, shrubs or plantings
in the Easement Area.

The terms and conditions of the Easement Agreement are clear and legally enforceable against you
in a Court of Law. While we would rather not have to resort to enforcing my clients' rights through a
lawsuit in a Court of Law, as it should be unnecessary (unless the tree dies) and will be very costly to you
if you have been unlawfully altering or damaging any of the trees, shrubs or other foliage or Plantings in
the Easement Area, my clients are very distraught over your apparent disregard for their legal rights and
the damage you are causing in the Easement Area and they will take whatever action is necessary and
appropriate to protect their rights and recoup their damages (again, especially if the tree dies).
Please respond to this letter with a simple written letter (sent to my law offices at the address on
this letter) acknowledging that you will no longer alter, damage or otherwise affect any of the trees,
shrubs or other foliage of Plantings in the Easement Area. Failure to acknowledge your agreement to so
abide by the terms of the legally enforceable Easement Agreement or any subsequent violation of the
terms of the Easement Agreement, may also be met with legal action against you to enforce my clients'
rights.
Again, I hope that the tree doesn't die and we won't have to resort to a lawsuit and that you will
siinply abide by the terms of the Easement Agreement (which is binding on you and your land, and will
be binding on any future owners of your land). If you have any questions concerning the terms of the
Easement Agreement, you may wish to contact the County Recorder's office for a copy of the Easement
Agreement or you may wish to contact your own attorney, to make sure that you understand the binding
legal nature of the Easement Agreement as it applies to you (even though you did not sign the Easement
Agreement, the Easement Agreement is binding against you, as it was agreed to by the previous owner
and is an agreement which binds future owners of the property as a recorded instrument in the public land
records).
Again, I would ask you to promptly respond to this letter in writing, acknowledging that you will
no longer alter, damage or otherwise affect any of the trees, shrubs or other foliage of Plantings in the
Easement Area in any way.

either mature trees or plants or to plant seedlings, bulbs or any other type ofP3Antinp; provided,
Grantees shaJl use reasonable efforts to minimize the impact the activity associated witii the
installation and maintenance of the Plantings has on the owner of Parcel A, in particular, the
eventual residentia3. owner of Parcel A, e.g., not using loud machinery for planting or

4. Grantees shall make no material changes to fhe gradiap of the Easement Arca or
any other material changes to the surface of the Easement Area which materially interferes with
the drainage plan for Parcel A. IT Grantee diswrbs the surface of Parcel Ain breach of the
foregoing, the owners of Parcel B shall reasonably restore the surface of Parcel A to substantially

5. If any of the Plantings planted by (he owners of Parcel B dies or, in the opinion of
a registered horkicnlturaTist, should be removed due to disease or damage, then the owners of
Parcel H shall be responsible for removing said tree or plant.
6• The rights granted hereunder shall be limited to the piantiag and maintenance of
trees and other foliage. In no event shall any permauent physical structure be constructed in the
Easement Area by either Party.
7. The ownen of Parcel S shall indemnify the owners of Parcel A against any claim
for personal injury or damage to property which occurs witivn the Easement Area as a direct
result of its use by the owners ofPucel H. This indemnity shaTi include reasonshle aYtomeys

fees incurred by the owners of Parcel A in defending themselves in any action brought The
ownezs oF Parcel B shall fiuther indemnify the awners of Parcel A against any mechanic's lien
claim resulting from labor or material provided to the owncrs of Parcel B for the planting or

8. The terms and conditions of this Agreement shall constitute covenants and
servitudes running vriih the land, burdening and benefiting, as appurtenances, Parcels A and S as
specifically stated herein, and shall be binding upon and for tlxe benefit of the Parties aud their
respective heirs, pcrsonal representatives, devisee9, administrators, tenants, successors and
assigns, and zmy other persons 'Who hereafter acquire an interest in Parcel A or Parcel B by
operation of law or other isgai mcans. Whenever a transfer of ownership of any of the percels
occurs, liability of the transferor for breach of any covenants occurring thereafter shall
automalicallytenninata, provided, however, such transferor shall remain liable for any
obligations incurred prior ta such transfer.
9. Each of the Parties represents and wairants that it has the full capacity, right,
power and autfiority to execute, deliver and perform this Agreement, and all required actions,
consents and approvals therefor havs bsen duly taken and obtained. Furthermore, each of the
Parties represents and warrants that upon flil1 execution of tlvs Agrcexnnnt, dae real property
provisions of this Ageeznent shall be binding on aIl parties with any intcresY in their respective
Parcels.
10. The provisions of this Agreemeat are for thLe exclusive benefit of the Pazlies
hereto and the.ir successors and assigns and not for the benefit of any third peison; and this
Agreement confers no rights, exprecs or implied, upon any such thsrd person; and there are no
"third party benafciaries" to this Agreement,
71. This Agreement may he signed in counterparts, each of which shall be deemed an
original and all of which, taken together, shall constitute one instrument.
12. This Agreement represents the entire understanding between the Patties and all
prior written or oral agreements are hereby declared null and void. Anywri#ten amendment to
this Agreement shall only be effective when reduced to writing and said writing is signed by the
owners of both Parcel A and Parcel 13.
