CITY OF EAGAN
WHEREAS, a regular meeting of the City Councii of the City of Eagan, Dakota County,
Minnesota, was held on the 16`t' day of December 16, 2008, at 6:30 p.m. at the City Ha11 located at
3830 Pilot Knob Road, Eagan, Minnesota; all members being present; and
WHEREAS, pursuant to M.S.A. §412.851, the Mayor convened the public hearing to
consider The proposed vacation of a drainage and utility easement lying cver and across the
following described property:

WHEREAS, the Council at a regular meeting on the 18'' day of November, accepted a
petition to vacate said drainage and utility easement pursuant to a petition and scheduled a public
hearing on the vacation for the 16th day of December, 2008, at 630 p.m. at the City Hall; and
WHEREAS, AfFidavit of Publication of Notice of Hearing in This Week, dated November
28, and December 5, 2008, relative to the proposed vacation was submitted; and
WHEREAS, there appearing no objections to said vacation and the Council desiring to
vacate said drainage and utility easement; and
WIEREAS, it having been determined that other than petitioner, there are no other parties,
including public utility companies, having an interest in said drainage and utility easement, and it
appearing that it is in the public interest to vacate such easement, and there being no objections;
NOW THEREFORE, upon motion by Councilmember Bakken, seconded by
Councilmember Hansen, all members voting yes, it was RESOLVED that the drainage and utility
easement lying over and across the following described property is hereby vacated:

PERPETUAL EASEMENT
THIS PERPETUAL EASEMENT ("EasemenY') is dated as of 9/17/01
2001, by and between the United States Postal Service, an independent
establishment of the Executive Branch of the United States Govemment (39
U.S.C. § 201) ("Grantor"), and the City of Eagan, ("Grantee).
RECITALS
A. Grantor is the fee simple owner of certain real property located in the
City of Eagan, State of Minneso#a, legally described on Exhibit A, attached
hereto and incorporated herein by reference. The portion of Grantor's Parcel
that is the subject of this Easement is also described on Exhibit B attached
hereto and incorporated herein by reference and also referred to as "Easement
Area."
B. Grantor and Grantee desire to set forth below their respective rights
and obligations for a Easement with respect to Grantor's Parcel.
AGREEMENTS
In consideration of the sum of $1.00, and the recitals and the mutual
agreements that follow, Grantor and Grantee agree as follows:
1. Grantor hereby grants and conveys to Grantee, its successors, and
assigns, a nonexclusive perpetual Easement upon, over and across the
Easement Area for a biking trail. The Easement may be used by Grantee, its
successors and assigns for access over, across and on Grantor's parcel for use
by the public for the purpose of biking and walking. The Easement may also be
used for construction andlor maintenance of the trail including but not limited to
the retaining wall and berm located within the Easement.
2. The Parties agree that the Grantee shall not use the Easement in a
manner that unreasonably interferes with the Postal Service use.
3. The Parties agree that Grantee its successors and assigns shall be
responsible for construction, maintenance and repair of the Easement and any
and all costs related thereto. Such maintenance and repairs shall include but
are not limited to repair, landscaping, grading, paving, and the replacement of
the trail materials, whether the same be asphalt, concrete and/or gravel. Grantee
shall be responsible for snow removal in the portions of the Area Easement that
Grantee determines is necessary to its use.

4. The Grantee, by acceptance of this Easement, agrees for and on
behalf of itself and all persons who may at anytime use, occupy, visit or maintain
said Easement herein created that the Grantor, its successors and assigns, shall
not be responsible for damages or loss to property, injuries, or death, which may
arise from or be incident to the use and occupation of the Easement, nor for
damages or loss to property, injuries, or death, to the person of the Grantee or of
others who may be on said premises at the Grantee's invitation.
5. The Grantee, by acceptance of this Easement, agrees to defend,
indemnify and hold the Grantor, its successors, and assigns, harmless against
any and all claims, demands, damages, costs, expenses, and legal fees, for any
loss, injury, death or damage to persons or properry which at any time is suffered
or sustained by Grantor, its employees, the public, or by any person whosoever
who may at any time be using, occupying, or visiting, or maintaining the property
that is the subject of said Easement, or be on or about the property that is the
subject of said Easement, when such loss, injury, death or damage is asserted to
have been caused by any negligent act or omission or intentional misconduct of
the Grantee, or its agents, servants, employees, invitees, and contractors. In
case of any action or proceeding brought against the Grantor, by reason of such
a claim, upon notice from the Grantor, Grantee covenants to defend such action
or proceeding. The Grantor shall not be liable and the Grantee waives and
releases the Grantor from all claims for damage to persons or property sustained
by the Grantee, or its employees, agents, servants, invitees, contractors and
customers resulting by reason of the use of the Easement.
6. Subject to and in accordance with the provisions of the Federal
Tort Claims Act, 28 U.S.C. § 2671, et sea., the Grantor expressly agrees to be
responsible for claims, loss, damage, actions, causes of action, expense, and/or
liability resulting from the negligent or wrongful act or omission by any employee
of the Grantor while acting within the scope of employment under circumstances
where the Grantor, if a private person would be liable in accordance with the
laws in the State of Minnesota.
7. Grantee agrees that throughout the duration of this Easement to
provide the Grantor, its employees, customers, and the public with continual and
uninterrupted access to the Eagan Branch Post Office including but not limited to
the customer parking lot. In the event Grantee fails to provide continual and
uninterrupted access to this Postal facility, the Grantor has the option of
terminating this Easement by providing written notice to the Grantee that the
Easement is terminated. Upon receipt of said notice, Grantee has 24 hours to
remedy the situation. In the event Grantee fails to provide access to these
Postal facilities within 24 hours, said notice of termination shall become final and
the Easement is terminated.
6. All provisions of this instrument, including the benefits and burdens,
are deemed to be covenants running with the land and are binding upon and
insure to the benefit of the parties hereto, their respective heirs, successors and
assigns.

This Right of Entry/Temporary Constroction ("Easement"), is dated as of 9/17/01 ,
by and between the UNTTED STATES POSTAL SERVICE, an Independent Establishment of
the Executive Branch of the Government of the United States (39 U.S.C. § 201) ("Grantor"), and
the City of Eagan, ("Grantee).
REClTALS
A. Grantor is the fee simple owner of certain reaI property located :n the C;ty of Eagan,
State of Minnesota, legally descnbed on Exhibit A, attached hereto and incorporated herein by
reference and also referred to as Parcel No. 11 ("Grantor's" Parcel"). The portion of Grantor's
Parcel that is the subject of this Easement is also described on Exhibit B attached hereto and
incorporated herein by reference, and referred to as "Easements."
B. Grantor and Grantee desire to set forth below their respective rights and obligations
for a Temporary Construction Easement with respect to Grantor's Pucel.
AGREEMENTS
In consideration of the sum of $1.00, and the recitals and the mutual agreements that
follow, Grantor and Grantee agree as follows:
1. Grantor does hereby grant unto the Grantee, its agents and assigns, the right to
enter upon and commence construction and all activities required in connection therewith over,
under, on, and across the property (described as easements for convenience only) on Exhibit B:
2. Said temporary easements expire July 1, 2002.
3. The Parties agree that the Grantee shall not use the Easements in a manner that
unreasonably interferes with the Postal Service use.
4. The Grantee, by acceptance of this Easements, agrees for and on behalf of itself
and all persons who may at anytime use, occupy, visit or maintain said Easements herein created
that the Grantor, its successors and assigns, shall not be responsibie for damages or loss to
property, injuries, or death, which may arise from or be incident to the use and occupation of the
Easements, nor for damages or loss to property, injuries, or death, to the person of the Grantee or

provide access to these Postal facilities within 24 hours, said notice of termination shall become

8. It is understood that the City, its agents and assigns, will restore the portion of the
above described Property that is uses for temporary construction ptuposes to a condition as
nearly equal as possible to that which existed prior to construction.
9. It is further understood that this Easement does not constitute a waiver on behalf
of the owner to any claim for damages to the property resulting from the acquisition and use of
the Property for temporary construction purposes.
The Landowner, its successors and assigns, does covenant with the City, its successors
and assigns, that it is the owner of the lands and premises aforesaid and has good right to grant
and convey this right of entry and temporary construction easement to the City.
