This is to confirm out conversation on March 8, 1996 regaurding the building
we plan to build in Eagandale Center Industrial Park number 3, block 2,
lot number 11. The building we plan to build is approximately 3500 sq.ft.
and includes about 700 sq.ft. of office, one (1) dock door and one (1)
drive in door.
The building use will be office warehouse with the warehouse being used
for storage of air cleaning equipment (metal boxes with filters).
The building will not be used for parking of automobiles or trucks for
expended periods and/or overnight.

I. BISCO CLEAN AIR (hercinafter referred to as the Company) shall not be bound by this quotation unless
signed by the purchacer and until accepted in wnpng by an authonzed representanve of the Company at its
headquarten.
2. The Company agrees to furnish only the goods as descnbed herein and in any wntten data submitted herewnh,

othec controis of govemmenc authonties, acuon taken by any governmentat authoriry whether domestic or
foreign shortage of vansportadon, fuel, ma[enal and labor, or any other cause beyond the Company's
reasonable control. Any shipping data stated in this quotadon or any acknowledgment is the Company's
best esdmate bu[ the Company makes no guarantee of shipment by this announced date and shall have no
liabiGty or ocher obligation for failure co ship on ihat date, regardless of cause, unless herein expressiy sca[ed

freight is to be pnpaid by the purchaser and a hand(ing fee may be charged by the Campany.
13. 'Ihe company guarantees that for a periad of onc year from the datc of shipment, the goods descri6ed herein
sha11 be free from defecu in matenal and workmanshiQ and shail perfornt as ropnsented heretn and in the
written data submitted herowith, except that [he Company makes no guarantee against corrosion af any goods
and makes no guaranue wharsaever as to any goods manufactured or suppiied by o[hm. After having been
given adequau opponunity to remedy any defects in material, worlananship or perfotmance, and if not so
remedied the Company retains the oQtion to accept the nturn of the nonperforming goods, and to refund the
purchace pnce for said goods. This refund will be the full extent of the Company's liability and the Company
snati na[ be iiabie iar any other ca:us, ezpenses or damages whether direct, indvect consequcnuai or atheruvise.
Miee exists no fucther wazranties or guarantees except as herein noted and atl other wazrenpes whether
expressed or implied aze hereby ezpressiy excluded.
14. Payment terms under this agreement include that an interest charge of one and one-half percem (1-1/2) per
momh (18% per year) may be chatged on accounts ezceeding the stated (30) days [ertns. Acceptance by the
Compsny of an offer to purchase resulting from this quo[azion is subject w credit aQprovai by the Campany and
sueh acceptance may be withiuld pending a ccrdic investigaaon. Shipments, deliverics and Qcnducdon cammi[
ments shalt be subject to maintenance by the purchaser of a current accounc with the Compaey. The Company
agfees to furnish waivers oF lien only to the eztent of payments received. In the event of defaul4 the putchaser
agtees m pay atl reasonable aztorneys fees and cosu of collection.
15. Product changes: 71ie Company reserves the righc to change design andlor models without liability, all changes
being made in the intecest of produc[ improvement.
16. This quotation is expressiy limited to and made conditionai upon acceptance by the purehaser to the terms of
