This LICENSE AGREEMENT, (the "Agreement") is made and enterzd into this 29[h day
of Jlnuary, 1998, by 1nd beaveen the CITY OF EAGAN, a Minnesota Municipal Corporation,
(hereinafter reterred to as "Licensor") and JEJ CURPORAT[ON, aWisconsin Corporation,
(F12CZIRSf[Zf IZf2CC8C1 IO 15 "Licensee"). Hereinafter Licensor 1nd Licensee shall bejointly referred
to as "Parties".
WITNESSETH:
WHEREAS, Licensee owns reaf property which abuts Licensor's Property and desires the
right to use a portion of Licensor's property for drainage and utility purposes for thz benefit of
Licensze's property; and
WHEREAS, Licensor is willing to garant to Licensez the riQht to usz a portion of Licensor's
propeRy for drainage and utility purposes pursuant ro temts and conditions as hzreinaftzr described;
NOW, THEREFORE, in consideration of One Dollar ($ 1.00) and other good and valulble
considzration, the receipt 1nd sufficiency of which is hereby acknowlzdged. Licensor and Licensze
hereby agree as fol(ows:
Licensor hereby grants to Licensee, its successors and assigns, the non-exciusive use of the
followina, described premises, situated within Dakota County, Minnesota, for drainaoe and utility
purposes:
A License for storm sewer purposes over, undzr and across all that part of the following
described propetty, to-wit:
Lot 10, Block 2, Eagandale Center Industrial Park No. 4;
Which lies within a strip of land 30 fezt in width, along the southerly 30 feet of Lot
10, Block 2, Eagandale Center Industrial Park No. 4.
(HereinaRer referred to as the "License Premises.")

The grant of use of the License Premises for draina-e and utility purposes includes
the right of the Licensee, its contractors, agents and servants to enter upon the License
Fremises at all rzasonable times io consinLct, reconstnic[, inspect, repair and maintain
pipes, conduits and mains; and the further right to remove [rees, bnish, undergrowth and
other obstnictions. After completion of such constniction, maintenance, repair or removal,
the Licensee shall restore the License Premises to the condition in which it was foimd prior
to thz commencement of such actions, save only for the necessary removal of trees, bnish,
undergrowth and other obstructions. Licensze shall be solely responsible For the
installation and maintenance of the License Premises and shali indemniEy and hold
Licensor harmless from any and all claims, actions, judgements, liabilities, liens, dama,ges,
penalties, fines, costs and e,r•penses, including, but not limited to, attorneys' fees, foresezn
or unforeseen, asserted against, impused upon, or suffzred or incurred by Licensor directly
or indirectly arisin-, out af or in connection with this Agreement.
The gtant of the License to Licensee under this Aureement m1y bz revoked by
Licensor at Licensor's so(e discretion, at any time upon providing ninety (90) day's notice
to Licensee at the property address, namely 3205 Mike Collins Drive, Eagan MIN 55121.
Unless terminated at hereinbefore provided, this Agreement shall bz binding on all
successors and shall ntn with the land.

or unforeseen, asseRed against, imposed upon, or suffered or incurred by Licznsor directly
or indirectly arising out of or in connection with this Agreement.
The grant of the License to Licensee under this A.-reement may be revoked by
Licensor at Licensor's sole discretion, at any time upon providing ninety (90) day's notice
to Licensee at the property address, namely 3205 Mike Collins Drive, Eagan NMNI 55121.
Unless terminated at hereinbefore provided, this Agreement shall be binding on all
successors and shall nin with the land.
