Access Easement
mDear Paul:
In accordance with your letter of July 17th, enclosed please find
the legal documents that must be executed in order to properly
convey the access easement over the. above-referenced lot as
previously discussed. In consideration for executing and
dedicating this access easement as described, the City of Eagan
hereby provides assurances that the property owners of Lots 12 and
13, Block 1 will be able to install fence along their common lot
line without any objections from the City of Eagan. If, at some
future date, the City finds it necessary to remove this fence to
perform necessary maintenance and/or repair work, the City will
assume all costs associated for restoring the property to an equal
or better condition prior to the initiation of such maintenance
activities.
When properly executed and notarized, please return them to my
attention for proper recording at the County. At that time, the
City will reschedule consideration for adjustment to the final
assessment roll for Project 534 (Blackhawk Ponds-Watermain) as
previously discussed in my letter of July 23, 1989.

INGRESS AND EGRESS EASEMENT
IN CONNECTION WITH PROJECT #534
AND CONTRACT #88-13
This easement, made this day of ,
1989, between MERITOR DEVELOPMENT CORP., a Pennsylvania
corporation, herein referred to as "Lsndowner" and the CITY OF
EAGAN, a municipal corporation, organized under the laws of the
State of Minnesata, hereinafter referred to as the "CITY".
W I T N E S S E T H:
That the Landowner, in consideration of the sum of One Dollar
($1.00) and other good and valuahle consideration, the receipt and
sufficiency of which is hereby acknowledged, does hereby grant and
convey unto the City, its etnployees, agents or contractors, a
permanent easement for ingress and egress purposes, over, across
and under the following described premises, situated within Dakota
County, Minnesota, to-wit:
The northeasterly twelve (12.0) feet of Lot 14, Block 1,
BLACRHAWR POND, according to the recorded plat thereof.
See also Exhibit "A" attached hereto and incorporated herein.
This permanent easement for ingress and egress purposes is to
permit City personnel and equipment to use this easement for the
purpose of utility maintenance, inspection and operation. No
obstructions such as trees, shrubs, fences, buildings, gardens,
etc. will be permitted to occupy'this easement. Any costs incurred
for removal of any obstructions for access usage by the City will
be the financial responsibility af the individual lot owner.
The Landowner, its heirs and assigns, does covenant with the
City, its successors and assiqns, that it is the owner af the
premises aforesaid and has good right to grant and coavey the
easement herein to the City.
IN TESTIMONY WHEREOE, the Landowner has caused this easeinent
to be executed as of the day and year first above written.

On July 5, a proposed adjustment to the final assessment allocation
for the above-referenced project against the Blackhawk Ponds
development was continued indefinitely to allow the development an
opportunity to resolve the issue of the grading of the dedicated
access easement on the common lot lines of Lots 12 & 13, Block 1,
Blackhawk Ponds Addition, or its relocation and rededication by
subsequent document conveyance.
Once this issue has been resolved, a final assessment adjustment
issue for the above-referenced project will be readdressed by the
City Council. Please feel free to work with Ed Kirscht of our
Engineering Division for any questions associated with the
resolution of the access easement rededication or its regrading
requirements.

CTTY OF EAGAN
WHEREAS, a regular meeting of the City Council of the City
of Eagan, Dakota County, Minnesota, was held on the 5th day of
September, 1989, at 7:00 o'clock p.m. at the City Hall located at
3830 Pilot Knob Road, Eagan, Minnesota; all members being present;
and
WHEREAS, pursuant to M.S.A. Section 412.851, the Mayor
convened the public hearing to consider the proposed vacation of a
certain ingress and egress easement lying over and across the
following described property:
Lots 12 and 13, Block 1, Blackhawk Pond; the centerline of
such 15.00 easement is described as follows:
Beginning at the Northwest corner of Lot 13, Block 1;
thence on an assumed bearirg N 84 degrees 59 minutes 33
seconds E, along the northerly line of said Lot 13, a
distance of 164.87 feet to the northeast corner of said
Lot 13, and there terminating.

WHEREAS, the Council at a regular meetinq on the 15th day
of August, 1989, accepted a petition to vacate said ingress and
egress easement pursuant to a petition of the landowner and
scheduled a public hearing on the vacation for the 5th day of
September, 1989, at 7:00 o'clock p.m. at the City Hall; and
WHEREAS, an Affidavit of Publication of notice of hearing in
the Dakota County Tribune, dated August 17, 1989 and August 24,
1989, relative to the proposed vacation was submitted; and
WHEREAS, said hotice of Hearing was posted at the City Hall
on the 14th day of August, 1989; and
WFIEREAS, there appearing no objections to said vacation and
the Council desiring to vacate said ingress and egress easement;
and
wHEREAS, it having been determined that other than
petitioner, there are no other parties, including public utility
companies, having an interest in said ingress and egress easement,
and it appearing that it is in the public interest to vacate such
easement, and there being no objections;
NOW THEREFORE, upon motion by Councilmember Gustafson,
seconded by Councilmember Egan, all members voting yes, it was
RESOLVED that the certain ingress and egress easement lying over
and across the following described property is hereby vacated:
Lots 12 and 13, Block 1, Blackhawk Pond; the centerline of
such 15.00 easement is described as follows:
Beginning at the Northwest corner of Lot 13, Block 1;

1'HIS AGREEMENT, made and entered into on the 2aT?'day of
C GTU 13 E,P , 1993, by and between the CITY OF EAGAN, a Minnesota municipal
wrporation, (hereinafter "City"), whose address is 3830 Pilot Knob Road, P.O. Box 21194,
Eagan, Minnesota 55121; and JOE MILLER HOMES, ING„ whose address is 3459
Washington Drive, Eagan MN 55122 (hereinafter "Developer").
WHEREA3, the Developer has applied to the City for the vacation of a public
drainage and utility easement, over and upon wtuch the Developer is constructing a two-
story single family home ("the Home") on property located in the City of Eagan, Dakota
County, Minnesota and legally described as:
Lot 13, Biock 1, Blackhawk Pond, (the Property");
WHEREAS, in conjunction with the City's vacation of said easement, the City
requires the relocation and casing of the 8" watermain, and other facilities ("the Project").
The Project shall be defined as set forth in the approved plans and specifications dated
October 12, 1993, with the latest revision dated October 15, 1993; and
WHEREAS, under authority granted to it, including Minnesota Statutes §412, the
City Council has agreed to approve said vacadon on the condidons: (1) that the Developer
enters into this Agreement, wluch Agreement defines the work wlrich the Developer
undertakes to complete the Project and (2) the Developer shall provide a letter of credit,
or collateral agreement in the amount and with conditions satisfactory to the City, providing
for and securing to the City the actual construction and installation of such improvement

within the period specified by the City.
NOW, THEREFORE, the City and Developer agree as follows:
1. VACATION OF EASEMENT APPROVED. Subject to the terms and conditions of
this Agreement, the recitals above, and all other applicable Eagan Ciry Code provisions, the
City hereby approves the vacauon of a public drainage and utility easement upon wluch land
the Developer intends to construct the Home.
2.
The Developer shall relocate and install at its
own cost the following local improvements: an 8" watermain with mechanical joint pipe in
a 16" steel casing and new water service taps described in this paragraph and subparagraphs.
Seven (7) complete sets of all required detailed plans and specifications, as required, shall
be prepazed by a registered professional engineer and shall be submitted and approved by
the Public Works Department prior to the issuance of the permit to proceed. Ray Brandt,
435-1966, is hereby determined to be the Project Manager of the improvements necessary
for the Project and is authorized by the Developer to address any and a11 concerns of the
City in regard to the improvements necessary for this Project. These improvements shall
be completed in accordance with approved plans and specifications on file in the office of
the Public Works Department, which are hereby made a part of ttris Agreement, as follows:

and agreed that failure of the City to promptly take action to enforce this Agreement after
expiration of time in which the work is to be completed, will not waive or release any rights

of the City, and the City can take action at any time thereafter and that the terms of the
Agreement shall be deemed to be automatically extended until such time as the City elects
by appropriate resolution of its Council to deciare the Developer in default hereunder
pursuant to the provisions of paragraph 8, "Default by Developer."
A. C,roLnd Material. Developer shall insure Wat adequate and suitable ground
material shall exist on the Property for the watermain and casing installation and shall
guarantee the removal, replacement or repair of substandazd or unstable material, as
described by the City. The cost of said removal, replacement or repair is the responsibility
of this Developer.
B. PropeM Restoration. The Developer shall restore all areas disturbed by the
Project construction in accordance with the approved erosion and sediment conuol plan, and
any surrounding properties wlrich aze affected by the grading operation, upon receipt of a
written request by the City to do so.
C. 4treer Maintenance Access and Reir. The Developer shall clear any soil,
earth or debris from any public right-of-way oz wetlands within or adjacent to the Property
resulting from the completing of the Project by the Developer or its agenu, successors or
assigns, and shall restore to the Cit}js specifications any daznage to bituminous surfacing
resulting from the use of construction equipment.
D. Erosion Control. The Developer shall provide an approved erosion and
sediment control plan prior to the issuance of the permit to proceed and shall install and
maintain each erosion control measure as required under the approved erosion and
sediment control plan or which becomes necessary subsequent thereto. The City shall

inspect the site for erosion and sediment control practices during the following periods:
1. Temporary erosion and sediment control measures installed prior to
the start of any grading, excavation or filling.
2. During construction.
3. After significant rainfall events.
4. After project completion.
The Developer shall be responsible for notifying the City when these intervals occur.
The Developer shall be responsible for all damage caused as the result of excavauon
within and surrounding the Property, including but not limited to, restoration of existing
control structures and cleanup of public right-of-way, until the Home is constructed and the
Project is completed. As a portion of the erosion and sediment control plan the Developer
shall re-seed or sod any disturbed azeas in accordance wiW the approved erosion and
sediment conuol plan prepared by Brandt Engineering. The City reserves the right to
perform any necessary erosion and sediment control or restoration as required if these
requirements are not complied with after notification by the City as sdpulated in paragraph
8"Default by Developer". The Developer shall be 5nancially responsible for payment for
tlris extra work.
E. Permats. It is the responsibility of the Developer to determine and obtain all
necessary approvals, permits and licenses from the City of Eagan and any other regulatory
or jurisdictional agency affected by or having jurisdiction over the Developer-installed public
improvements for the Project. Major design requuements of azry such agencies shall be
determined prior to completion and incorporated into the plans and specifications. All costs

incurred to obtain said approvals, permits and licenses and aLso all fines or penalties levied
by any agency due to the failure of the Developer to obtain or compiy with conditions of
such approvals, permiu and licenses sha11 be the responsibility of the Developer. The
Developer agrees to defend and hold the City harmless from any action initiated by a
regulatory agency resulting from such failures of the Developer.
3. EXIS1'ING DRAINAGE AND il1'ILI'fY EASEMENT VACA170N. The Developer
shall grant to the City a public drainage and utility easement vacation and deliver to the City
the necessary easement document, in recordable form, as determined by the City for
recording. ,

The Developer shall provide the City Public
Works Department with a two (2) worldng day notice of the commencement of work under
this Agreement. Upon receipt of said notice the City shall have a reasonable time, not to
be less than five (5) working days, to inspect said improvements. Upon failure to comply
with the terms of this paragraph, the City may required additional security as provided in
paragraph 11 "Financial Security Release" herein.

A. Apnroval of Contractors and Engineer. Any contractor or engineer preparing
plans and specifications selected by the Developer to design, construct or reconstruct the
watermain trunk and required storm sewer improvements must be approved in writing by
the City Public Works Department and such approval shall not unreasonably be withheld.
B. Construction. The construction, installation, materials and equipment shall
be in acwrdance with the plans and specificarions approved by the City Public Works

Department. The Developer shali cause the contraciors to fumish the City Engineer with
a written schedule of proposed operadons, subcontractors and material suppliers, at least
five (5) days prior to commencement of construction work. The Developer shall norify the
City in writing, coordinate and hold a pre-construction conference meeting with all affected
parties at least three (3) days prior to starting construction of any street or utility
improvements.
C. Inspection. The Public Works Department, or its designated representative,
shall periodically inspect the work installed by the Developer, its coniractors, subcontractors
or agents. The Developer shall notify the Public Works Depardment forty-eight (48) hours
prior to the commencement of utility consuuction. Failure to notify the City to allow it to
inspect said work shall result in the City's right to withhold the release of any portion of the
Financial Security resulting from work being performed without the opportunity for
adequate City inspection pursuant to pazagraph 11 "Financial Security Release".
D. Faithful Performa_nce of Construction Contracts. The Developer shall fully
and faithfully comply with all terms of any and all conuacts entered into by the Developer
for the installation and construction of ali of its improvements and agree to repair or replace
as d'uected by the City, and a Developer's sole cost and expense, any work or materials that
become defective, in the reasonable opinion of the City> until acceptance by the City.
E. City Acce.ptance. Upon completion of the work and construction required to
be done hereunder, the Developer shall give written notice within thirty (30) days once
improvemenu have been completed in accordance with the ordinances, standards and
approved plans and speci5cations of the City. The City shall then inspect the improvements

and notify the Developer of any improvements that do not so wnform. Upon compliance
with such ordinances, standazds and approved specifications, the watermain relocation shall
become the property of the City upon written notice of acceptance by the City. Upon
failure to comply with the terms of tlus paragraph, the City may require additional security
as provided in paragraph 11 "Financial Security Release", herein. If the Developer's
improvemenu do not conform, notice shall be given to the Developer of the need for repair
or replacement or, in its discretion, the City may proceed under paragraph 8, "Default by
Developer."
F. Engineering Submittals ReQuired. Three (3) blue line copies of the detailed
record plan "as built" drawings of those public improvements constructed described in
Pazagraph 2, 'Development Improvemenu", shall be provided by Developer in accordance
with City standazds no later than thirty (30) days after completion and acceptance of these
improvements by the City and prior to release of any financial securities unless otherwise
approved in writing by the Public Works Department. In addition, 5na1 quantity tabulations
shall be required which must include the following items:
1. Watermain by lineal footage and size.
2. Length of steel casing.
6. LICENSE. The Developer hereby granu the City, its agents, employees, officers and
contractors, a license to enter the Property to perform all inspections deemed appropriate
by the City during the installation of public improvemenu. The license shall expire after
the public improvements to be installed pursuant to this Agreement have been installed and
accepted by the Ciry.

7. RESPONSIBILITY FOR COSTS.
A. Except as otherwise specified herein, the Developer shall pay all costs incurred
by it or the City in conjunction with the Project, including but not limited to, all costs of
persons doing work or furnishing sidlls, tools, machinery or materiaLs, or insurance premiums
or equipment or supplies and all just claims for the same, in addition to reasonable
engineering, administrative and legal expenses incurred or to be incurred by the GYty in
connection with tlus Agreement, inspection and acceptance, authorization of improvements,
including bidding, inspection, surveys and compliance tests including environmental
assessments and/or euvironmental impact statements if required, and soil and water
conservation disuict charges.
B. The Developer shall hold the City, and its of8cers and employees, harmless
from all claims made by the Developer and third parties for damages sustained or costs
incurred, resulting from the construction of the improvements. The Developer shall
indemnify the City and its officers and employees for all cosu, damages or expenses wlrich
the City may pay or incur in consequence of such claim, including attomeys fees.
C. The Developer shall reimburse the City for all costs incurred in the
enforcement of tlus Agreement, including engineering and attomeys fees.
D. The Developer shall pay in full all bills submitted to it by the City for
obligations incurred under this Agreement within thirty (30) days after receipt. If the bills
aze not paid on time, the City may halt all construction work under the building permit, for
the facility. Bills not paid within thirty (30) days shall accrue interest at the rate of 8% per
yeaz.

8. DEFAULT BY DEVELOPER In the event of defauit by the Developer as to any of
the work or obligadon required to be performed by it hereunder, the City may, at its option,
perform said work. The Developer shall within thirty (30) days of formal billing, reimburse
the City for any expense incuned thereby. The City shall, however, give the Developer
written notice by United States mail to the address above or such other address as
Developer may request in writing, specifyiug the work in default and required to be done
by the Developer. The Developer shall be given at least forty-eight (48) hours to remove
the default. In the event of default on any work required to be performed by the Developer
herein which is, in fact, installed by the City, and upon failure of the Developer to make
payment upon billing, when due, the City may proceed to assess the cost of said work under
Chapter 429 or may proceed to collect on the letter of credit, or collateral agreement
provided in pazagraph 9 herein. Notice to the Developer shall also constitute notice without
further action to any contractor or subcontractor, whether they aze approved and accepted
by the City or not. In the event of emergency as determined by the Public Works
Department, the forty-eight (48) hour notice requirement to the Developer shall be and
hereby is waived in its entirety, and the Developer shall reimburse the City upon being
billed thereof for any eacpenses so incuned by the City in the same manner as if mailed
notice as described hereinbefore had been given. It is understood by the parties, however,
that the responsibility of the Developer is limited by strikes and force majeure.
9. FINANCIAL SECURITY REOiTIREMENT&. No work shall be commenced under
this Agreement until the Developer has deposited with the City, a financial security or
irrevocable letter of rredii, for 100% of the estimated cost of the improvements specified

in Paragraph 2 and Fxhibit A of this Agreement in the total amount of $13,850.00 securing
the full performance of this Agreement. Such financial security or irrevocable letter of
credit, shall be approved by the City Attomey and shall continue to be in full force and
effect until released by the City.
10. GUARANTY. The Developer guarantees all work required to be performed by it
hereunder for a period of two (2) yeaz subsequent to written acceptance of same by the City
against boW poor material and faulty workmanstrip and shall be solely responsible for the
cost and expense to perform all required repair work to City standards within thirty (30)
days of written notification by the City.
11. FINANCLAL SECLTi_tITY RFL.EASE. Upon Developer's written request and upon
completion and acceptance by the City of any Developer installed improvements, a
percentage of that portion of the financial security, covering those specific improvements
shall be released, except, however, the 5na1 twenty (20%) percent of the financial security
shall be held until a two year warranry bond, acceptable to the City, has been provided and
a final inspection and written acceptance of all Developer installed improvements have been
performed by the City. At the time of final acceptance of all consuuction items, if it is
determined by the Ciry that the approved plans and specifications were not strictly adhered
to, or that work was done without City inspection, the City may require as a condition of
acceptance, that the Developer post a cash eserow or irrevocable letter of credit, equal to
125% of the estimated amount necessary to correct the de5ciency or to protect against
deficiencies arising there&om. Said cash escrow or irrevocable letter of credit, shall remain
in force for such time as the Ciry deems necessary, not to exceed five (5) years. In the event

that work, now concealed, was done without permitting City inspection, the City may, in the
alternative, require the concealed condition to be exposed for inspection purposes.
12. CITY'S DUTIES. The terms of tlris Agreement shall, unless otherwise specified
herein, not be considered an affirmative duty upon the City to complete any improvement
herein, except that the City may, as provided in pazagraph 8"Default by Developer" herein,
perform work which the Developer has failed to complete aud wluch is necessary to
complete the present phase of construction or wlrich is necessary to provide utility or street
facilities to adjacent or non-adjacent development and assess the cost of said work against
the benefitted property.
13. INS[JRANCE.
A. General Insurance Requirement. The Developer shall not commence work
under this Agreement until it has obtained all insurance required under tlus provision and
have filed the Certif'icate of Insurance or the certified copy of the Insurance Policy with the
City. The Developer shall not allow any subcontractor to commence work on his
subcontract until a11 insurance required for the subcontractor has been obtained. Each
insurance policy shall contain a clause providing that it shall not be canceled by the
insurance company without thirty (30) days written notice to the City of intent to cancel.
B. Liability Insurance. The Developer shall procure and maintain during the
term of this Agreement personal injury liability insurance with a m;nirnum coverage limit
of $1,000,000.00 per occurrence wluch shall protect them from claims for damages for
personal injury, including accidental deaths, which may arise from the operations under tlus
Agreement, whether such operations be by themselves or by any subcontractor or by anyone

directly or indirectly employed by any of them.
14. ADDITIONAL IMPROVEMENT. Should the Developer request the CYty to perform
any work which the Developer is required to perform hereunder, the City, at its option, may
install and construct any work improvements required herein to be made by the Developer.
If the CSty makes any such improvements required herein to be made by the Developer, the
aty, at its opdon, may assess the cost wholly or in part therefore under Minnesota Statutes
§429.
15. TERMS OF BREACH. Breach of any terms of this Agreement by the Developer
shall be ground for denial of building or occupancy permits for building within the addition
until such breach is conected by the Developer:
16. VALIDITY. If any portion, section, subsection, sentence, clause, paragraph or phrase
of this Ageement is for any reason held to be invalid, such decision shall not affect the
validity of the remaining portion of ttris Agreement.
17. RECORDING. This Agreement shall be recorded with the Dakota County Recorder
and the Developer shall provide and execute any and all documents necessary to implement
the recording of this Agreement. After the Developer has completed the work required of
it under tlus Agreement, at the Developer's request, the City will execute and deliver to the
Developer a release.
18. N01'ICE. Any notice, demand or other communication permitted or required
hereunder sball be deemed duly given, when delivered or mailed to the address noted in this

19. BINDING AGREEMENT. The parties mutually recognize and agree that all terms
and conditions of this Agreement shall zun with the land herein described and shall be
binding upon the heirs, successors, administrators and assigns of the Developer referenced
in tiris Agreement.

CONSTRUCTION E5CROW AGREEMENT
THIS AGREEMENT, made and entered into on the 26)'4-day of OG7 . 1943, by
JOE MILLER HOMES, INC., whose address is 3459 Washington Drive, Eagan MN, 55122,
("Developer"), for the bene5t of the City of Eagan, a municipality of the State of Minnesota
(hereinafter called the "City").
WHEREAS, the Developer has applied to the City for approval of the vacation of a
Drainage & Utility Easement over a portion of Lot 13, Block 1, Blackhawk Pond, located
within the City; and
WfIEREAS, in conjunction with the review for the determination whether to grant
approval, the City will incur certain costs including administrative and technical professional
review involved in the processing of such application, and the City requires a guaranty that
such costs will be paid by the Developer; and
WHEREAS, the Developer acknowledges the receipt of a bene5t in the vacation of
said easement of the Developer's property; and
WHEREAS, the City will approve the vacadon on the condiuon Wat the Developer
enter into this Construction Escrow Agreement, which agreement defines certain duties and
responsibilities of the Developer, as well as the City; and the Developer shall provide cash
to the City in the amount and with wnditions satisfactory to the City, providing security to
the City for the ultimate payment of all such wsts incurred by the City.
NOW, THEREFORE, the Developer agrees as follows:

1. General and Technical Design Deposit. It is understood that the City shall
commence to process the vacation request and perform the technical design review at such
time as this Agreement is executed by all appropriate parties and the cash required for the
general and technical design review and inspection deposit is posted with the City in an
amount as determined by Exhibit "A".
2. Construction Management Del2osit. If at the time of submission of the
application for easement vacation approval, the Developer has elected to reconstruct public
utilities privately, then the Developer shall deposit with the City the cash in an amount as
determined by Exhibit "A" prior to the scheduling of a preconstruction meeting for the
public utility reconstruction installed privately by the Developer. The Construction
Management Deposit is used by the City to cover inspection, construction agreement
compliance, construction coordination, administrative costs for City approval, acceptance of
privately constructed City improvements, and all other udlity construction requirements, and
legal and engineering costs incurred by the City in connection with tlus Agreement and the
Relocation of Watermain Agreement executed by Developer on ZP, QCTt1,P6-R
1993.
3. Use of Deposited Funds. The City may draw upon the deposits to pay the
costs it incurs. The City shall determine all of its costs, including both administrative and
technical professional services, at the rates listed in the most current fee schedule adopted
by the Ciry Council for the most current fee schedule of a C5ty authorized consultant. A
copy of the current administrative and consulting rates is attached wluch rates aze subject
to change by the City Council, without notice to the Developer. (See Exhibit "B").
4. Conditions of Degosit. The following conditions shall apply to the account
contemplated under this Agreement.
a. If not listed in the City fee schedule, administrative hourly rates for
processing applications shall be determined by multiplying employee's hourly rate by a factor
of 2.0 to cover all benefits and overhead incurred by the City.

b. Payment shall be made to City consultants, including but not limited
to, engineering, legal, and planning, in the amounts actually billed to the City, according to
the customary consulting rates in effect at that time. Such consulting services or costs shall
reasonably and necessarily relate to the subject matter of the applications for payment as
determined by the City.
c. The City shall reimburse iuelf for all costs and expenses incurred by
the City from the deposit(s) under t2us Agreement.
d. The City shall not be responsible for paying aay interest on the account
contemplated under this Agreement.
e. If in the discretion of the City, there is deemed to be an inadequate
balance in the deposit account to pay for all the fees and costs incurred or to be incurred
by the City, the City will notify the Developer of the need for additional deposits. The
Developer agrees to make such additional deposits within ten (10) days of receipt of such
notice. For purposes hereof, receipt of the notice shall be deemed made upon the
depositing of the notice in the U.S. mail, postage paid.
£ No application or permits will be acted upon or processed by the City
until all amounts due at the time of submission have heen paid in full, or the City finance
department determines that there aze sufficient funds available from a prior deposit to pay
all estimated City bills.
5. Positive Balances In Account. In the event that there is a positive balance in
the deposit account and there is (1) completion of the construction process, or (2) an
application is withdrawn by the Developer, or (3) the application is denied by the City for
any reason, then the balance shall be paid to the Developer within ninery (90) days of
receipt by the City of a written request by the Developer for payment.
6. Deposit Amounts. The amounts contemplated for each of the purposes
described under this Agreement which may be revised by the City &om time to time shall
be as follows:
a. General and Technical Deposit. A cash deposit payable at the time

of submission of the Preliminary Plat application in an amount set forth in Fxhibit "A".
b. Construction Management Deposit. A cash deposit payable prior to
approval of Easement Vacation by the City in the amount set forth in F.lchibit "A".
7. Accountine. If there has been activity in the account, the City will provide a
monthly accounting of all expenses charged against the account when requested by a
Developer, but in no event more oftea than monthly. An accounring will be provided when
a notice is made by the City for additional deposits.
8. Terms of Breach. In the event of breach of any terms of ttris Agreement by
the Developer, including but not limited to the failure to make addidonal deposits when
required by the City, the City may at its option, cease processing any applicarion being made
by the Developer and order the Developer to cease any further development or progress
under the terms of this Ageement. The City may withhold approval of any portion of the
application or development until such time as the breach is cured. The Developer waives
any rights against the City for damages claimed by the Developer should the Ciry exercise
its rights hereunder. Furthermore, the Developer shall be responsibie for all costs and
expenses, including reasonable attomey fees incurred by the City to enforce tlus Agreement
or to collect for any monies due the City from the Developer pursuant to this Agreement.
9. lidi . If any portioq section, subsection, sentence, clause, paragraph or
phrase of this Agreement is for any reason held to be invalid, such decision shall not affect
tbe validity of the remaining portion of tlus Agreement.
10. Binding, Agreement. The Developer mutually recognizes and agrees that all
terms and conditions of this Agreement shall run with the land herein described and shall
