The City has reviewed the site plan for the expansion of the Cereal
Chemists Site at 3340 Pilot Knob Road. We received the plan on
April 5, 1989.
Enclosed is a copy of the site plan that the City has redlined
showing the review comments. Please add these notes to your plans
and resubmit 8 copies of the newly revised site plan to the City.
Also, resubmit the redlined plan sheets for our files.
The City is requesting that the developer shall submit a petition
asking for the City to prepare a feasibility report addressing the
storm sewer improvements that are needed to serve this site. The
petition needs to be submitted before a building permit is qranted.
The City also needs the descriptions of the permanent and temporary
easements along with a map of the easements for the future storm
sewer along the east side of the site and the existing sanitary
sewer along the southwest side of the site. The easement
descriptions should be prepared by a Registered Land Surveyor.

Date: January 16, 1985
1. The Architect reviewed the existing building plans for the Cereal
Chemists Building and the proposed storage facility expansion for
the subject project.
2. A review of the plumbing code and the state building code and the
occupant load calculations revealed that the existing plumbin9 fix-
tures are adequate for the existing building and the proposed expansion.
No further plumbing fixtures will be required to be added.
Mr. Peterson indicated, however, some effort should be made to convert one
fixture and at least one lav in the lower level toilet rooms to serve the
handicapped. This also would include remodeling the toilet partition to swing
the door outward, adding grab bars, and providing new water closets designed
for the handicapped. Mr. Peterson indicated that the toilet rooms on the upper
level would not be required to comply with handicapped provisions, because the
upper level is not accessible to wheel chairs anyway.
3. The exit requirements were reviewed for the existing building and
the proposed addition, which review indicated that no additional
exits will be required for the building except for the new exit
being provided at the East end of the new storage facility.
The large storage room on the lower level of the existing building is also pro-
posed to be changed to office use. The calculations of this area based on office
use also do not require the addition of a second exit out of this room.
4. The existing building was reviewed with respect to Chapter 38, re-
garding sprinkler systems, and it was further determined that the
existing building will not be required to be sprinkled. The new
addition, however, would technically have to be sprinkled in ac-
cordance with the code, however, exceptions are available for
those uses which can be proven to be subject to more harm than
good with the sprinkler system. Mr. Peterson also pointed out
that if two openings with a minimum of 20 square feet were pro-
vided in each 50 feet of the North wall of the storage facility
then an exception will have been met which allows for sprinklers

to be omitted if the farthest wall opposite these openings is
less than 75 feet.

brush, undergrowth and other obstructions. After completion of such
construction, maintenance, repair or removal, the City shall

City shall hold Landowner harmless against any claim of
liability or loss from personal injury or property damage resultinq
from or arising out of the use of the easement by the City, its
agents or servants, excepting however, such claims or damages as
may be due to or caused by the acts of the Landowner, its agents or

the City, its successors and assigns, that it is the Landowner of

THIS TEMPORARY CONSTRUCTION EASEMENT AGREEMENT (hereinaf er
referred to as "the agreement") made and entered into this 8 ,
day of February, 1999, by and between American Association o£
Cezeal Chemists, a Minnesota non-profit corporation (hereinafter
referred to a5 "AACC") and<ESA 0745, Inc., a Minnesota
corporation (hereinafter referred to as "ESA").
WITNESSETH:
WiIEREAS, AACC is the owner of a tract of land located in the
City of Eagan, Dakota County, Minnesota, being more particularly
described as Lot 6, B1ock 3, Effress Addition)(hereinafter
referred to as "the AACC parcel"); aad
WHEREAS, ESA is, or prior to or contemporaneously with the
execution hereof is, the owner of the property located adjdcent
to the AACC parcel, such adjacent property being more
particularly described as Outlot A, ftorwest 2nd Addition
(hereinafter referred to "theESA parcel'J); and
WIiEREAS, AACC desires by this Temporary Construction
Easement Agreement to confer upon ESa certain easement rights
upon a part of the aACC parcel for puzposes of providing adequate
axea for the performance of work and/or the placement; storage
and operation of machinery necessary for the construction of
improvements which ESA intends to erect upon the ESA parcel
(hereinafter referred to as "the temporary construction
easement"), such easement being described on Exhibit A which
attached hereto and made a part hereof and further described as
the hatched area in a drawing also shown on Exhibit A
(hereinafter referred to as "the temporary construction easement
area")• -

ARTICLE I
GRANT OF TEMPORAItY CONSTRUCTION EASEMENT
1, AACC does hereby give, qrant and convey to ESA, its
heirs, successors and assigns, a temporary, non-exclusive
easement over and across the temgoraxy construction.easement area
for the performance of work, the placemen sathe f matezials and the operation neeintendsssart y for erect upon the
construction of imp ovements
ESA parcel.
2. Notwithstanding any provision herein to the contrary,
the temporazy Gonstruct3on easement granted herein ovez and
across the temporary construction easement area shall terminate

upon the earlier oE (i) 12:00 midnight CST on necember 37, 7997,
or (ii) the date upon which ESA obtains a Certificate of
Occupancy for its hotel facility and ESA"s restoration of the
temporary construction easeroent area.as provided herein below.
3. Following completion af the.constrvetion of ESA's
intended improvements on the ESA parcel, ESA shall restore the
landscaping and sod within the temporary construction easemant
area to the previous.condition as existed prior to such entry
thareon as is reasonably practicable.
.ARTICLE II `
COVENANTS AND CONDZTIbftS
1. ESA shall indemnify, defend and hold harmless AACC from
any and a1l iiens, claims, losses, damages and liahilities
arising out of ESA's exercisizig., either itself or through its
contractors, subcontractors, licensees, invitees and employees,
its right and privilege to go upon the temporary construction
easement area azad their aetivities thereon,
2. AACC reserves the right to use and oecupy the temporary
construction easament azea for any purpose which does not
materiall.y interEere with the right and privileges granted ESA
herein.
3_ The temporary construction easement herein given and
granted shall inure to the benefit pf and shall be binding upon
and enforceable against the parties hereto, their respective
ha9.rs, personal representatives, successors and assi.gns until its
expiration as provided in Article I(2) herein_
4. Aiherever under the terms o£ this agreement ESA is
permitted to perEorm any wark upon the portion of- the AACC-pasael
designated as the temporary cpnstruction easememt area, it is
exprassly understood and agreed that ESA will not permit.any
mechanics', materialmecx's or other similar liens to stand against
the A.ACC parcel on which sueh labor or mate-rial has been

promptl.y bond and have the property released from such a lien so

5. ESA shall not install, use, generate, store or dispose

6. Yn the.event that ESA shall violate or fail to per£orm
any of the codditions, covenants and agreements on its part
herein contained, AACC may, at its sole option, by written notice
to ESA, terminate this agreement and may enter upon and repossess
the temporary construction easement area by force, summazy
ptoceedings, ejectmant or otherwise and may remave ESA and a11
other persons and property therefrom. No terminat3on of this
temporary construction easement and no repossessian of the
temporary cbnstruction easement area sha12 relieve ESA of its
liabilities and obiigations undex this agreement, a11 of which
shall survive such termination or repossession, ineluding
termination by the expiration of the term oP the temparary
construction easement. AACC shall, Purther, haoe the right to
seek damages for such default or breach of covenant to be carried
out by ESA; inc2udinq reasenable lagal expsnses and attorney
fees.
7. No waiver by either party of any breach of. any
agreement harain contained shall opezata as a walver of such
agreement itself, or of any subsequent breach tkereof.

The American Phytopathological Society, a District of
Columbia non-proPit corporation, beinq the owner of an undivided
one-half (J) interest in and to Lot 6, Block 3, Effress Add9.tion,
Dakota County, Minnesota, does hereby ratify and join in the
Temporary Construction Easement Agreement granted by Ame=ican .
Association of Cereal Chemists to ESA 0745, Inc., a Minnesota
corporation, for a temporary construction easement over, upon and
across the South 15 feet of the East 100 feet of the West 310
feet of said Lot 6, $lock 3, Effress Addition.
This ratification is subject to the burdens and together
with the benefits of said Temporary Construction Easement
Agreement as if The Ameziean Phytopathological Society had been
an original party to said agreement for the purpose therein
expzessed, provided that ESA 0745., Inc_ agrees to include The
American Phytopathological Society along with American
association of Cereal Chemists in its obligations to the Grantor
of said Temporary Construction Easement Agreement. The zecording
of this ratification in itself shall evidence such ag=eement;
however, such agreement may also be evidenced by other means.
