Please provide two copies of the revised plans to us. Service Count Heieht MN State Amendment to CABO/ANSI A117.1 Sec. 431.4 deals with handicap counter height and accessibility. Maximum allowable height is 34" with'a minimum front accessible width of 30". Checkout Counter Hei2ht Chapter 11, Table 11-C of the 1994 U.B.C. requires at least one checkout to be accessible. MN State Amendment to CABO/ANSI 117.1 Sec. 4.31.5 requires a maximum height of 34" with any counter edge to have a 36" maximum height. Drinkin¢ Fountains MN State Amendments to 1105.4.1 require that one dischazge spout be provided in accordance with CABO/ANSI A1171 and one discharge spout provided at a higher location, or other equivalent water provision equipment shall be provided. Store Sienage The Eagan Promenade Planned Development Agreement states that when tenant space is less than 20,000 squaze feet, a sign with one line only may not exceed 4' in height. The Temporary Construction Easement will terminate upon Project completion, or on December 31, 2010, whichever is eazlier. 1.3 Rights Included In Easement Grants. The grants and conveyances of the Sidewalk Easement and Temporary ConsUuction Easement (collectively, the "Easements") includes the right of the City, or its agents, contractors, employees, and other representatives (collectively, "Related Parties"), to enter upon the Sidewallc Easement Area and Temporary Construction Easement Area (collectively, the "Easement Areas") at all reasonable times to construct, inspect, maintain, reconstruct, and repair the Project and the specific improvements described in Section 2. 1.4 Warranty As To Ownership. The Landowner warrants to the City that it is the owner of the Easement Areas and has good right to grant and convey the Easements to the City. 1.5 Reservations. The Easements created by this Agreement are subject to a general reservation and right in the Landowner to use any portion of land above below or around the Easement Areas so long as such use does not unreasonably interfere with the use by the City for its intended purposes. 1.6 Eminent Domaia ln the event that any part of the Easement Areas is taken by eminent domain or any similaz authority of law, the entire award for the value of the land, buildings, and improvements so taken will belong to the Landowner, or to its mortgagees or tenants, as their interests may appear, and the City will not claim any portion of such awazd by virtue of any interest created by this Agreement. 2. CHANGE OF ACCESS AND OTHER IMPROVEMENTS 2.1 Landowoer Agrees To Closing Of Existing Northwest Access. The Landowner agrees the City may close the existing northwest access from Denmazk Avenue to the Promenade Shopping Center subject to the Provisions in this Section 2. 2.2 City To Build New Access And Other Obligations. The City will meet the following conditions in constructing the Project and will do so at its sole cost and expense. A. City To Build New NorlhwestAceess. The City will build a new access roadway from the Roundabout to the Promenade Shopping Center ("New Northwest Access"), will close the existing northwest access from Denmazk Avenue to the Center ("Existing Northwest Access"), will create a bump out for truck movements, will add sidewalk, and will make other changes to the Center, substantially as shown on Exhibit F- New Northwest Access Plans. B. City To Complete New Nortl:west Access Before Closing Existing Access. The City will complete and open the New Northwest Access before it closes the Existing Northwest Access. Or during constnzction, the City may provide a temporary access from Denmark Avenue to the Promenade Shopping Center that is sufficient for semi-trailer trucks between the time the City closes the Exis6ng Northwest Access until it opens the New Northwest Access. C. City Work Qualiry. The City will perform all work on the Easement Areas in good and workmanlike manner, in accordance with the plans in Exhibit F, and in accordance with the requirements of all applicable law. If any contractor files a lien on the Landowner's property, the City will endeavor to cause the lien to be discharged of record. If either party learns of any action, c]aim, or filing pertaining to mechanics' or materialmen's liens, it will give prompt notice of the action, claim, or filing to the other party. D. Restoratiot¢ OfEasemeiitAreas. The City will restore the Easement Areas according to the plans in Exhibit F. In particulaz, the City will assure that any landscaping removed for the Project will be replaced in a manner that keeps the Promenade Shopping Center in compliance with City landscaping requirements applicable to the Center. The CiTy can remove and reuse existing landscaping materials from the Easement Areas to meet City landscaping requirements. The City may temporarily plant removed landscaping materials in the area shown on Exhibit G- Temporary Planting Area. E. Maintenance Of Impravements. The City will maintain in good condifion and repair al] improvements consriucted in the Sidewalk Easement and may assess for maintenance or improvements in conformance with its standazd assessment policies. However the City will not plow snow from the sidewalk in the Sidewalk Easement. Landowner will maintain that portion of the New Northwest Access driveway shown on Exhibit H- Landowner Maintained Drivewav Area, and the City grants Landowner the right to enter the City property that underlies a portion of the New Northwest Access driveway to perform this maintenance. The City will maintain Roundabout abutting the azea maintained by Landowner. 3. INDEMNIFICATION AND LIABILITY INSURANCE The Caty will require its contractor to indemnify and hold hannless Landowner from any and all claims and damages arising out of or relating to the construction project. The City will also require the contractor to name Landowner as a named additional insured, which insurance must be a commercial general liability policy at a minimum amount of $1 million per claim/annual aggregate. Upon request, the City will deliver to Landowner a certificate of insurance from the contractor evidencing that this coverage is in place. The rights established by this Section 3 will survive a termination of this Agreement. 4. DEFAULT 4.1 lYotice And Time To Cure. If either party defaults in any of their respective Obligations under this Agreement, the other party may give notice ofthe default to the defaulting party specifying the nature of the default and the cure expected. The defaulting party must then cure the default within 30 days after the notice becomes effective. Or if the default cannot be cured within the 30 day period, the defaulting party may extend the time required to cure the default if the defaulting party commences the cure no later than 30 days after notice of the default and diligently pursues the same until the default is cured. 4.2 Remedies For Failure To Cure Default. If a default is not cured as provided in Section 4.1, the non-defaulting party will have the right do one or more of the following. A. Right To Cure Default. The non-defaulting party may cure the defauh. In this case the non-defaulting party, upon presentation of an itemized bill to the defaulting party, will be entitled to prompt reimbursement for any costs incurred to cure the default. B. Right To Spec fc Performance And Damages. The non-defaulting party may bring an action for specific performance of this AgreemenYs Provisions and for damages incurred as a result of the default. C. Right To Terminate. The non-defaulting party may terminate this Agreement by sending termination notice to the defaulting party. When the notice becomes effective, this Agreement and the Temporary Construction Easement will terminate and be of no further force and effect. 5. GENERAL PROVISIONS 5.1 Agreement, Amendment, And Waiver. This Agreement embodies the entire agreement and understanding of the parties regazding the subject matter of this Agreement, and all prior agreements, representations, statements, and understandings, oral and written, aze merged in this Agreement by this Section 5. This Agreement may not be altered, amended, modified, or supplemented except in a rvriting signed by the parties, which will be effective from and after the date that it is signed if an effective date is not specified. No Provision of this Agreement is waived unless done so in writing and signed by the party against whom such waiver is asserted. 5.2 Sinding Effect; Successors And Assigns. This Agreement will run with and burden the Landowner's property in perpetuity and will bind and inuie to the benefit of Landowner, its successors and assigns, and the City, its successors and assigns. 5.3 Counterparts. This Agreement may be signed in sepazate counterparts, and the counterparts, taken togetHer, will constitute a single agreement. 5.4 Notices A. Written Notice Required. D. Changes In Notice Address. A party may change the address to which notice will be delivered by notice given to both parties. No party may require notice to be delivered to more than two addresses. 5.5 No Third Party Beneficiaries. Except as otherwise specifically provided in this Agreement, no rights, privileges, or immunities of any party under this Agreement will inure to the benefit of any third-party, nor will any third-party be deemed to be a beneficiary of any of this Agreement's Provisions. 5.6 Rules Of Construction.
