MAINTENANCE AGREEMENT
This Agreement is made this Dt-day of /Aprt- , 2005 by and between
Eagan Pet Clinic (hereinafter referred to as "Owner") d the City of Eagan, a Minnesota
municipal corporation, organized under the laws of the State of Minnesota (hereinafter referred
to as "City"). Owner and City are jointly referred to as "Parties".
RECITALS
WHEREAS, Owner is the owner of the real property located at Lot One (1), Block One
(1), Cliff Lake Centre 3rd Addition ("Property");
WHEREAS, Owner accesses the Property by way of a public access driveway to Rahn
Park; approximately 100 feet long, south of Rahn Road, as set forth on Exhibit "A" attached
hereto and incorporated herein ("Access Driveway");
WHERAS, the City does not plow or sand the Access Driveway and does not intend to
plow or sand the Access Driveway in the winter months; and
WHEREAS, Owner has agreed to be responsible for all winter maintenance associated
with the Access Driveway.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing premises the mutual premises
contained herein and for One Dollar ($1.00) and other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, the Parties hereby agree as follows:
1. Winter Maintenance. Owner hereby agrees that Owner shall be responsible for
all winter maintenance associated with the Access Driveway. Such winter maintenance includes,
but is not limited to, all plowing, salting and sanding of the Access Driveway. Owner further
acknowledges and agrees that City shall have no responsibility to Owner to provide any winter
maintenance for the Access Driveway.
2. Pavement Maintenance. City hereby agrees that it shall be responsible for
providing pavement maintenance (patching, seal coating, etc.) during the summer months
associated with the Access Driveway. Notwithstanding the foregoing, nothing contained herein
shall be construed to require the City to provide any patching, seal coating or other maintenance
to the Access Driveway during the winter months.
3. Indemnification. Owner hereby agrees to indemnify and hold the City harmless
from any claim, expense, damages, or any other fees, including reasonable attorneys' fees,
arising out of or related to the Owner's obligation to clear the Access Driveway during the winter
months.
4. Governing Law. This Agreement shall be governed by the laws and rules of the
State of Minnesota.

and year first written above.

Y have reviewed the stucco to precast sili condition tliat you previously brought tb my attention. This
condition is shown in detail A8/A7_6 of the original contract documents. After this review I
recomrrtend eliminating the sealant joint shown on our detail. This joint if installed would be, in
conflict with the aluminunn screed shown at the bottom of the stucco. The conflict is a result of the
screed being a drainage system as specified in the contract documents and as recommended by
industry standards for stucco. Any water vapor tbat wvuld penetrate into the stucco system needs to
be allowed to weep out at the bottom instead of being trapped into the stucco by the sealant and
potentially spalling the face of the stucco at the screed.
The integrity of the moisture barrier for the wall systeRn will sriU be maintained by the thru wall
flashing extending 8 up behind the stucco system as also shown on detail A8/A7.6. Aily il]OlSture
eithcr weeping out the stucco or entering the baek of the precast sill will be directed out the face of
thc flashing below the sill.
