That it is a corporation, duly licensed under the laws of the State of Minnesota. That on January 26, 1979, Plaintiff and Defendants Adelman entered into a Purchase Agreement for the purchase of real estate owned by Defendants Adelman, situated in the County of Dakota, State of Minnesota, and legally described to wit: L-ot-4,-Bl6c-k 2, Cedar Industrial Park a copy of which Purchase Agreement is attached hereto and made part hereof as Exhibit A. III. That under the terms of said Purchase Agreement, Plaintiff agreed to assume existing special assessments against the premises not to exceed $4,200.00. All additional special assessments were to be paid by the Defendants. IV. That on May 9, 1979, the parties entered into a Contract for Deed under the terms of the above-described Purchase Agreement. A copy of said Contract for Deed is attached hereto and made part hereof as Exhibit B. V e V. That on November 2, 1979, Defendants Adelman conveyed to Plaintiff the premises described herein by full Warranty Deed, wherein they warranted fee title free from all encumbrances, a copy of which Warranty Deed is attached hereto and made part hereof as Exhibit C. VI. That subsequent to the culmination of the sale transaction between the parties, Plaintiff was advised by the City of Eagan, Minnesota, in which the said premises are located, that there were additional existing special assessments encumbering the property for construction of sewer laterals in the year 1966 in the sum of $139414.36. VII. That Plaintiff, in order to commence building construction upon the said premises, was forced to pay the said special assessments in full. VIII. That pursuant to the terms of the Purchase and Sale Agreement between Plaintiff and Defendants Adelman, Plaintiff has demanded of Defendants Adelman payment of the said $13,414.36, but Defendants Adelman have failed and still fail and refuse to pay said sum. IX. Defendant, City of Eagan, is a duly organized City under the laws of the State of Minnesota. X. That the property situated in the County of Dakota, State of Minnesota, and legally described to wit: Lot 4, Block 2, Cedar Industrial Park is located in the City of Eagan and is subject to assessments levied against the property by the City of Eagan. r P XI. That prior to May 9, 1979, the City of Eagan made trunk line lateral assessments upon the above-described property totalling $13,414.36. XII. That on or about December 20, 1966, these assessments were deferred by the City of Eagan at the request of Defendant Joseph Adelman. XIII. That on or about May 3, 1979, the Dakota County Auditor certified that special assessments on said property totalled $4,306.27. A copy of said certification is attached hereto and made part hereof as a Exhibit D. XIV. That in May, 1980, Plaintiff applied for a building permit to construct a building on said property and was denied said building permit until existing special assessments in the amount,of $13,414.36 were paid. XV. Plaintiff never received statutory notice of said assessments nor notice of the previous deferral of said assessments contrary to Minnesota Statute 429 and, therefore, special assessments in the amount of $13,414.36 should be set aside as against Plaintiff. COUNT TWO Plaintiff re-alleges averments No. Df through XV of COUNT ONE and specifically incorporates them herein. XVI. Defendant, City of Eagan, owes Plaintiff $13,414.36 for money had and received from Plaintiff on or about June 11, 1980, to be paid by Defendant, City of Eagan, to Plaintiff.
