WFXEREAS, on December 4, 2006, the City of Eagan (the "CiYy") adopted special
assessznents in connecrion with City Rublic Improvement Project 776 (the "ProjecY'); asid
WHEAEAS, Properties owned by Appellants Gopher Resource Corporation, a/k/a
Gopher Smalting & Refining Company and Lo Nidy Company, Ina ("Appellants") were
specially assessed for improvements associated with the Project; and
WHEREAS, Appellants appealed the special assessments to the District Court {the
"Assessment Litigation"); and
WHEREAS, the Parties engaged in mediation and have reached a settlement concerning
the Assessment Litigafion.
NOW, THEREFORE, the Appellants and the City agree as follows: ,

Appellant Gopher Resource Corporation (PIN 10-01200-U10-77) are hereby
defeired in accordance with the terms of the Assessment Deferral Agreement

This Assessment Deferral Agreement ("AgreemenY') is made this 14th day of January,
2008, by and between GOPHER RESOURCE CORPORATION, a Minnesota corporation,
(hereinafter "I,andowner") and the CIT'Y OF fiAGAN, a Minnesota municipal corporation

WHEREAS, the Landowner has requested that the City defer the Assessments until the
Properiy is sold, subdivided or developed; and
WHEREAS, the City is willing to defer collecdon of the Assessments upon the ferms and
conditions contained herein.
NOW, THEREFORE, in consideration of the mutual pzomises contained herein and other
good and valuable considerarion, the receipc and sufficiency of which aze hereby agree as
follows:
i. DeFExxEb Asssssn-terrrs. Pursuant to Minn. Stat. § 429.061, subd. 2, the
Parties agree that the payment of the first installment of the Assessments,
inciuding interest thereon, shall he deferred until the Property is sold,
subdivided, platted oc otherwise developed, whichever occurs first, at
which time the first instailment of the Assessments shall become due and
payable. The Assessments shall bear interest at the rate of five and one-
hal£ percent (5'/z%) per annum as set forth in the assessment mll for the
Project. When the first installment of the Assessments becomes due and
payable, interest accrued on the Assessments from December 4, 2006, to
December 31 of the year that the first installment of Assessments becomes
due and payable shall be added to the originai principal amounts of the
assessments, and the totals of those amounts sha11 become the "Principal
Assessment Amounts Payable." The Principal Assessment Amounts
Payable shall be divided for payment into ten equal annual installments, or
such ]esser number of equal annual installments as is necessary for the iast ,
installment thereof to be payable not more ~an 30 years after the levy of
~ the Assessments. The first installment of the Principal Assessment
Amounts Payable, plus one yeaz interest thereon until December 31 of the
yeaz in which the first installment is to be paid, shall be included in the
first ta:c rolJs completed after zt becomes due and payable, and shall be
paid in the same year as the ta7ces contained therein, and to each
subsequent installment shall be added interest for one year on the

Parties agree that, notwithstanding anything in this Agreement to the
contrary, the Assessment and a11 interest thereon must be paid in full no

paid prior to December 31, 2026, the Principal Assessment Amounfs
Payable shall be payable in 10 annual installments commencing January 1,
2026, together with interest thereon at the rate of five and one-half percent
(5%:%) per annum and payable over the next ten (10) years.
2. Waivsx. The I.andowner hereby accepts the Assessments and hereby
waives the right to ohject or appeal the Assessments pursuant to Mixr~.

John Tapper is asking about the lot next to Burr Oak Business Park, which used to be occupied by Consolidated
Freight. Gopher apparently owns the property and is now leasing it to First Freight and they want to build an
accessory building to service their vehicles.
The old Gopher Eagan PD just referenced "industrial uses." Industrial lists truck and freight terminals as a
conditional use, and truck service as a permitted accessory use (when serving only the principal use).
Do we consider the freight terminal use as pre-existing and allowed, even though there is no record of a CUP or
specific PD approval of it? And do we allow them to construct the accessory service building as a permitted use
(as it would be if the zoning were I-1) or do we require a PD Amendment for that?

Preliminary approval is given for the aforementioned pro,~ect subjeet to compliance with
the provisions of Minnesota Statutes, State Fire Marshal Regulations, and local ordi-
nances and permits. Construction shall be in conformance with the standards contained in
National Fire Protection Association Pamphlet 30, Flammable and Combustible Liquids Code
(1981 edition as amended).
Final approval will be given following an inspection of the facility by either your area
local fire authority or Deputy State Fire Marshal.
Approval of the projeet deseribed in this letter does not relieve the applicant of re-
sponsibility to other Federal, State or local agencies regarding adherence to regulations

Dear Mr. Hanson:
I have reviewed your comments on the Plans and Specifications returned to my
superintendents with your remarks. The following action will be taken regarding
your comments.
1. The doors between the warehouse and office area will have a one hour rating
with a 1D" x 10" wire glass lite.
2. The wall between the warehouse and the office will be 12" concrete block
providing the one hour separation required.
3. The windows in the one hour separation wall will be 1" insulated glass with
the warehouse side being 1/4" wire glass and the office side being 1/4"
plate glass.
4. The interior partitions shall be 3-5/8" metal studs, 16" on center with
5/8" drywall on both sides. The walls shall extend to the underside of the
suspended acoustical tile ceiling.
5. The drywall on the exterior walls shall be 5/8" thick over styrostud.
6. The toilet rooms will be revised to accomodate the handicapped (see the
attached Drawings).
7. The horizontal bars of the exterior rail at the ramp will allow no more
than a 6" ball-pass between the bars.
