ACCESS AGREEMENT AND RIGHT OF FIRST REFUSAL
This Access Agreement and Right of First Refusa] ("Agreement") is made this 26 day of
fV,qllC.h , 2009 by and between the City of Apple Valley, a Minnesota municipal
corporation (hereina$er "Apple Valley") and the City of Eagan, a Minnesota municipal
corporation (hereinafrer "Eagan"). Apple Valley and EaQan aze collectively refened to as the
"Parties."
WHEREAS; Apple Valley is the fee owner of certain property located in the City of
Eagan, and legally described as: Lot I. Block L Valley Acres (the "Apple Valley Property"); and
WHEREAS, Eagan is the fee owner of certain pioperty located in the City of Eagan, and
leLyally described as: That part of the south of Section 8 lying southeast of the Raih-oad right of
way, northwest of 5ibley Terminal Industrial Park & Transport Ainerica Addition, and northeast
of Riverpark Office Center; EXCEPT Valley Acres, and referenced as Parcel 1 0-008 00-0 1 1-50
(the "EaQan Property"); and
WHEREAS, Apple Valley and Eagan are parties to a Joint Powers Aereement dated
AuQust 26, 1991 (the "Joint Powers AgreemenY") goveming the use of a Firearms Training
Facility located on the Apple Valley Property (the "Training Facility"); and
WHEREAS, Eagan has for many years used an existing driveway on the Apple Valley
Property to access the Eaean Property; and
WFIEREAS, Eagan has also accessed an existing sanitary sewer manhole on the Apoie
Valley Property to dispose of sanitary sewage; and
WHEREAS, the Parties desire to memorialize the terms under which Eagan can continue
to use the Apple Valley Property for access and for disposal of sanitary sewage as well as the
Parties' respective maintenance obligations; all upon ttie terms and conditions contained herein.
Whereas, the Parties desire to cooperate effectively and ensure a positive relationship to
meet the training needs for each cities' law enforcement personnel. This Agreement is not
intended to hinder the exisling training arrangement between the Parties.
NOW, WHEREFORE, in consideration of the foregoing, the Parties hereby ad ee as
follows:
I. GRA1vT OF CONDITIONAL ACCESS EwSEMENT. Apple Valley hereby conveys
unto Eagan a conditional access easement in goss over, under and across the
Apple Valley Property as described and depicted on Exhibits "A-1" and "A-2"
attached hereto (hereinafter the "Easement Area"). The grant of the foregoing
easement includes the right of Eagan, its employees and agents to enter upon
the Easement Area for purposes of vehicular access over and across the
Easement Area to access the Eagan Property and to perform maintenance
duties as specified herein.
Apple Valley hereby also grants to Eagan a license to access and use the
sanitary sewer manhole located on the Apple Val]ey Property for purposes of
a sanitary transfer station. Eagan agrees to indemnify and hold Apple Valley
harxnless from any and all claims and liabilities; including any claim by the
Metropolitan Council arising out of or relating to Eagan's use of the sanitary
sewer manhole.
2. REPAIR AND MAINTENANCE COSTS OF THE EASEMENT AREA.
A. Operational Mainterxance. Operational maintenance consisting of
day-to-day maintenance such as snow and ice control, surface
drainage, street sweeping and boulevazd/ve.-etation manaQement
shall be the sole responsibility of Eagan.
B. Structural Maintenance. 5tructural maintenance consisting of
repairs to the roadway or its embanlanent; including, but not
limited to soil stabilization, crack sealing; sealcoating, curb &
gutter repair, repair of storm sewer pipes and appurtenances, and
pavement patching/repairioverlay and/or replacement shall be the
shared responsibility of Eaean (70%) and the balance shall be paid
on a percentage basis determined by the population rarios of any
city participating in the Training Facility. The percentage shall be
calculated by member cities' population in relation to the total
population of the member cities combined as determined by the
most recent Metropolitan Council population estnnate.
The pavement condition of the driveway shall be monitored by
Eagan and included within their pavement management program.
Payment repairs shall be implemented to maintain the driveway to
an acceptable condition, consistent with public street standards
within Eagan. Eagan shall provide periodic updates to Apple
Valley of any anricipated improvements that may be needed to the
driveway and the Parties shall include in their respective operating
budgets appropriate reserves for any identified structural
maintenance.
The parties acknowiedge ihat, whiie maintenance of the Easeinenf
Area on the Apple Valley Property is currently addressed in the
Joint Powers Aa eement, to the extent of any inconsistency
beriueen this Aereement and the Joint Powers Agreement
concerning the Parties' maintenance responsibiliries of this
Easement Area, the terms of this Agreement shall control.

3. TERMINATION OF CONDITIONAL ACCESS EASEMENT. The gant of the
Conditional Access Easement by Apple Valley to Eagan shall terminate upon
any of the following events:
A. Eagan takes action to prohibit the use of a shooting range on the
Apple Valley Property in which case the Easement shail terminate
] 80 days after the date of Eagan's action.
B. Easan sells or otherwise leases the Eagan Property to any third
party. It is acknowledged by Eagan that the easement granted by
Apple Valley to Eagan is an easement in gross.
C. Apple Va11ey authorizes the sale of the Apple Valley property in
which case the easement shall terminate upon Apple Valley's
conveyance of the Apple Valley Property to a third party.
4. GRaNT oF RIGxT oF FiRS7 REFUSaL. Apple Valley hereby o ants unto Eagan
the right of hrst refusal to acquire the Apple Valley Property. If Apple Valley
is the recipient of any prospective bona fide offer relative to the sale or
exchange of the Apple Valley Property (or any part thereofl, Apple Valley
shall notify Eagan in writing of the terms of such offer and Apple Valley's
intention to accept such offer and which notice shall set forth the prospective
terms and provisions of any prospective bona fide sale or exchange. Eagan
shall be entitled, vvithin 60 days of receipt of such notice to deliver a written
notice of intent to exercise such right of first refusal. Said written notice of
intent to exercise Eagan`s right of first refusal shall include a written
acceptance of the terms and provisions of the proposed sale and the Parties
shall use their best efforts and neQotiate a Purchase Agreement incorporating
substantially the same terms of Apple Valley's proposed sale with the closing
to occur within 60 days from the receipt of Eagan's notice of intent to exercise
its right of first refusal.
Within 15 days of Apple Valley's receipt of Eagan's notice of intent to
exercise said right of first refusal, Apple Valley shall provide Eagan, at Apple
Valley's sole expense; with an abstract of title or rea stered property abstract
certified to date and including all searches recommended by the Minnesota
Title Standards, Minnesota Bar Association, Real Property Section. Eagan
shall have ten days to review and raise objections to fne siaied ntie of the
premises. Any objections not made within such time shall be considered
waived. Apple Vallay shall then have 90 days after the date of Eagan's title
objections to cure the specified defects and produce marketable title. Apple
Valley's inability to provide marketable title sha11 release Eagan from its
obligations to purchase the Apple Valley Property. However, Eagan may
exercise the right of first refusal set forth herein whether or not Apple Valley
can provide good and marketable title to the Apple Valley Property.

In the event that Eagan does not exercise its right of first refusat, Eagan shall
execute and deliver to Apple Valley a quit claim deed exrina ishing any
interest they may have in the Apple V alley Property.
5. NOTICES. Any no6ce required or permitted under this Agreement shall be in writing
and shall be deemed to be given when and if sent by certified mail, retum receipt
requested, postage prepaid, properly addressed as follows, or such othei address as
may hereafter be desia ated in writing by either of the Parties:

7. GovExNING LAw. This Agreement shall be governed by and interpreted under the
laws of the State of Minnesota.
8. DISPUTE RESOLUTTON. Tn the event of a dispute between the Parties arising out of or
relating to this Agreement, shall first be presented to mediation. If the matter is not
resolved through mediation, then the Parties submit any controversy to the Dakota
County District Court or any other court of competent jurisdiction.

To or Use of Commission Facilities. Enclosed is your approved MWCC
Permit Number 1212 for the connection of a 2" forcemain to MWCC's
interceptor 70-32 at Terminal Road and Yankee Doodle Road in the

The connection shall be made in accordance with the Standard Detail
SC5, which is attached to and made a part of the Connection Permit.
The first length (10' minimum) must be SDR 26 PVC. The connection
must be core drilled and watertight connector.
- -Tt is required that the City contact Mr. Wally Wessels' office at
telephone number 612-772-2585 (7:30 a.m. to 4:00 p.m.) and make
arranqements to have an inspector on site at the time the connec-
tion is being made. A minimum 48-hour notice should be given.
Please refer to the permit index number when requesting an
inspection.
PLEASE NOTE: If the Commission's insDector is not notified prior
' to installation of the connection the annlicant will be reauired
to pav all costs associated with re-excavation and insnection
