RIGHT OF ENTRY AND CONSTRUCTION AGREEMENT
This Right of Entry and Construction Agreement ("Agreement") is made this 34 lay of
October, 2002, by and between JOHN RANDOLPH and NANCY JO RANDOLPH, husband
and wife (hereinafter "Landowner"); and CITY OF EAGAN, a Minnesota municipal corporation
(hereinafter the "City"), (collectively referred to as the "Parties").
WHEREAS, Landowners are the fee owners of property located at_ 1348 Wildemess Run L
(Drive? in the City of Eagan (hereinafter the "Property"); and
WHEREAS, the home on the Property sustained flood damage as a result of the July,
2000 superstorm; and
WHEREAS, the City has undertaken various flood mitigation improvements in an
attempt to control flooding within the City that may occur as a result of excessive rain events;
and
WHEREAS, several flood mitigation efforts throughout the City have included the direct
purchase of homes by the City with subsequent repair work performed to the homes to lessen
flood concerns (e.g. changing a walk-out basement to a look-out basement); and
WHEREAS, the home on Landowners' proeprty is a candidate for storm mitigation
improvements under City Project 828 (Ches Maz Pond), however, the Landowners desire to
remain in the Property and have the City perform the work; and
WHEREAS, the Landowners desire to keep the current walkout design of their basement
through the construction of an exterior walkup patio to accommodate the raised elevations of the
rear yard, said landscape modifications also to be performed by the City through a separate
contractor; and,
WHEREAS, the City is willing to perform the work at no cost to Landowners all under
the terms and conditions contained herein.
NOW, THEREFORE, in other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the Parties agree as follows:

1. ACCESS To PROPERTY. Landowners hereby grant unto the City, its
designated agents and assigns, and by the general contractor employeed by
the City, its subcontractors and agents, access to the home and yard on the
Property to undertake the storm mitigation improvements that are set forth
on the repair work proposal and graphics attached hereto as Exhibit "A" &
"B" (hereinafrer the "Storm Mitigation Iprovements.") _
2. THE SCOPE OF IMPROVEMENTS. LandOwneiS aCknowledge that Ihe StOrm
Mitigation Improvements are merely an attempt by the City to minimize
potential surface waters from entering the home on the Property resulting
from a high water condition associated with the pond located on the
Property ("Pond BP-il"). Landowner acknowledges that the Storm
Mitigation Improvements aze not desiened to address wet or flooded
basement concems resulting from a failed or overwhelmed sump pump
system, poor soil conditions, sewer back-up, hydrologic ground water
seepage, eta The City agrees to use its reasonable efforts, to the extent
possible, to have the restored siding match the existing siding. To the
extent this is not possible, the City will provide new siding for the affected
azeas. To the extent that the new siding does not reasonably match the
existing sidin.-, the City agrees to paint all siding and to the extent that
repainting is insufficient, the City agrees to replace the siding. The City
further agrees that the dry wall installation shall be taped, sanded, primed
and painted to match [he existing interior walls. Such work will be done
in a workmanlike manner and any damaged baseboards shall be replaced.
3. Wnax.4rtT[es. The City warrants that the Storm Mitigation Improvements
will be undertaken in a workmanlike manner for a period of one year
following substantial completion. For purposes of this Agreement, once
Landowners receive notification from the City that the Storm Mitigation
Improvements are completed, the Landowners must provide a final
acceptance to the City within three (3) days that acceptable "substantial
completion" has occurred.
Landowners must provide the City written notice within one year of the
date of substantial completion if they claim that any of the work
undertaken by the City was not done in a workmanlike manner. In the
event of any dispute conceming this Agreement, Landowners hereby
agree to bind themselves to arbitration through a qualified arbitrator
chosen by the Better Business Bureau and each paRy will abide by the
findings and resolutions contained therein. Landowners acknowledge that
the structural contractor, David Schweich Construction, may be a party [o
the arbitration proceeding and that the contractor has the right to cure any
claimed deficiencies to the structure. To the extent that the contractor fails
to cure the claimed deficiencies, the City will, at its option, provide either
a monetary cash settlement to Landowner ro undertake the work or retain
an independent contractor to pursue the claimed deficiencies.

, Landowners acknowledge that the scope of Storm Mitigation
Improvements contemplated under this Agreement have been specifically
requested by the Landowners. The City provides no guaranty that the
Storm Mitigation Improvements will fully prevent the home on the
Property from experiencing water inflitration. Landowners acknowledge
that the installation of the patio drain and tile system may require ongoing
maintenance to prevent clogging. Landowners also acknowlege that in the
absence of an emergency power backup For their sump pump in the home
located on the Property, the home may experience water inflitration during
power outages.
4. MoDtF[cnT[otvs. Landowners acknowledge that the scope of the Storm
Mitigation Improvements is solely set forth on Exhibit "A" &"B"
attached hereto. Landowners agree that if they direct the contractor to
undertake any additional work and if such work is undertaken, it will be at
Landowners' sole cost and expense.
5. RESTORATION OF DISTURBED LANDSCAPED AREA. ThC City agrees to
restore any disturbed landscaping areas at its own cost. To the extent that
Landowners desire to have an independent contractor undertake the
restoration, the City may, at its option, permit the Landowner to have their
own contractor undertake the restoration and provide an equivalent
monetary payment to Landowners.
6. NoT[ce. Any notice required or permitted to be given under this

As per our PC- meeting on the above date the following issues were discussed and agreed

1) Tom Colbert introduced all parties. Mike Lence is to be the Project Manager for the Randolph
Project. David Schweich Construction Inc. will function as the sub contractor for the City of
Eagan. The buyer of the contract will be CitM of Eagan.
2) Scheduled start date: W eek of November 4.
3) Additions to the contract were presented by TC. Document of additions was submiited.
4) Conceptual plans drawn by TC were discussed and OK:d with the following notes:
• Drein tile to be ran the full length of the back of house
• Block used will be 12" below qrede and 8" above arede
• Rebar and wire mesh will be used in slab.
