The Eagan store will be approgimately the same size and will have the same number of employees-about 12 part- and full-time. The St Louis Park location has two bathrooms, each of which contains a single toilet and single sink. This has always proved adequate for bo[h customers and empfoyees. In Eagan it is our intention to provide two toilets in the women's room, one toilet and one urinal in the men's room, and a sink in each. The Corporation does further hereby grant and convey to the Partnership, its employees, agents, contractors, tenants, invitees and licensees, a permenent, non-exclusive easement for parking and driveway purposes over and across that part of the area described as "PARKING AND DRIVEWAY EASEMENT" on Exhibit "A" attached hereto which is located on the Corporation Property. Said easements are appurtenant to and for the benefit of the Partnezship Property. 3. For the purposes of this easement deed the term "ingress and egress" shall mean traveling or passing over the easement area in a continuing movement. It does not include the tight to park and leave a vehicle. For the purposes of this easement deed the term "parking and driveway easement" shall mean traveling or passing over the easement area in a continuing movement except for momentary stopping for traffic or other obstructions. Parking of vehicles shall be allowed only in those areas where parking stalls are shown within the area described as PARKING AND DRIVEWAY EASEMENT on Exhibit "A" attached hereto. 4. The Partnership shall be responsible for the construction of the accesses, driveway and median areas and for the marking of the parking stalls within the areas described as "INGRESS AND EGRESS DRIVE EASEMENT" and "PARKING AND DRIVEWAY EA5EMENT" on attached Exhibit "A" which are located on the Partnezship Property. Said driveways, accesses and parking areas shall consist of at least a 3" asphalt wear course over a 5" base. Concrete curbs shall be constructed on the perimeters of all such accesses, driveways, parking and median areas. Once constructed, the Partnership shall be responsible to keep such accesses, driveways, median areas and parking stall markings in good condition and repair, including but not limited to the clearing of snow and debris; the replacement of underlying base material and asphalt, if needed; and the replacement of broken or damaged curbing and concrete medians. 5. The Partnership agtees to indemnify and to hold the Corporation harmless from injuries to persons or property arising out of the use of the areas desczibed as "INGRESS AND EGRESS EASEMENT" and "PARKING AND DRIVEWAY EASEMENT" on Exhibit "A" attached hereto which is located on the Partnership Property for access, pazking and ingress and egress, except where such injury is caused by the negligence or intentional wrongful act of the Corporation. The Cocporation agrees to indemnify and to hold the Partnership hazmless from injuries to persons or property arising out of the use of the areas described as "INGRESS AND EGRESS EASEMENT" and "PARKING AND DRIVEWAY EASEMENT" on Exhibit "A" attached hereto which is located on the Corporation Pcoperty for access, parking and ingress and egress, except where such injury is caused by the negligence or intentional wzongful act of the Partnezship. 7. The Partnership and the Corpozation agree to use and exercise their easement rights granted herein in such a mannex that will not hinder, prevent, prohibit oz impede the proper and reasonable use and enjoyment by the undezlying property owner, their partners, employees, invitees, licensees, tenants, agents, contractors and all others acting under their authotity, of the underlying property owners propecty. 8. The easement riqhts granted herein are subject to ordezs, judgments, laws, rules, ordinances, policies and regulations which may be promulgated from time to time by govetnmental authorities which have jurisdiction over the property upon which the easements are located and by courts having jurisdiction ovec the property and subject matter involved. 9. The easements granted herein shall be subject to any drainage and utility easements which have been dedicated to the City of Eagan over, under and across part or all of the easement areas as well as any other covenants, conditions, restrictions, declazations and easements of record, if any. 10. The easements granted and conveyed herein shall run with the land and shall be binding upon and shall insure to the benefit of the parties hereto, their successors and assigns. Declarant hereby declazes that there shall be covenants for maintenance of a rain gazden and infiltration basin (hereinafter the "Rain Garden") depicted on the Landscape Plan attached hereto as Exhibit A and located on that portion of the Property legally described on Exhibit B attached hereto. 2. Maintenance of the Rain Garden shall include a monthly inspection and, if necessary, removal of litter and debris, and replacement of mulch, vegetation, and eroded areas to ensure establishment of healthy plant life. It shall also include an annual inspection and certification by a qualified individual that the Rain Gazden is functioning in accordance with the approved plans. If, as a result of an inspection by a qualified individual or City staff, the Rain Gazden is deternuned not to be functioning as originally designed and intended, the Declarant agrees to restore the Rain Garden to function as designed and intended. The Declazant further agrees not to use the Rain Gazden for snow storage and to inform its snow removal contractors of this prohibition. 3. The Declazant shall be solely responsible for maintenance of the Rain Gazden, and shall beaz all costs of such maintenance. If Declarant does not undertake the necessary maintenance within thirty (30) days of notification by the City, or within thirty (30) days provide the City with a schedule for undertaking the necessary maintenance, the City may undertake such maintenance, and the Declarant shall reimburse the City for the costs incurred by the City in connection with performing such maintenance within thirty (30) days after receipt of an invoice therefor, and if the Declarant does not timely reimburse the City, then the City may recover its costs by levying a special assessment against the Property. The Declazant, on behalf of itself and its successors and assigns, hereby acknowledges the benefit of such maintenance to the Property and waives any statutory right which it may have to contest any such assessment by the City. 4. Notwithstanding anything herein to the contrazy, no amendment, release or temunation of any of the provisions of this Declazation shall be effective or may be filed of record unless the City of Eagan consents to the amendment, release or termination. Such consent must be evidenced by a resolution duly approved by the City Council, or successor body, unless the City A[torney for the Ci[y approves in writing an alternative format to evidence that consent. Declarant, on behalf of Declarant and its successors and assigns, expressly acknowledges and agrees that the City has no obligation whatsoever to approve or act upon any proposed amendment, release or termina[ion, and may withhold or delay consent for any reason or no reason whatscever, or may condition consent upon such terms as the City deems desirable, it being the City's absolute right and prerogative to insist that the terms of this Declaration remain in effect and unaltered and to permit amendment, release or termination only at such times and under such circumstances, if any, as the City deems desirable in the exercise of its unfettered discretion. Declarant, on behalf of Declarant and its successors and assigns, further agrees and covenants, consistent with this acknowledgment, not to institute any legal proceedings against the City of Eagan on the grounds that the City failed to respond appropriately to a proposed amendment, release or termination, and to indemnify the City of Eagan against any expense, including litigation costs, which the City incurs as a result of any violation by that party of this covenant. The City may, at any time, give up [he right to approval granted hereunder, said action to be evidenced by City Council resolution or other format approved by the City Attorney. It shall also include an annual inspection and certification by a qualified individaal that the Rain Gazden is functioning in accordance with the approved plans. If, as a result of an inspection by a qualafied individual or City staff, the Rain Garden is deternuned not to be functioning as briginally designed and intended, the Declazant agrees to restore the Rain Gazden to function as designed and intended. The Declazant further agrees noe to use the Rain Garden for snow storage and to inform its snow removal contractors of this prohibition. 3. Tkte Declazant shall be solely responsible for maintenance of the Rain, Gazden, and shaII beaz all costs of sucfi maintenance. If Declarant does not undertake the necessary maintenance wittun thirty (30) days of notificafion hy the City, or within thirty (30) days Qrovide . the City with a schedule for undertaking the necessary maintenance, the City may undertake such maintenazice, and the Declarant shall reimburse the City far the costs incarred by the City in connection with performing such maincenance within thirty (30) days after receipt of an invoice . therefor, and if the Declarant does not timely reiraburse the City, then the City may recover its costs by levying a special assessment against the Property. The Declarant, on behalf of itself and its successors and assigns, hereby acknawledges the benefit of such maintenance to the Property and waives any statutory right which it may have to contest any such assessment by the City. 4. Notwithstanding anything herein to the contrary, no amendment, release or termination of any of the provisions of ihis Declarafion shall be effective or may be filed of record unless the City of Eagan cansents to the amendment, release or ternunation. Such consent must be evidenced by a resolution duly approved by the City Council, or successor body, unless the City Attorney for the City approves in writing an aitemative format Yo svidence that consent DeclazanT, on behalf of Declarant and its successors and assigns, expressly acknowledges and agrees that [he City has no obligation whatsoever to approve or act upon any proposed amendment, release or termination, and may withhoid or delay consent fox any reason or no reason whatsoever, or may condition consent upon such terms as the City deems desirable; it being the City's absolute r'sght and prerogative to insist that the cerms of this Declazation remain in effect and unaltered and to permit amendment, release or termination only at such times and under such circumstances, if any, as the City deems desirable in the exercise of its unfeteered discretion. Declarant, on behalf of Declazant and its successors and assigns, further agrees and covenanes, consistent with this acknowledgment, not to institute any legal proceedings against the City of Eagan on the grounds that the City failed to respond apgropriately to a proposed amendment, rslease or termination, and to indemnify the City of Eagan against any expense, including litigation eosts, which the City incurs as a result of any violatian by that party of this covenant. The City may, at any time, glve up the right to approval granted hereunder, said action to be evidenced by City Council resolntion or other format approved by the City AtEorney. Notwithstanding anything herein to the contrary, fhe Rain Garden shali not be deemed dedicated to the public or otherwise public land, and the City of Eagan shall have no obligation and no right, not otherwise existing, independent of chis agreement, under the ordinances, statutes and other laws under which the City operates, to maintain or administer the Rain Gazden. 5.
