United Federal, our lender, has requested that we
obtain assurances fran the City of Eagan in regards to
certain zoning and building approvals. They want this
assurance in the form of an opinion letter from our
attorney. Therefore, I am enclosing Exhibit C from our
mortgage committments which (E) and (G) are items we
need the City to give us assurances on. To the best of
our knowledge, and based on our discussions to date, the
zoning and improvements planned are an acceptable use for
the property (E). 'Ihe only certificates, permits, licenses
or other authorizations needed are eneral contractors

Opinion of Counsel
The opinion of counsel to the Borrower shall opine to the following
matters:
(A) If the Borrower is not an individual, that the Borrower is a business
corporation or general or limited partnership, as the case may be,
duly organized, validly existing and in good standing, and has all
requisite power and authority to execute, deliver and perform each of
the docwnents contemplated by this commitment, and such execution,
delivery and performance have been duly authorized by all necessary
action on the part of the Borrower;
(B) That the closing documents contemplated by this commitment have each
been duly and validly executed and delivered to the Bank by the
Borrower and constitute the Borrower's legal, valid and binding
obligations, enforceable in accordance with their respective terms,
except to the extent that enforcement thereof may be limited by any
applicable bankruptcy, insolvency or similar laws now or hereafter in
effect affecting credi[ors' rights generally;
(C) That the consummation of the transactions contemplated by the Loan
Documents and the fulfillment of the terms thereof will not conflict
with the terms of the Borrower's articles of incorporation and bylaws
or partnership agreement, as the case may be, or with any present
order, rule or regulation applicable to the Borrower of any court or
of any federal or state regulatory body or administrative agency or
other governmental agency having jurisdiction over the Borrower or the
real estate subject to the mortgage, and will not result in any breach
of, or constitute a default under, any outstanding indenture,
mortgage, deed of trust, bank loan or credit agreement or other
instrument to which the Borrower is a party or by which the Borrower
or the Bozrower's property is bound;
(D) That the guarantees, if any, contemplated by this commitment are each
the legal, valid and binding obligations of the guarantors,
enforceable in accordance with their respective terms, except to the
extent that enforcement thereof may be limited by any applicable
bankruptcy, insolvency or similar laws now or hereafter in effect
affecting creditors' rights generally;
(E) That the real estate subject to the mortgage is zoned to permit the
use contemplated by this commitment without the need for variance or
exception, and such use and the improvements or to be constructed
thereon conform, or upon completion wi11 conform, in all other
material respects to all presently applicable development, pollution
control, water conservation and other laws, regulation, rules and
ordinances of the federal government and the State of Minnesota, and
the respective agencies and subdivisions thereof; ,
(F) That the real estate subject to the mortgage, if sold as a separate
parcel, would comply with all applicable platting and subdivision
laws;
(G) That all certificates, permits, licenses and other authorizations of
government bodies or authorities which are necessary to permit the
construction of any improvements contemplated by this commitment or
the use of the property as contemplated by this commitment have heen
obtained and are in full force and effect, and no further approval,
consent, order or authorization of or designation, registration,
declaration or filing with any governmental authority is required in
connection with the valid execution, delivery and performance of the
documents contemplated by this contemplated; and
(H) That, to the best of such counsel's knowledge, there is no litigation
pending or threatened in any way questioning the execution or validity
of any of the documents contemplated by this commitment or any other
instruments or documents executed in connection with the transactions
contemplated hereby and to the best of such counsel's knowledge there
are no other legal or governmental proceedings pending or threatened
or contemplated by governnmental authorities or others, by which the
Borrower is or may be bound or to which any property of the Borrower
is or may be subject, which if determined adversely to the Borrower
would individually or in the aggregate have a material adverse effect
on the financial condition, property or operations of the Borrower.
