RIGHT-OF-WAY, DRAINAGE AND UTILITY EASEMENT
AND TEMPORARY CONSTRUCTION EASEMENT
THIS RIGHT-OF-WAY, DRAINAGE AND UTILITY AND TEMPORARY
CONSTRUCTION EASEMENT ("Easement") is made this ilk' day of 4=4.3,- , 2010,
between PREMIER BANK, a Minnesota corporation, hereinafter referred to as "Landowner" and
the City of Eagan, a municipal corporation, organized under the laws of the State of Minnesota,
hereinafter referred to as the "City".
WITNESSETH:
That the Landowner, in consideration of the sum of Eighteen Thousand Four Hundred
and no/100 Dollars ($18,400.00) and other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, does hereby grant and convey unto the City, its
successors and assigns, a permanent right-of-way, drainage and utility easement, over, across and
under the following described premises, situated within Dakota County, Minnesota, to -wit:
That part of Lot 1, Block 1, GEORGE W. GILES ADDITION, according to the
recorded plat thereof, lying northerly of a curve concave to the north and having a
radius of 109.00 feet. Said curve passes through a point on the east line of said
Lot 1 distant 9.22 feet northerly of the southeast corner of said Lot 1 and passes
through a point on the south line of said Lot 1 distant 30.04 feet westerly of said
southeast corner.
TOGETHER WITH:
A perpetual easement for roadway and utility purposes over, under, across and
through that part of said Lot 1 lying southwesterly of a line run from a point on
the south line of said Lot 1 distant 36.17 feet easterly of the southwest corner of
said Lot 1 to a point on the westerly line of said Lot 1 distant 6.86 feet
northeasterly of said southwest corner.
TOGETHER WITH:
A temporary easement for construction purposes over, under, across and through
the South 20.0 feet of the East 60.0 feet of Lot 1, Block 1, GEORGE W. GILES
ADDITION, according to the recorded plat thereof.

TOGETHER WITH:
A temporary easement for construction purposes over, under, across and through
the South 5.0 feet of the West 142.0 feet of the East 202.0 feet of said Lot 1.
TOGETHER WITH:
A temporary easement for construction purposes over, under, across and through that part
of the South 15.0 feet of said Lot 1 lying westerly of the East 202.0 feet thereof.
Said temporary easements to expire November 1, 2012.
See also Exhibit "A" attached hereto and incorporated herein.
The grant of the foregoing permanent easements for right-of-way and utility purposes
includes the right of the City, its contractors, agents and servants to construct, reconstruct, inspect,
repair and maintain a roadway and erect and maintain signs in conjunction with the public's use of
said roadway and appurtenances and any signs erected in conjunction with the use of the roadway
and appurtenances.
The grant of the foregoing permanent easements for drainage and utility purposes
includes the right of the City, its contractors, agents and servants to enter upon the premises at all
reasonable times to construct, reconstruct, inspect, repair and maintain pipes, conduits and mains;
and the further right to remove trees, brush, undergrowth and other obstructions. After
completion of such construction, maintenance, repair or removal, the City shall restore the
premises to the condition in which it was found prior to the commencement of such actions, save
only for the necessary removal of trees, brush, undergrowth and other obstructions.
The grant of the foregoing temporary construction easement for site grading purposes
includes the right of the City, its contractors, agents and servants to enter upon the premises at all
reasonable times to construct, reconstruct and inspect site grading and the further right to remove
trees, brush, undergrowth and other obstructions. After completion of such construction,
maintenance, repair or removal, the City shall restore the premises to the condition in which it was
found prior to the commencement of such actions, save only for the necessary removal of trees,
brush, undergrowth and other obstructions, subject only to permanent easement alterations.
And the Landowner, its successors and assigns, does covenant with the City, its
successors and assigns, that it is the Landowner of the premises aforesaid and has good right to
grant and convey the easements herein to the City.
